SECOND AMENDMENT TO
CONSTITUTION AND BY-LAWS
OF
THE RECYCLING ASSOCIATION OF GUAM
PREAMBLE
We, residents of Guam, in order to establish an association which shall embody our concern for the environment of Guam and our desire that the quality of the environment shall be maintained future generations on Guam, do hereby promulgate this Constitution.
ARTICLE I
NAME
This association shall be known as the RECYCLING ASSOCIATION OF GUAM and it shall be a non-profit and non-sectarian organization.
ARTICLE II
PURPOSES
Section 1. To educate the public and Government Officials about the benefits of recycling and how recycling is an important component in reducing Greenhouse gases.
Section 2. To inform the public about opinions and actions concerning waste reduction/recycling.
Section 3. To facilitate recycling by encouraging the private sector to enter into the recycling business.
Section 4. To encourage private industries and government to reduce solid waste production.
ARTICLE III
MEMBERSHIP
Section 1. Regular membership is open to any resident of Guam.
Section 2. Special membership is open to any visitor to Guam or any individual who supports the association’s goals.
Section 3. Membership dues will be set by the Executive Board.
ARTICLE IV
GOVERNING BODY
Section 1. All regular members that are current in their dues have full and equal voting rights in the association. Voting rights for the family includes all members of that family up to four (4) with a minimum voting age of 16.
Section 2. There will be an elected Executive Board which will as the governing board and spokesman for the association. This board shall include the President, Treasurer, Secretary, Government Liaison/Auditor and one standing committee Chair.
ARTICLE V
ELECTION OF EXECUTIVE BOARD
Section 1. The regular membership shall conduct and supervise the election.
Section 2. All officers shall be elected at the May meeting or any time as deem necessary.
Section 3. Election shall be by open balloting.
Section 4. The newly elected officers shall assume office immediately following the election.
Section 5. The officers shall hold office for one (1) year.
Section 6. In the event that an office is not filled or becomes vacant, the President may appoint, with majority approval by the Executive Board, someone to fill that position until the next regularly scheduled election.
ARTICLE VI
DUTIES OF EXECUTIVE BOARD
Section 1.President
a.Shall inform regular members at least one (1) week prior to any regular meeting and or election.
b.Will secure speakers or a program for each general membership meeting.
c.Shall preside at both general and Executive Board meetings.
d.Newsletter Editor. Shall be responsible for the once a month newsletter that will be mailed to all members and others on the mailing list.
Section 2.Treasurer
a.Shall have charge of all funds, receipts and disbursements of the association.
b.Shall submit a verbal financial report at all meetings.
c.Shall submit an annual written financial statement of the association.
d.Shall recruit members, maintain membership records and collect membership fees.
Section 3.Secretary
a.Shall keep the minutes of all meetings of the association. These shall be made available to the members of the Executive Board prior to the next meeting.
b.Shall maintain copies of all correspondence on behalf of the association.
c.Shall be responsible for maintaining a list of all reference materials, such as magazines, reprints and videos and have them available for general membership use and loan to the public.
Section 4.Government Liaison/Auditor
a.Shall network with a variety of governmental agencies, such as GEPA, DPW, GEDA and the Legislature so the group can be informed of upcoming hearings and actions by these groups which are of interest to the association. This may be accomplished by a committee appointed by this member of the Executive Board.
b.Shall report monthly to the association at the Executive Board meeting.
c.Shall audit yearly all the books of the treasurer and certify their correctness to the regular membership at the May elections of officers meeting.
Section 5.Executive Board Standing Committee Chair
a.Special Project Coordinator. Shall facilitate the development of special projects, either short or long term that will involve the general membership.
ARTICLE VII
MEETINGS
Section 1. General membership meetings will be held once monthly or as needed, to be decided by the regular members.
Section 2. Executive Board Meetings will be held once monthly or as needed. These meetings are open to all members.
Section 3. Special meetings may be called by any regular member working with the President to notify members. Special meetings shall require at least 2 days prior notification.
Section 4. In the event that member(s) choose not to attend meetings, member can appoint someone else to act as their proxy, or representative.
ARTICLE VIII
QUORUM
Section 1. A simple majority of the Executive Board, four (4) members, shall constitute a quorum.
Section 2. In the event of failure to obtain a quorum at an Executive Board meeting, no binding votes will be taken.
Section 3. The concept of “quorum” will not apply when a vote needs to be taken at a general membership meeting. A minimum of one third (1/3) in attendance that is current in their membership dues will be needed to pass the position or issue presented to the association for a vote.
ARTICLE IX
AMENDMENTS
Section 1. This constitution may be amended by any regular member and ratified by a simple majority of those current in their membership dues in attendance at the meeting. Amendments will be presented at the general membership meeting one month before being voted on.
ARTICLE X
DISSOLUTION
Section 1. Upon resignation of all members, any remaining assets will be donated to a charitable organization(s) designated by the Executive Board.
RECYCLING ASSOCIATION OF GUAM
STATEMENT OF SPECIFIC PURPOSE
The purpose of our organization is to reduce the amount of solid waste produced on Guam.
Activities we propose to achieve this purpose are:
1. Educate policy makers and the public on alternatives in solid waste reduction.
2. Promote recycling by facilitating, locating and maintaining collection facilities.
3. Encourage and facilitate waste reduction and recycling among industries.
4. Collect data on legislators and other policy makers regarding decisions on solid waste, and relay this information to the public.

AMMENDMENTS TO THE CONSTITUTION AND BY-LAWS
AMMENDMENT
Revise ARTICLE II Section 1 to read: “To educate the public and Government Officials about the benefits of recycling and how recycling is an important component in reducing Greenhouse gasses”.
Revise ARTICLE IV Section 1 to read: “That voting rights for a family includes all members of that family up to four (4) with a minimum voting age of 16”.
Revise ARTICLE IV Section 2 to read: “To reduce the number of the executive board from seven (7) to five (5)”.
Revise ARTICLE VIII QUOROM to read: “To change the requirement from a majority in attendance of 1/3 in attendance”.
