Interchange

A significant amount of the fees that we charge your for processing your credit card and signature debit card transactions represents charges that we must pay the card issuing banks (or that are otherwise charged to us by MasterCard and Visa) under MasterCard and Visa (the “Associations”) rules. This amount, often referred to as “Interchange fees” or simply “Interchange”, varies based upon a complex series of Interchange categories (“Interchange Levels”) and rates that may apply to the transaction depending on a number of factors, such as the type of card presented, specific information contained in the transaction, how and when the transaction is processed, your industry, and other factors. As a result, a portion of the total fees that we charge you depends on the type of transaction and the Interchange level at which the transaction processed. In order for a transaction to qualify at any specific Interchange level, the applicable qualification criteria established by the Associations must be met. Note that MasterCard and Visa regularly add new Interchange levels, and change the interchange rates and qualification criteria for existing Interchange levels.

Target Discount Rate and Target Qualification Level

Every credit card and signature debit card transaction will be charged the Qualified Discount Rate. Chase Paymentech has set your Qualified Discount Rate based on the assumption that all of your transactions will satisfy the criteria established by MasterCard and Visa rules to meet the Target Qualification Level set forth on your pricing schedule. The Target Qualification Level is the Interchange level that we expect to apply to your transactions. It is determined based on the type of transactions you submit and how they will most likely be processed. However, it is possible that some or many of your transactions will downgrade to a more costly Interchange level, resulting in higher Interchange. This may occur because those “Non-Qualified Transactions” do not meet the criteria to qualify at your Target Qualification Level. Such transactions are subject to fees in addition to the Qualified Discount Rate (see “Non-Qualified Transactions” below). Non-Qualified Transactions

Non-Qualified Transactions will be downgraded by MasterCard or Visa, resulting in Interchange fees higher than the Qualified Discount Rate. For processing each such “Non Qualified Transaction”, we will charge you both the Qualified Discount Rate and an additional fee (the “Billback Amount”), equal to the sum of (i) the applicable incremental interchange amount (i.e. the difference between the Interchange fee associated with your Target Qualification Level and the Interchange fee at which the Non-Qualified Transaction was actually processed), and (ii) a Non-Qualified Surcharge, each as defined below. The total of any Billback Amount will appear on your statement.

Non-Qualified Surcharge: a fee assessed by Chase Paymentech for processing a Non-Qualified Transaction, and is calculated as a percentage of the amount of the Non-Qualified Transaction. For Non-T&E merchants, the Non-Qualified Transaction will not be assessed when a transaction becomes non-qualified solely as a result of having accepted Visa Rewards and/or MasterCard World Cards, when all other qualifying criteria for your Target Qualification Level are otherwise met.
