EXHIBIT AGREEMENT

Office of Continuing Medical Education

Deborah Heart and Lung Center and the Office of Continuing Medical Education is the designated entity responsible for managing the conduct of all activities associated with independent Continuing Medical Education activities accredited through Deborah Heart and Lung Center. Deborah Heart and Lung Center CME is responsible for ensuring that all such educational programs are designed to provide education based on the most current science and to serve the educational needs of physicians and healthcare professionals. In addition, Deborah Heart and Lung Center is responsible for ensuring that all such educational programs are developed without the influence of commercial interests in compliance with the ACCME Standards of Commercial Support and related policies, as well as other federal regulations.

In an effort to provide physicians and other healthcare professionals with access to information about currently available therapies, equipment and tools, the CME may elect to provide opportunities for exhibit tables to commercial entities (each a “Company”) at its directly sponsored CME activities or those of its joint sponsors and Affiliates.

Decorating Guidelines

Every effort will be made to accommodate the needs of Sponsors and/ or Exhibitors equipment. Power strips, and extension cords are the responsibility of the exhibitor. We request that exhibitors follow general safety procedure to avoid tripping hazards or displays that interfere with other exhibitors. Event organizers reserve the right to move or rearrange exhibitors’ display as needed.

Elcom Solutions,Inc. referred to hereinafter as “Elcom”, Deborah Heart and Lung Center, referred to hereinafter as “DHLC” and the undersigned firm, referred to hereinafter as “Exhibitor”, agree as follows:

1. Elcom and DHLC will provide exhibit space and facilities in its 2013 Exhibits as described in the Exhibit Brochure and in accordance with items 2 through 9 below.

BOOTHS:

A total of ______booths at $595 for a total of $______payable with signed contract mailed to Event Manager. Deadline September 6, 2013

2. Exhibitor understands that there are other charges for electrical power, special decorations, shipping and storage handling, as described in the Exhibit Rules.

3. Exhibitor will abide by the rules and regulations as described and referenced in the Exhibitor Rules.

4. The Exhibits Manager will make the final determination as to whether the products and services of prospective Exhibitors are relevant to the show.

5. Exhibitor will accept space assignment other than choice indicated in the event said choices are not available or are in conflict with previously assigned adjacent exhibits. Elcom reserves the right to move an Exhibitor or improve the appearance of the show.

6. Exhibitor may, if desired, cancel the agreement and receive a refund, less a service charge of $175, if written request is made by September 6, 2013. No refunds will be made after that date.

7. The Meeting Center or Elcom shall not be liable to the Exhibitor for any damage to, or loss or destruction of, an exhibit or property of the Exhibitor by fire or other casualty; whether caused by negligence of the Meeting Center or Elcom, their officers, agents, servants, employees, or otherwise. All claims from such losses are expressly waived by the Exhibitor and Exhibitor shall indemnify and hold the Meeting Center and Elcom harmless from such claims.

8. CARE OF BUILDING AND EQUIPMENT: Exhibitors or their agents shall not injure or deface walls, floors, or carpets of the building, the booths, or the equipment of the booths. Exhibitors are forbidden to drive tacks, nails, or screws into walls or woodwork. When such damage appears, the Exhibitor is liable to the owner of the property so damaged.

9. Elcom reserves the right to refuse any exhibit or Exhibitor and further reserves the right to shut down any exhibit for breach of this agreement or for cause, in which event Elcom is liable only to the extent of refunding the exhibit fee.
