Description of and theLocationofWork to be done:

WHEREAS,Contractorwishestoperformworkand/orfurnishmaterialstoOwnerattheworklocationnoted above. NOWTHEREFORE,inconsiderationofgrantingContractorthecontracttoperformtheabovenoted Work at a mutuallyagreed upon price, the partiesagreeas follows:

1)InsuranceandProtectionoftheWorkandProperty (theRequiredInsurance)

a)DuringtheperformanceoftheWork,Contractorshallmaintainandkeepinforce,atitsown expense, the followingRequiredInsurance coverageand minimum limits:

i)Commercial GeneralLiability

$1,000,000each occurrence

$1,000,000personal andadvertisinginjury

$2,000,000general aggregate

$1,000,000 products-completed/operations aggregate

ii)Business Auto

$1,000,000combined single limit(eaincident)

iii) Worker’s Compensation/Employer’s Liability

Bodilyinjurylimits as required by Owner;

-Bodilyinjurybyaccident-$500,000 eachaccident

-Bodilyinjurybydisease-$500,000 each employee

-Bodilyinjurybydisease-$500,000 policylimit

b)ContractorwillprovideOwneraCertificateof Insurancewith Owner namedasadditionalinsuredpriortocommencementofWork. Anendorsementaffording30dayspriornoticetothe Ownerbycertifiedmailintheeventofcancellation,non-renewal,modification,orreductionof coverageintheRequiredInsurancewillbeaprovisionstatedonthefaceoftheCertificateof Insurance.

c)ThefailureoftheOwnertodemandCertificatesofInsuranceandendorsementsevidencingthe Required Insurance or to identify any deficiency in Contractor’s coverage based upon the evidenceofinsuranceprovidedbyContractorwillnotbeconstructedasawaiverbyOwnerof the Contractor’s obligation to procure, maintain and pay for the Required Insurance. Notwithstandinganyprovisiontothecontrary containedherein,anywaiveroftheRequired Insurance,including,withoutlimitation,theamountorextentofcoverage,mayonlybeobtained bythe prior written consent of Owner.

2)Compliancewith Laws.

ContractorwillcarefullycheckthescopeoftheWorkforconformitywithalllocal,stateandfederal laws,codes,rulesandregulationsbearingontheWork(hereinaftercollectivelycalled“Law”)before commencingtheWork.UnlessOwnerotherwiseagreesinwriting,beforecommencementoftheWork, ContractorwillobtainatitssolecostandexpenseallpermitsnecessaryfortheWork. Contractorwill complywithproductmanufacturer’sspecificationsandwillgiveallnoticesandcomplywithallLaw bearingontheWork,includingbywayofenumerationandnotlimitations,safetyandhealthrulesand regulationsestablishedbyorpursuanttotheFederalOccupationalSafetyandHealthActof1970,and Contractor at all times will furnish to its agents and employees asafeplaceof employment. If ContractorobservesanyviolationofLaw,itwillimmediatelyreportsuchviolationtoOwnerinwriting. Contractorwillberesponsibleforanyfines,charges,orpenaltiesrelatedtotheWork,including,without limitation, fines, charges and/or penalties related to the operation of equipment, the Contractor’s performanceoftheWork,thehandlingofmaterialsoranyotherfunctionthatisaviolationoftheLaw. Furthermore,Contractorwillberesponsibleforanyfines,chargesorpenaltiesrelatedtotheWorkthat maybeimposedupontheOwnerduetotheContractor’sfailureconformtotheLaw. Allworkmanship andmaterialswillconformtoLawand,ifContractorperformsorpermitstheperformanceofanyWork notin compliancewithLaw,itwillimmediatelycausesuchWorktoberedoneandbearallcostin connectiontherewith. TheWorkasperformed,willmeetwiththeapprovalof,andpassanyinspection of, anygovernmentalauthorityhaving jurisdiction thereof. Nowork willbedeemed completeuntil final inspectionismadeandapprovalisreceivedfromevery governmentalauthoritywhoseapprovalis required.

a)TheOccupationalSafetyandHealthAdministration(“OSHA”)haspromulgatedregulations

(“Regulations”) that mayapplyto theContractorin theperformanceof theWork.

Contractor agrees asfollows:

i)ContractorwillfullycomplywiththeRegulationsandwillcooperatewithOwnerandall subcontractors of Ownerin order to assure compliancewith theRegulations.

ii)Contractorherebyacceptsfullresponsibilityandliabilityforthetraining ofitsemployees astoallprecautionarymeasuresnecessarytoprotectsuchemployeesduringbothroutine and emergencysituations that might arise.

iii)Contractorwillindemnify,defendandholdOwnerharmlessofandfromallClaims, damages, liabilities,andcausesofactionthatarisefromthefailureofContractorto comply with the Regulations, even if Owner itself has failed to comply with the Regulations or has beennegligent.

iv)Contractor will assist Owner in complyingwith theRegulations

v)ContractorwillnotuseanychemicalsinitsperformanceoftheWorkforOwneror incorporateanychemicalsintomaterialsorproductssuppliedtoOwnerortotheWork locationsunlessContractorhasgivenOwnerpriorwrittennoticeoftheexistenceandthe possibleexposuretosuchchemical,hasdeliveredaMaterialSafetyDataSheet,andhas received awritten consent of Owner to usesuch chemicals.

3)Indemnity andRelease

ContractorrecognizesthataccidentsandotherproblemsmayoccurwhileitsWorkisbeingperformed. Contractor alsorecognizes that becauseof such problems, Claims maybemadeagainstOwner orothers. BecauseContractorandOwnerintendthatContractorwillbesolelyresponsibleforthesupervisionof itsWorkandallconsequencesoftheWork,Contractoragreestothefullestextentpermittedbylawto indemnify,defend,protectandholdtheIndemnifiedParties(ashereinafterdefined)harmlessfromany andallClaims. TheIndemnifiedPartiesareOwner,theownerofthelocationifotherthanOwner,all subsidiaries, divisions, partners, parent and affiliated companies of Owner, and all such parties’ representatives,partners,designees,officers,directors,shareholders,employees,agents,successorsand assigns,andanylenderofOwnerwithasecurityorcollateralinterestintheWork(hereinafterreferred toindividuallyasan“IndemnifiedParty”;andcollectivelyasthe“IndemnifiedParties”). Thismeans thatContractorwillpayanyattorneys’ feesandexpensesthattheIndemnifiedPartiespaytodefend themselvesfromanyClaimsandthatContractorwillalsopay,ontheIndemnifiedParties’behalf,any judgmentrenderedagainsttheIndemnifiedPartiesoranysumthattheIndemnifiedPartiesagreetopay insettlementofanyClaims. ThisissoevenifContractorhasprovidedworker’scompensationorother benefitstoaninjuredworker,andevenifanIndemnifiedPartywasstrictlyliablefortheClaimorwas negligent itself. Contractor understands and acknowledges that the Indemnification and defense obligations under this agreement extend to and include claims arising from the active or passive negligence or strict liabilityof the Indemnified Parties but do not include claims that arefinally determined to resultfromthe sole negligenceor willful misconduct of theIndemnified Party.

AsusedinthisAgreement,a“Claim”or“Claims,”asthecasemaybe,meansanyandallclaims (includingwithout limitation,claimsforbodilyinjury,financialloss,death,ordamagetoproperty), demands,causesofaction,lawsuits, liabilities,losses,obligations,damages,actions,fines,penalties, costandexpenses(includingbutnotlimitedtoattorney’s fees,courtcostandallotherprofessional, expert or consultants’ fees and costs), arisingfromor directlyor indirectlyrelated to theWork.

AClaimthatresultsinany mannerfromthe Work(includingbutnotlimitedtodefectsinworkmanship, materials,and/ordesigndefects,ifthedefectswasthatofContractororitsagents),orfromthepresence ofanemployee,subcontractor,supplierorotherworkerorrepresentativeofContractoronthelocation, orfromactivitiesconductedbyoronbehalfofContractoronthelocations(includingbutnotlimitedto thenegligentand/orwillfulacts,errorsand/oromissionsofContractor,itsprincipals,officers,agents, employees,vendors,suppliers,consultants,subcontractorsoranyoneemployeddirectlyorindirectlyby anyof them or for whoseacts theymaybeliable),arises from Contractor’swork.

Theduty todefendunderthisSection3isindependentandseparatefromtheduty toindemnify,andthe dutytodefendexistsregardlessofanyultimateliabilityofContractororanyIndemnifiedParty. The dutytodefendarisesimmediatelyuponpresentationofaClaimbyanypartyandwrittennoticeofsuch Claimbeing provided toContractor. Contractor’sobligationtoindemnify anddefendunderthis Section

3willsurvivetheexpirationorearlierterminationoftheWorkuntilitisdeterminedbyfinaljudgment

thatanactionagainsttheIndemnifiedParty orIndemnifiedPartiesforthematterindemnifiedhereunder isfullyandfinally barredbytheapplicablestatuteoflimitations. Undernocircumstanceswillthe insurance requirements and limits set forth in this Agreement be construed to limit Contractor’s indemnification obligation or otherliabilityhereunder.

ContractoralsoherebyreleasesOwnerandallotherIndemnifiedPartiesfromany liabilitytoContractor becauseofa Claim otherthanaClaimorClaimsthatarefinallydeterminedtoresultfromthesole negligenceorwillfulmisconductoftheIndemnifiedParty. This meansthatContractorneverwillaskor sueOwneroranyotherIndemnifiedPartyforcompensation,reimbursement,orcontributionbecauseof aClaimreleasedhere. Contractoralsohereby agreesthatitwillnotassignitsrighttosueOwnerorany otherIndemnified Partyto anyother party.

IftheprovisionsofthisSection3violatethestatutoryorcommonlawoftheapplicablestateor governingauthority, thisSection3willnotbestrickenorfoundtobevoidinitsentirety. Rather, Contractor’sindemnificationobligationswillapplytothefullestextentpermittedbyapplicablelaw. Therefore,forexampleonly,shouldapplicablestatelawonlypermitindemnificationforcomparative negligence,thenthisSection3willmandatethatContractordefend,holdharmlessandindemnifythe Indemnified Parties for alldamages arisingfromContractor’s negligence.
