Asan applicantforagrant from the NormanArchibaldCharitableFoundation(the"Foundation")the applicant acknowledgesthat thereareconditionsonthe useofanawardedgrant andthatacertainreportonitsusearerequired asdescribed in thisagreement.If agrant isnot awardedbythe Foundationinresponse to theattendantapplicationthisagreement isvoid and hasnoeffect. Uponbeingawarded agrantfromtheFoundation theapplicantbecomesa“grantee”

and is hereinafteridentified as such.

GranteeagreestousethegrantsolelyforthepurposesoutlinedinitsproposaltotheNormanArchibaldCharitableFoundation.Granteefurtheragrees thatthesefundswillbeusedexclusivelyforexemptpurposesasdescribedintheirgrantapplication.Granteeagreesnottouseanyportionofthefundsgrantedtoparticipateinanypoliticalcampaignonbehalf of orinoppositiontoanycandidateforpublicoffice,tomakegrantstoindividualsonanonobjectivebasis,orforanynoncharitable ornoneducationalpurpose.

GranteewillrepaytheFoundationanyportionoftheamountgrantedthatisnottimelyusedforthepurposeofthisgrant.

GranteewillcompleteandsubmittotheFoundationthe numbered and dated“GrantUseReport”thatwillbeincludedwiththeFoundation’saward notification letter.Thereportisduenolaterthanoneyearofthegrant anniversarydate.Pleasemailthereportto:

Thereportwillincludetwoparts:afinancialreportandanarrativereport.Thefinancialreportwillshowrevenuesandexpensesfortheproject.ItwillshowtheamountgrantedbytheFoundationandhowthesefundswereexpended.Inthenarrativereport,Granteewillbrieflydescribehowthegrantbenefitedthe OrganizationandthefurtheranceofGrantee’s charitablepurposes. Failuretosubmita satisfactoryreportmayaffectGrantee’sfuturegrantsfrom theFoundation.

It isunderstoodthat theFoundationmakesit’sgrantwiththeunderstanding,basedupontheGrantee'srepresentation,thattheGranteeisatax-exemptorganizationofthetypedescribedinthegrantapplication,andthatitisnotnowandhasnotwithinthepastfiveyearsbeenclassifiedasa"privatefoundation"asthattermisdefinedinSection509(a)oftheCode.By executingthisagreement,Granteerepresentsthatthetax-exemptrulingit submittedtotheFoundationhasnotbeenrevokedormodified.

GranteewillnotifytheFoundationimmediatelyofanysignificantorganizationalchangesduringthetermofthegrant,includingchangesinkeypersonnel,taxstatusorthegoalsoftheproject.

GranteewillpermitrepresentativesoftheFoundationtovisitthepremisesandreviewactivitiesoftheGranteewithrespecttotheprogramssupportedbythisgrantandwillpermittheFoundation,atitsownexpense,toconductanindependentfinancialand/orprogrammaticauditof theexpenditureofthisgrant,iftheFoundationdeemsit necessary.

Anauthorizedrepresentativeoftheapplicant’sorganizationisexecutingthisgrantagreementasevidenceof understandingandacceptanceofitsterms andconditions.Acopyofthisagreementisacknowledgedasbeingretainedbytheapplicant.
