NON-DISCLOSURE/NON-CIRCUMVENT AGREEMENT

CONVENANT OF CONFIDENTIALITY

The undersigned acknowledges that LONG & FOSTER REAL ESTATE, INC., hereinafter referred to as Broker, has been requested to and will furnish to the undersigned certain information relating to the properties known as YOO LIQUOR, AKA 833 TAYLOR AVENUE, TOWSON, MD. 21286,undersigned or register designees of said property or an interest therein.

In accordance with arrangements made and in consideration of your introduction to this offering and/or to this project by Long Foster Real Estate, Inc., you agree herewith not to, at any time, attempt in any way to circumvent by making or attempting to make any direct contact with any of our principals without our permission.

I will not disclose this financial data or any information relevant to this sale package to any third party, corporation, or any other entity without prior approval. This agreement shall remain in effect for a period of three (3) years from the expiration of the first disclosure data.

It is herein acknowledged by the undersigned that said information is in all respects of a confidential nature and that any disclosure of the same or use of the same by the undersigned except for the express purpose stated can and will involve harm or damages to the said business, its owners, proprietors and Long Foster Real Estate, Inc., Broker. Therefore, the undersigned convenants that the undersigned will not use or employ the said information for any purpose other than for the consideration of the purchase, and covenants that the undersigned will not directly or indirectly by agent, servant employee, disclosure the said information, either in whole or in part, to any third person, whether individual, firm, company or corporation. At the close of negotiations as herein contemplated, and upon examination for the purposes herein stated, the undersigned will return all records, documents, and memoranda furnished pursuant hereto the Broker, and will neither make nor retain any copy, reproductions, or record thereof.

It is understood that use of disclosure of confidential information in violation of this covenant may result in legal or equitable action by or for the above named company and, Broker, jointly, to enjoin its use or disclosure or recover damages for same.
