NON-CIRCUMVENT,NON-DISCLOSUREANDCONFIDENTIALITYAGREEMENT
THISAGREEMENTenteredintoonthis dayof___, ______2018isfortheProfessionalAssociation andarrangementof Non-Circumvent,Non-Disclosureand Confidentialitybetween ______on whoseprincipalplaceofbusinessis______,_____ andMHP Global whose principal place ofbusinessis20968 MackAvenue,Grosse Pointe Woods, Michigan48236 hereinafter, called“TheParties.”
ThePartieswiththisrespectagreetorespecttheintegrityandtangiblevalueofthisagreementbetweenthem.
THISAGREEMENTisaperpetualguaranteefor2year(2)fromthedateofexecutionandistobeappliedtoanyandalltransactionspresented by MHP Global present and future.
.ThePartiesagreetokeepconfidentialthenamesof anycontactsintroducedorrevealedtotheotherparty,andthattheirfirm,company,associates,corporations,jointventures,partnerships,divisions,subsidiaries,employees,agents,heirs,assigns,designees,orconsultantswillnotcontact,dealwith,negotiateorparticipateinanytransactionswithanyofthecontactswithoutfirstenteringwrittenagreementwiththePartywhoprovidedsuchcontactunlessthePartygivespriorwrittenpermission.Suchconfidentialitywillincludenames,addresses,telephone,telex,facsimilenumbers,and/orotherpertinentinformationdisclosedorrevealedtoeitherParty.
ThePartiesagreenottodisclose,revelormakeuseofanyinformationduringdiscussionorobservationregardingmethods,concepts,ideas,product/services, orproposednew products or services,nor todobusinesswithany oftherevealedcontactswithoutthewrittenconsentoftheintroducingparty.
ThePartiesagreethatduetothemanyvariablessurroundingeachRealEstateandBusinessFinancingtransactionsthatwilloccurbecauseofthisagreement,thecommissiontobepaidandthefeestructurebetweenthepartiescanvary.Aseparatefee/commissionagreementwilloutlinecompensationforRealEstateorBusinessFinancingTransaction.ThefeeorcommissionagreementmustbedraftedandacknowledgedbysignaturebeforeallBusiness/FinancialTransactions.
In caseofcircumvention,theParties agreeandguarantee thattheywillpayalegalmonetarypenalty thatisequaltothecommissionorfeethatthe circumvented Partyshouldhaverealizedinsuchtransactions,bythepersonsengagedonthecircumventionforeachoccurrence.
IfeitherpartycommenceslegalproceedingstointerpretorenforcethetermsofTHISAGREEMENT,theprevailingPartywillbeentitledtorecoverthecourtcostsandreasonable
attorneyfees.Priordirectbusinessrelationshipswith any referredparty shallbeexcludedfromthisagreement.TheParties agreetoprovidetheotherwith timely notice ofanyprior relationships. Prior relationshipsshall be construedasdirect contactwithintheprevioustwelve(12)monthswith thereferredpartyin regardstoreal estate transactions,notesorBusinessFinancing/DevelopmentTransactions.
ThePartieswillconstrueTHISAGREEMENTinaccordancewiththelawsoftheStatethatthepropertyinlocatedin.Ifanyprovisionofthisagreementisfoundtobevoidbyanycourtofcompetentjurisdiction,theremainingprovisionswillremaininforceandeffect.
THISAGREEMENTcontainstheentreunderstandingbetweenthePartiesandanywaiver,amendmentormodificationtoTHISAGREEMENTwillbesubjecttotheaboveconditionsand mustbeattachedhereto.
UponexecutionofTHISAGREEMENTbysignaturebelow,thePartiesagreethatanyindividual,firm,company,associates,corporations,jointventures,partnerships,divisions,subsidiaries,employees,agents,heirs,assigns,designeesorconsultantsofwhichthesigneeisanagent,officer,heir,successor,assignordesigneeisboundby thetermsofTHISAGREEMENT.
AfacsimilecopyofthisNon-Circumvention,Non-DisclosureandConfidentialityAgreementshallconstitutea legalbindinginstrument.BysettingforthmyhandbelowIwarrantthatIhavecompleteauthoritytoenterintoTHISAGREEMENT.
