Explanatory notes

These notes are provided as supplementary information to explain the board election process:

Clause 17 of the Fams Constitution

17.1The Board is to consist of:

a)the office-bearers of the Association;

b)ordinary members, each of whom is to be elected at the annual general meeting of the Association under clause 18 and

c)up to two co-opted members for particular expertise. Such co-opted members will have all rights and responsibilities ordinary Board members.

17.2The total Board will consist of a minimum of 7 elected representatives.

17.3The office-bearers of the Association are as follows:

a)the Chairperson,

b)the Vice Chairperson,

c)the Treasurer,

d)the Secretary.

17.4A Board member may hold up to two offices (other than both the Chairperson and Vice Chairperson offices).

17.5Each member of the Board is, subject to this constitution, to hold office until the conclusion of the second annual general meeting following the date of the member’s election, but is eligible for re-election.

Clause 18 of the Fams Constitution

18.1Nominations of candidates for election as office-bearers of the Association or as ordinary members

a)must be made in writing, signed by two members of the Association and accompanied by the written consent of the candidate (which may be endorsed on the form of the nomination), and

b)must be delivered to the Secretary of the Association at least 42 days before the date fixed for the holding of the annual general meeting at which the election is to take place.

Board members are elected for two-year terms and retire in rotation, half of them being elected every year. Newly elected board members begin their two-year term following the AGM. This ensures the Board has a continuing, but rotating membership. It also encourages a reasonable period of tenure of board members, maximises Board stability, supports the infusion of new ideas, and reduces the risk of the Board being captured by a small clique.

In accordance with the above, the following elected board members will end their current term (2-years) at this year’s AGM:

Note: Retiring board members reserve the right to stand for re-election, should they so desire and providing they have not served more than four (4) consecutive terms on the Board.
