CERTIFICATE RE:

NEW MEXICO BUSINESS OPERATIONS AND PROPERTIES

In connection with a debt financing by Southern California Edison Company, a California corporation (the "Company"), the undersigned hereby certifies that:

(1)The undersigned is a duly elected officer of the Company and has authority to execute and deliver this certificate;

(2)The undersigned is generally familiar with the operations and properties of the Company and the information that is the subject matter of this certificate and, although not personally familiar with all of such information, is informed and believes, based on the undersigned’s familiarity with the activities of the Company and on confirmations of such information from appropriate persons within the Company, that such information is accurate and complete; and

(3)With respect to the business operations and properties of the Company located in the State of New Mexico, the Company owns an undivided interest as tenant-in-common in certain easements and other rights conferred by the Grant of Federal Rights-of-Way and Easements dated July 6, 1966, as amended on April 25, 1985, made by the Secretary of the Interior under authority of various acts of Congress, including the Act of February 5, 1948 (62 Stat. 17, 18, 25 USC Sections 323-328), to the Company and five other participants in the Four Corners Project, and in the leasehold interest conferred by the Supplemental and Additional Indenture of Lease and the Amendment and Supplement No. 1 to Supplemental and Additional Indenture of Lease, as amended, approved by the Secretary of the Interior of the United States on July 6, 1966 and April 25, 1985, respectively, granted by The Navajo Tribe of Indians (the "Navajo Nation") to the Company and five other participants in the Four Corners Project over tribal (Navajo Nation) land, and in two coal-fired steam electric generating units now in operation, which interests, together with the aforesaid units are subject to the provisions of the Co-Tenancy Agreement, as amended, and are located in San Juan County and (in the case of the leasehold interest only but excluding the units) in McKinley County; with respect to the said units, the Company, with other participants in the Four Corners Project, has entered into an arrangement for a fuel and water supply therefor; the Company purchases transmission service from Arizona Public Service Company (“APS”) between Four Corners and the Arizona-New Mexico border; the Company owns no electric distribution facilities in the State of New Mexico and makes no sales of electricity at retail in that State; the Company makes no sales for resale to other utilities and no purchases for resale from other utilities in the State of New Mexico except as follows:

(a)Occasional sales of electric energy to APS at a delivery point at the Four Corners Project in the event that APS's Four Corners Unit 3 has been tripped, in lieu of tripping Unit 4 or Unit 5 as the result of an unplanned outage of the 500-Kv line owned by APS and used to transmit the Company's Four Corners electric energy entitlement to the Company's system at the Nevada-Arizona border;

(b)Occasional sales by the Company of electric energy generated on the Company's system from generation located in and outside of the State of New Mexico to any one or all of the other Four Corners Project participants under certain emergency and contractual conditions, which electric energy could be consumed inside and/or outside of the State of New Mexico;

(c)Occasional short-term purchase and sales transactions with power marketers, utilities or other load serving entities throughout the western United States in accordance with master enabling agreements where energy is sold, purchased, or exchanged in each state; and

the Company does not conduct any operations or activities related to the generation, purchase, transmission, distribution or sale of electricity in the State of New Mexico other than those previously referred to in this paragraph (3) for the contemplated purpose of generating electricity for its own use in serving customers as a public utility in portions of the State of California.
