Code of Conduct

The National Coalition of 100 Black Women, Inc. XXXXXXXXX Chapter (“NCBW”) Code of Conduct was developed to ensure a friendly and respectful environment for NCBW members to gather and work in a spirit of cooperation, service, and good will. To ensure the Code of Conduct is administered in a fair and equitable manner for all members of the NCBW XXXXXXX Chapter, an Ethics Committee consisting of three (3) chapter members will be formed as the arbiter of any and all infractions.

The following behavior is expected, but is not limited to, of all members:

All members must conduct themselves in a manner that:

Creates an environment and culture that is reflective of the mission and integrity of NCBW and personal respect for others.

Acknowledges NCBW as a family friendly environment and therefore, refrains from using obscenities, loud, boisterous and/or inappropriate behavior.

Observes proper etiquette and protocol at all meetings and NCBW events, as set forth in the Chapter Bylaws and Roberts Rules of Order.

Shows the utmost respect and dignity to fellow members, guest and/or vendors.

Does not damage the character or integrity of members, guests and/or vendors.

Does not denigrate, talk down to or scream at members, guests or vendors and does not create unnecessary strife and divisiveness.

Does not promote, support, or contribute to divisiveness among members.

Does not misrepresent their position and/or authority to members, guests or vendors.

Does not misuse organizational resources (i.e. money, equipment, etc., or time).

9. Does not misuse organizational authority to intimidate others.

10. Does not engage in any activity that may be an actual or perceived conflict of interest.

11. Does not knowingly participate in, suppress, or withhold information or activities that may cause damage or bring ill repute to the organization, its mission, activities or members.

13. Does not create a negative atmosphere by chronic complaining or promoting adversity in any form of communication, including emails or telephone calls.

14. Acknowledges that gifts (regardless of value, like awards, food, tickets, or hotel points) offered on behalf of the organization, are the property of NCBW XXXXXX Chapter and are not the property of the person generating and/or receiving them. Such gifts must be communicated and/or delivered to the appropriate person as determined by the President or her designee as set forth in the NCBW XXXXXXX Chapter bylaws or policies and procedures.

15. Does not use the organization's logo, letterhead or name without proper written authorization from the Board or President’s designee.

16. Does not sign contracts, letters or any other documents on behalf of the NCBW without express written authorization from the President.

Does not verbally authorize any contractual obligations on behalf of the NCBW XXXXXX Chapter without express written authorization from the President or her designee.

17. Adheres to the provisions of the Chapter bylaws, policies and procedures.

18. Understands and observes Robert’s Rules of Order during all chapter meetings.

19. Understands that posts on any public or personal social media sites or other forums, including but not limited to discussion lists, newsgroups, listservs, blogs or micro-blogs (i.e. Twitter), multi-media, video sharing, photo sharing sites, social media sites (i.e. LinkedIn, Facebook), chat rooms, wikis, or any other electronic or print communication format and meeting any of the following criteria are prohibited:

a. Anything that may harm the goodwill or reputation of NCBW or any disparaging information about NCBW or NCBW members, even if specific members are not identified.

b. Any disparaging, discriminatory or harassing information concerning any member, guest, vendor or other person associated with NCBW.

c. Any confidential information, trade secrets, or intellectual property of NCBW obtained during your membership including information relating to finances, legal matters, operational methods, plans and policies.

d. Any private information relating a member, guest or vendor of NCBW.

e. Promotion of private ventures on the NCBW Facebook page (i.e. services, campaigns, political organizations).

When speaking as a private individual, consider including a disclaimer on your personal site(s). The following sentence is suggested:

“The views expressed on this [blog, website] are mine alone and do not reflect the views of NCBW XXXXXXX Chapter.”

The Ethics Committee

The Ethics Committee is developed to ensure fair, equitable and sound decisions in all matters presented on behalf of the organization and its members. Guided by a spirit of retention and organizational sustainability, the ethics committee will work to ensure a cohesive operational environment. The Ethics Chair shall be appointed by the President and shall have the necessary skills in conflict resolution. The Ethics Committee shall consist of three (3) members appointed by the Chapter President and approved by the Board.

All Ethics Committee members are expected to conduct themselves in a manner that:

1. Reflects honesty, integrity and support for the best interests of NCBW and it members.

2. Demonstrates a professional and healthy regard for confidentiality.

3. Affords the membership an identifiable method to voice ethics related concerns in a proper and consistent manner, namely:

a. A place to bring concerns, ideas, and suggestions for appropriate consideration and/or action

b. A respectful place where they have the freedom to voice opposition and/or support

c. A place that does not create unnecessary strife, ill-will, or divisiveness among the membership.

The Ethics Committee shall respectfully consider ethics related concerns, ideas, suggestions, and complaints.

  1. The member(s) requesting assistance from the Ethics Committee may notify the Ethics Committee Chair of her need in writing, via email.
  2. The Ethics Committee Chair shall acknowledge the notification within forty-eight (48) hours in writing, via email and then schedule a meeting for the member with the Ethics Committee within ten (10) business days from the date of such acknowledgement.
  3. The Ethics Committee will dedicate no more than two (2) meetings to any matter requested a chapter member.
  4. The Ethics Committee will issue findings that address the member's issues and will submit a recommendation to the Board for resolving the member issues.

  1. All recommendations from the Ethics Committee must be based on the chapter Bylaws and Policies & Procedures.Recommendations may include a written warning to a member, signed by the chapter President, before any further disciplinary action is pursued.

If the Board accepts and approves of the recommendation from the Ethics Committee, then the decision is binding and requires no further discussion or vote by the membership.

Acknowledgment of Receipt of NCBW Code of Conduct

 I hereby acknowledge that I have received a copy of the NCBW Code of Conduct on the date indicated. I further acknowledge that I have read, and do understand

 I will conduct myself professionally, with truth, accuracy, fairness, respect and support for fellow NCBW members and supporters

 I understand and accept that any violation of the Code of Conduct is grounds for disciplinary action up to, and including removal as a member of NCBW XXXXXXX Chapter
