CounterExploitation –

6 S. 6th Avenue, Suite 101

LaGrange, IL 60525

Dear Mr. Gipson:

Thank you for your letter dated March 22, 2004, and yourrevised website content regarding New.net, Inc. and its client software. Unfortunately, CounterExploitation still seems to misunderstand our company and our software, and the revised website content still contains misinformation.

Please note that the examples of false and misleading statements contained on that were set forth in our initial letter, dated March 12, 2004, were not intended as a comprehensive list of all of our objections to the content on the website. Please also note that our initial letter was certainly not intended as a threat to CounterExploitation (as you suggest) but rather as a mechanism for opening a free and open dialogue about our business practices and our software.

We would also like to point out that we were recently accepted, after a full vetting of our company and our software, as the first software vendor member of COAST (Consortium of Anti-Spyware Technology Vendors), a non-profit organization established to create a forum for providing information to PC users about the growing spyware threat. In addition, several anti-spyware/adware software vendors have removed, or are in the process of removing, the New.net software from their list of detected software applications (including Spybot Search and Destroy, Spyware Eliminator, Spy Sweeper, SpyHunter, NoAdware, BPS Spyware and Adware Remover, Adware Cop, iSpyKiller, and SpyFerret).

In light of the foregoing, we suggest setting up a telephone conference on which both parties could discuss their respective concerns and we could answer any questions that you may have about our business or our software. If you are amenable to a telephone conference, please contact me at the telephone number or email address provided above to set up a time to chat. Please understand that we have a strong preference to resolve our differences amicably, and we believe that is reflected in the efforts we are making to open a good faith dialogue with CounterExploitation.

Sincerely,

Mark J. Sonnenklar
