Introduction

FNQ Angels is the first local angel investor network for locals to invest in local start ups. Based on the success and popularity of angel investing in other parts of the world and Australia, the organisation aims to introduce and encourage the concept of angel investing in our region. The concept is about providing capital funding as well as providing mentoring and introductions to business connections.

FNQ Angels is a not-for-profit incorporated association developed and brought to life by professionals at MacDonnells Law and Halpin Partners following their experiences in the start up and capital raising fields. Members of FNQ Angels will be invited to quarterly events to hear from exciting start up or scale up businesses and to have the opportunity to connect and learn about angel investing.

The aims of FNQ Angels are:

  1. To create a platform for entrepreneurs, aimed at showcasing their ideas and helping them develop these ideas into commercially viable ventures;
  2. To provide opportunities to our members to obtain high financial returns by investing in startups or recently incorporated companies with high growth potential;
  3. To identify innovative startups or high growth potential companies’ entrepreneurs who require funds to develop their businesses;
  4. To accelerate businesses in innovation, access to new markets and in achieving market leadership;
  5. To create a platform for exchange of ideas and convert them into commercially viable ventures;
  6. To mentor, guide and educate entrepreneurs during the process of seeking angel investment;
  7. To bridge financial gaps for startups and successful enterprises to grow;
  8. To formulate policies and provide business facilitation services for an environment conductive for startup, industrial development and regional integration;
  9. To enable more early stage businesses to create scale and value and provide education and inputs on strategy as well as execution;
  10. To address the current acute lack of funds available to early stage companies;
  11. To actively develop close ties with other early stage investors to leverage the relationships and be able to make larger co-investments; and
  12. Generally, to do all such lawful things as are incidental or conducive to the attainment of the above functions.

Other members will be ordinary members entitled to attend and vote at annual general meetings.

In addition to formal meetings, quarterly events will be held at which members can socialise and hear from exciting new businesses.

Fees

For Members – an annual membership fee of $195 applies. This fee goes towards the administrative and compliance costs of FNQ Angels.

For Startups – no fees.[1] At some stage in the future we may introduce a fee for a pre-pitch screening meeting with the Executive Committee and the opportunity to pitch in front of members of FNQ Angels.

Code of Conduct

We, the members of FNQ Angels, in recognition of the importance of our investment activity and mentoring in affecting the livelihoods of others, and in accepting a personal obligation to our peers and the communities in which we act, do hereby commit ourselves to the highest ethical and professional conduct and agree that every member of our community is expected to comply with this Code of Conduct.

A member shall, in respect of any angel investment, or related activity in which the member is an actual or prospective investor, mentor or advisor, comply with the following standards of conduct:

  1. Members shall act with honour, integrity, dignity, diligence and in good faith in order to merit the trust of their peers and of the community.
  2. Members shall act with honesty, equity and without discrimination towards all individuals in the community.
  3. Members have an obligation to be ethical in judgement and actions.
  4. Members shall not take improper advantage of their position as an actual or prospective investor, mentor or advisor.
  5. Members shall not make improper use of information acquired as an actual or prospective investor, mentor or advisor.
  6. Members shall, where relevant, take reasonable steps to inform themselves, their peers, their portfolio companies and their advisors, of the social, environmental, economic and other possible consequences which may arise from their actions.
  7. Members shall promptly and properly manage any conflict of interests which may arise.
  8. Confidential information received by members in the course of considering, making, or advising on an angel investment opportunity remains the property of the person or company from which it was obtained and it is improper for the member to disclose, or allow to be disclosed that confidential information, unless that disclosure has been authorised by that company or person from whom the information is provided, or is required by law.
  9. Members must not manufacture any product or use any process based on any confidential information to which the member has had access.
  10. Members shall not engage in conduct likely to bring discredit upon their angel investments, their peers, or FNQ Angels.
  11. Members have an obligation, at all times, to comply with the spirit, as well as the letter, of the law and with the principles of this Code. Members shall not assist in or induce a breach of this Code and shall support those who seek to uphold the Code if called upon, or in a position to do so.
  12. Members must comply with the directions of any officer of FNQ Angels during meetings or other events.
  13. Members acknowledge that an officer of FNQ Angels may direct any member or guest engaging in unacceptable behaviour to leave any meeting or other event.
  14. Members must ensure that their guests (if any) at any meeting or other event also comply with this Code.
