TheUniversityofKansasisinterestedinpre-qualifyingvendorsforitscomprehensiveManagementInformationSystems(MIS)/MasterServicesAgreement(MSA)ConsultingServicesInitiative.

INSTRUCTIONS

1.Communications:ThereshallbenocommunicationwithanyotherUniversityemployeeregardingthisApplicationexceptwithdesignatedUniversityparticipantsduringreviewsessionsandotheropportunitiesorifpriorwrittenapprovalisobtainedfromKUProcurementServicespersonnel.ViolationsofthisprovisionbyvendororUniversitypersonnelmayresultintherejectionoftheproposal.

2.CostofPreparingProposal:Thecostofdevelopingandsubmittingtheapplicationisentirelytheresponsibilityofthevendor.Thisincludescoststodeterminethenatureoftheengagement,preparationoftheapplication,submittingtheapplication,negotiatingforthecontractandotherassociatedcosts.

3.AcceptanceorRejection:TheUniversityreservestherighttoacceptorrejectanyorallproposalsorpartofanapplication;towaiveanyinformalitiesortechnicalities;clarifyanyambiguitiesinproposals;modifyanycriteriainthisapplication;andunlessotherwisespecified,toacceptanyiteminanapplication.

4.DisclosureofApplicationContentandProprietaryInformation:AllapplicationsbecomethepropertyoftheUniversityofKansas.TheOpenRecordsAct(K.S.A.45‐205etseq)oftheStateofKansasrequirespublicinformationbeplacedinthepublicdomainattheconclusionofthecontractingprocess,and beavailableforexaminationbyallinterestedparties.(

Noapplicationsshallbediscloseduntilafteracontracthasbeensigned byallrequiredparties.

Tradesecretsorproprietaryinformationlegallyrecognizedassuchandprotectedbylawmayberequestedtobewithheldifclearlylabeled“Proprietary”oneachindividualpageandprovidedasseparatefromthemain

“GeneralTermsandConditions”

1.Captions:Thecaptionsorheadingsinthiscontractareforreferenceonlyanddonotdefine,describe,extend,orlimitthescopeorintentofthiscontract.

2.GoverningLaw:Thiscontractshall be governed by the lawsof the State ofKansasandshall be deemed executedatLawrence,DouglasCounty,Kansas,unlessotherwisespecifiedandagreeduponbytheUniversityofKansas.

3.Severability:Ifanyprovisionofthiscontractisdeterminedbyacourtofcompetentjurisdictiontobeinvalidorunenforceabletoanyextent,theremainderofthiscontractshallnotbeaffectedandeachprovisionofthiscontractshallbeenforcedtothefullestextentpermitted bylaw.

4.Statutes:Eachandeveryprovisionoflawandclauserequiredbylawtobeinsertedinthecontractshallbedeemedtobeinsertedhereinandthecontractshallbereadandenforcedasthoughitwereincludedherein.Ifthroughmistakeorotherwiseanysuchprovisionisnotinserted,orisnotcorrectlyinserted,thenontheapplicationofeitherpartythecontractshallbeamendedtomakesuchinsertionorcorrection.

5.Jurisdiction:ThepartiesshallbringanyandalllegalproceedingsarisinghereunderintheStateofKansas,DistrictCourtofDouglasCounty,unlessotherwisespecifiedandagreeduponbytheUniversityofKansas.TheUnitedStatesDistrictCourtfortheStateofKansassittinginTopeka,ShawneeCounty,Kansas,shallbethevenueforanyfederalactionorproceedingarisinghereunderinwhichtheUniversityisaparty.

6.Notices:Allnotices,demands,requests,approvals,reports,instructions,consentsorothercommunications(collectively"notices")whichmayberequiredordesiredtobegivenbyeitherpartytotheothershallbeINWRITINGandaddressedasfollows:

7.ContractDocuments:Intheeventofaconflictintermsoflanguageamongthedocuments,thefollowingorderofprecedenceshallgovern:

  • FormKU-146a;
  • writtenmodificationstotheexecutedcontract;
  • writtencontractsignedbytheparties;

8.Integration:Thiscontract,initsfinalcompositeform,shallrepresenttheentireagreementbetweenthepartiesandshallsupersedeallpriornegotiations,representationsoragreements,eitherwrittenororal,betweenthepartiesrelatingtothesubjectmatterhereof.Thiscontractbetweenthepartiesshallbeindependentofandhavenoeffectonanyothercontractsofeitherparty.

9.ContractFormation:NocontractshallbeconsideredtohavebeenenteredintobytheUniversityuntilallstatutorilyrequiredsignaturesandcertificationshavebeenrenderedandawrittencontracthasbeensignedbythesuccessfulvendor.

10.Modification:Thiscontractshallbemodifiedonlybythewrittenagreementoftheparties.Noalterationorvariationofthetermsandconditionsofthecontractshallbevalidunlessmadeinwritingandsignedbytheparties.Everyamendmentshallspecifythedateonwhichitsprovisionsshallbeeffective.

11.AccountsReceivableSet-OffProgram:During thecourseofthis contractifthevendor isfoundtoowea debttotheStateofKansas,agencypaymentstothevendormaybeintercepted/setoffbytheStateofKansas.Noticeofthesetoffactionwillbeprovidedtothevendor.Thevendorshallcredittheaccountoftheagencymakingthepaymentinanamountequaltothefundsintercepted.

K.S.A. 75-6201etseq.allowstheDirectorofAccountsReportstosetofffunds theState ofKansas owesvendorsagainstdebtsowedbythevendorstotheStateofKansas.Paymentssetoffinthismannerconstituteslawfulpaymentforservicesorgoodsreceived.ThevendorbenefitsfullyfromthepaymentbecauseitsobligationtotheStateisreducedbytheamountsubjecttosetoff.

12.ConflictofInterest:TheContractorshallnotknowinglyemploy,duringtheperiodofthiscontractoranyextensionstoit,anyprofessionalpersonnelwhoarealsointheemployoftheStateandwhoareprovidingservicesinvolvingthiscontractorservicessimilarinnaturetothescopeofthiscontracttotheUniversity.Furthermore,theContractorshallnotknowinglyemploy,duringtheperiodofthiscontractoranyextensionstoit,anystateemployeewhohasparticipatedinthemakingofthiscontractuntilatleasttwoyearsafterhis/herterminationofemploymentwiththeState.

13.IndependentContractor:Bothparties,intheperformanceofthiscontract,shallbeactingintheirindividualcapacityandnotasagents,employees,partners,jointventuresorassociatesofoneanother.Theemployeesoragentsofonepartyshallnotbeconstruedtobetheemployeesoragentsoftheotherpartyforanypurposewhatsoever.

TheContractoracceptsfullresponsibilityforpaymentofunemploymentinsurance,workerscompensationandsocialsecurityaswellas allincometaxdeductions and anyothertaxes orpayrolldeductionsrequiredbylaw foritsemployeesengagedinworkauthorizedbythiscontract.

14.StaffQualifications:TheContractorshallwarrantthatallpersonsassignedbyittotheperformanceofthiscontractshallbeemployeesoftheContractor(orspecifiedSubcontractor)andshallbefullyqualifiedtoperformtheworkrequired.TheContractorshallincludeasimilarprovisioninanycontractwithanySubcontractorselectedtoperformworkunderthiscontract.

FailureoftheContractortoprovidequalifiedstaffingatthelevelrequiredbytheStatementofWork/Exhibit,mayresultinterminationofthiscontractand/ordamages.

15.Subcontractors:TheContractorshallbethesolesourceofcontactforthecontract.TheUniversitywillnotsubcontractanyworkunderthecontracttoanyotherfirmandwillnotdealwithanysubcontractors.TheContractoristotallyresponsibleforallactionsandworkperformedbyitssubcontractors.Allterms,conditionsandrequirementsofthecontractshallapplywithoutqualificationtoanyservicesperformedorgoodsprovidedbyanysubcontractor.

TheUniversityofKansasrequirestaxinformationregardingallsubcontractorsbediscloseduponrequest.IndustryStandards: Ifnototherwiseprovided,materialsorworkcalledforinthiscontractshallbefurnishedandperformed inaccordancewith best establishedpracticeandstandards recognizedby thecontractedindustryandcomplywithallcodesandregulationswhichshallapply.

16.ProhibitionofGratuities:NeithertheContractornoranyperson,firmorcorporationemployedbytheContractorintheperformanceofthiscontractshallofferorgiveanygift,moneyoranythingofvalueoranypromiseforfuturerewardorcompensationtoanyUniversityemployeeatanytime.

17.Assignment:TheContractorshallnotassign,convey,encumber,orotherwisetransferitsrightsordutiesunderthiscontractwithoutthepriorwrittenconsentoftheUniversity.

Thiscontractmayterminateintheeventofitsassignment,conveyance,encumbranceorothertransferbytheContractorwithoutthepriorwrittenconsentoftheUniversity.

18.ThirdPartyBeneficiaries:Thiscontractshallnotbeconstruedasprovidinganenforceablerighttoanythirdparty.

19.NondiscriminationandWorkplaceSafety:TheContractoragreestoabidebyallfederal,stateandlocallaws,rulesandregulationsprohibitingdiscriminationinemploymentandcontrollingworkplacesafety.Anyviolationsofapplicablelaws,rulesandregulationsmayresultinterminationofthiscontract.

20.EnvironmentalProtection:TheContractorshallabidebyallfederal,stateandlocallaws,rulesandregulationsregardingtheprotectionoftheenvironment.TheContractorshall reportanyviolationstotheapplicablegovernmentalagency.Aviolationofapplicablelaws,ruleorregulationsmayresultinterminationofthiscontract.

21.ProofofInsurance:Uponrequest,thevendorshallpresentanaffidavitofWorker'sCompensation,PublicLiability,andPropertyDamageInsurancetoKUProcurementServices.

22.HoldHarmless:TheContractorshallindemnifytheUniversityagainstanyandalllossordamagetotheextentarisingoutoftheContractor’snegligence in theperformanceofservicesunderthiscontractandforinfringementofanycopyrightorpatentoccurringinconnectionwithorinanywayincidentaltoorarisingoutoftheoccupancy,use,service,operationsorperformanceofworkunderthiscontract.

TheUniversityshallnotbeprecludedfromreceivingthebenefitsofanyinsurancetheContractormaycarrywhichprovidesforindemnificationforanylossordamagetopropertyintheContractor'scustodyandcontrol,wheresuchlossordestructionistostateproperty.TheContractorshalldonothingtoprejudicetheUniversity'srighttorecoveragainstthirdpartiesforanyloss,destructionordamagetoStateproperty.

23.CareofUniversity Property:TheContractorshallberesponsibleforthepropercareandcustody ofanyuniversity-ownedpersonaltangiblepropertyandrealpropertyfurnishedforContractor'susein connectionwiththeperformanceofthiscontract,andContractorwillreimburseUniversityforsuchproperty'slossordamagecausedbyContractor,normalwearandtearexcepted.

24.Confidentiality:AllUniversityinformationordata is consideredconfidentialinformation.ContractoragreestoreturnanyorallinformationordatafurnishedbytheUniversitypromptlyattherequestofUniversity,inwhateverformitismaintainedbyContractor.Uponterminationorexpirationofthisagreement,theContractorandeachofthepersonsandentitiesworkingfortheContractorshalldestroyand returntotheUniversityall data,informationelectronic,written,ordescriptivematerialsoranyrelatedmatterofanytypeincludingbutnotlimitedtodrawings,blueprints,descriptions,orotherpapersordocumentswhichcontainanysuchconfidentialinformation.

A.Contractormayhaveaccesstoinformationandprivateorconfidentialdata,maintainedbyUniversity,totheextentnecessaryto carryoutContractor’sresponsibilitiesunderthiscontract.Thisinformationanddatamayinclude,butisnotlimitedtosecurityarrangements,personalfinancialinformation,informationregardingundercoverlawenforcementagents,socialsecuritynumbers,studentemployees,medicalprovidersand/ortheirrecipients,etc.ContractoragreesthatanyinformationordataitmayhaveinitscustodyregardinganyparticipantorotherinformationidentifiedbytheUniversityasbeingprivateorconfidentialshallbekeptstrictlyconfidential.All the informationanddataoftheUniversityshallbeconsideredtobe confidentialandprivateandContractormaynotdiscloseanyinformationordataatanytimetoanypersonorentity.

ContractoragreestocomplywithallstateandfederalconfidentialitylawsinprovidingservicesunderthisContract.Contractoralsoagreestothefollowing:

1.ContractorshallbefullyresponsibleforprovidingadequatesupervisionandtrainingtoitsagentsandemployeestoensurecompliancewithallapplicableStateandFederalActsregardingconfidentialityand/oropenrecordsissues.No privateor confidentialdatacollected,maintained, orused inthecourseofperformanceofthisContractshallbedisseminatedbyContractorexceptasrequiredbystatute,eitherduringtheperiodoftheContractorthereafter.ContractorshallonlyuseconfidentialinformationasrequiredbythisContract.Allelectronicdatashallbesecuredthroughencryptionorothercomparablesecuritymeasures.

2.Contractorshalllimit access toconfidential information solely tostaffofContractorwhohas abusinessneedtoknowforpurposesoffulfillingContractor’sobligationsunderthisContract.ContractorshallnotremoveconfidentialinformationfromState’ssitewithoutState’spriorwrittenapproval.

3.TheContractorshallholdallsuchconfidentialinformationintrustandconfidencefortheUniversity,andagreesthatitanditsemployeeswillnot,duringtheperformanceoraftertheterminationofthisagreement,disclosetoanyperson,firm,orcorporation,oruseforitsownbusinessorbenefitanyinformationobtainedbyitwhileinexecutionofthetermsandconditionsofthisContract.

4.Anystaff,individualorentityassignedtoworkforContractorunderthisagreementshallseparatelysignanon-disclosureagreement(s)andbeboundbytherequirementsofthisSubsectionandanyUniversityorStateofKansascomputersecurityuseragreement,whichisincorporatedbyreferenceherein.

5.AllConfidentialInformationoftheUniversityshallbeandremainthesolepropertyoftheUniversity.UponterminationofthisAgreementorattherequestoftheUniversity,theContractorshalldeliverallConfidentialInformationpromptlyto theUniversity andshallnotmake,retainor distributeanycopiesthereof.

B.UnauthorizedUse.TheContractorshallnotusethenames,homeaddress,phonenumbers,oranyotherinformationobtainedbyimplementationorexecutionofthisContractaboutemployees,citizens,vendorsorotherinformationforanypurposeotherthantheperformanceofthisContract.

C.PressReleases,PublicStatements,and/orCommunications.Contractoragreesthatnopublicstatement,release,orcommunicationacknowledgingorimplyingthattheUniversityisacustomerofContractorisallowedunderthisContract.AnyapprovalbytheUniversityforsuchpublicstatement,release,orcommunicationshallonly beprovidedin writingbyUniversitytoContractor’scontactlistedin ArticleXXII,SectionBofthisContract.TheStatemayrefuse sucharequestforanyreason.

D.InjunctiveRelief.ContractoracknowledgesthatanybreachofitsconfidentialityobligationshereunderwillconstituteimmediateandirreparableharmtotheUniversity,itscitizensand/oritssuccessorsandassigns,whichcannotadequatelyandfullybecompensatedbymoneydamagesandwillwarrant,inadditiontoallotherrightsandremediesaffordedbylaw,injunctiverelief,specificperformanceand/orotherequitablerelief.

E.ConfidentialInformation.ContractorshallholdUniversityharmlessandindemnifytheUniversityforexpensesordamages,ofanykind,incurredorsufferedbytheUniversityasaresultoftheunauthorizeddisclosureorfailuretoprotectorsecurepersonalorotherdataorinformationidentifiedinArticleXVIIbyContractor or anyagent, representative, employee or subcontractor ofContractor. Contractor shallnotify theUniversityofanylossorbreachofconfidentialinformationordatawithintwenty-four(24)hoursofsuchknowledge.Contractorshallalsoberesponsibleandliableforanyandalldamagestoindividualsduetosuchbreachesorlossofconfidentialinformation.Intheeventofanysecuritybreachinwhichtheconfidentialinformationofonemoreindividualsiscompromisedorispotentiallycompromised,Contractorshallberesponsibleandpayforanyandalldamages,expenses,andcosts(Includinglostwagesandefforts

spenttodefendorcorrectagainstidentitytheft)causedtotheUniversityoranyindividualforthedisclosureofanyUniversityInformation.ContractorshallprovidenoticetotheUniversityandaffectedindividualsofsuchdisclosureandshallalsoofferfreeofchargetoindividualortheUniversityidentifytheftprotectioninsuranceforaperiodofone(1)year.Thesetermsshallalsoapplytoanythird-partyvendororsubcontractor.TheUniversityshallinitssolediscretionmakethefinaldeterminationofthisprovision.

F.SurviveTermination.TheprovisionsofthissectionshallsurviveterminationofthisContract.

25.Injunctions:ShouldTheUniversityofKansasbepreventedorenjoinedfromproceedingwiththeacquisitionbefore oraftercontract execution byreasonofany litigation or otherreasonbeyondthecontroloftheUniversity,vendorshallnotbeentitledtomakeorassertclaimfordamage byreasonofsaiddelay.

26.ForceMajeure:TheContractorshallnotbeheldliableifthefailuretoperformunderthiscontractarisesoutofcausesbeyondthecontroloftheContractor.Causesmayinclude,butarenotlimitedto,actsofnature,fires,tornadoes,quarantine,strikesotherthanbyContractor'semployees,andfreightembargoes,etc.

27.Waiver:Waiverofanybreachofanyprovisioninthiscontractshallnotbeawaiverofanypriororsubsequentbreach.AnywaivershallbeinwritingandanyforbearanceorindulgenceinanyotherformormannerbyUniversityshallnotconstituteawaiver.

28.CriminalOrCivilOffense: Anyconvictionforacriminalorciviloffenseofanindividualorentitythatcontrolsacompanyororganizationorwillperformworkunderthiscontractthatindicatesalackofbusinessintegrityorbusinesshonestymustbedisclosed.Thisincludes(1)convictionofacriminaloffenseasanincidenttoobtainingorattemptingtoobtainapublicorprivatecontractorsubcontractorintheperformanceofsuchcontractorsubcontract;(2)convictionunderstateorfederalstatutesofembezzlement,theft,forgery,bribery,falsificationordestructionofrecords,receivingstolenproperty;(3)convictionunderstateorfederalantitruststatutes;and(4)anyotheroffensetobesoserious andcompelling astoaffectresponsibility as astatecontractor. Forthepurposeofthissection,anindividualorentityshallbepresumedtohavecontrolofacompanyororganizationiftheindividualorentitydirectlyorindirectly,oractinginconcertwithoneormoreindividualsorentities,ownsorcontrols25percentormoreofitsequity,orotherwisecontrolsitsmanagementorpolicies.Failuretodiscloseanoffensemayresultinterminationofthecontract.

29.RightsandRemedies: Ifthiscontractisterminated,theUniversity,inadditiontoanyotherrightsprovidedforinthiscontract,mayrequire theContractortotransfertitle and deliver to theUniversityinthemannerandtotheextentdirected,anycompletedmaterials.TheUniversityshallbeobligatedonlyforthoseservicesandmaterialsrenderedandacceptedpriortothedateoftermination.

Intheeventoftermination,theContractorshallreceivepaymentproratedforthatportionofthecontractperiodserviceswereprovided to and/orgoodswereaccepted by Universitysubjectto anyoffset byUniversityfor actualdamagesincludinglossoffederalmatchingfunds.

TherightsandremediesoftheUniversityprovidedforinthiscontractshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.

30.Retention of Records: Unless theUniversityspecifiesinwriting adifferent periodoftime, theContractor agreestopreserveandmake availableall ofits books,documents,papers,records andotherevidenceinvolvingtransactionsrelatedtothiscontractforaperiodoffive(5)yearsfromthedateoftheexpirationorterminationofthiscontract.

Mattersinvolvinglitigationshallbekeptforone(1)yearfollowingtheterminationoflitigation,includingallappeals,ifthelitigationexceedsfive(5)years.

TheContractoragreesthatauthorizedfederal,stateanduniversityrepresentatives,includingbutnotlimitedto,personneloftheusingagency;independentauditorsactingonbehalfofuniversity,stateand/orfederalagenciesshallhaveaccesstoandtherighttoexaminerecordsduringthecontractperiodandduringthefive(5)yearpost-contractperiod.DeliveryofandaccesstotherecordsshallbeatnocosttotheUniversity

31.Antitrust:IftheContractorelectsnottoproceed,theContractorassignstotheUniversityallrightstoandinterestsinanycauseofactionithasormayacquireundertheanti-trustlawsoftheUnitedStatesandtheUniversityofKansasrelatingtotheparticularproductsorservicespurchasedoracquiredbytheUniversitypursuanttothiscontract.

32.ImmigrationandReformControlActof1986(IRCA):AllcontractorsareexpectedtocomplywiththeImmigrationandReformControlActof1986(IRCA),asmaybeamendedfromtimetotime. ThisAct,withcertainlimitations,requirestheverificationoftheemploymentstatusofallindividualswhowerehiredonorafterNovember6,1986,bythecontractoraswellasanysubcontractororsub-contractors.TheusualmethodofverificationisthroughtheEmploymentVerification(I-9)form.

Withtheacceptanceofthisagreement,thecontractorherebycertifieswithoutexceptionthatsuchcontractorhascompliedwithallfederalandstatelawsrelatingtoimmigrationandreform.AnymisrepresentationinthisregardoranyemploymentofpersonsnotauthorizedtoworkintheUnitedStatesconstitutesamaterialbreachand,attheUniversity'soption,maysubjectthecontracttoterminationandanyapplicabledamages.

Unlessprovidedotherwiseherein,allcontractorsareexpectedtobeabletoproducetoUniversityanydocumentationorother such evidence toverify Contractor'scompliance withanyprovision, duty,certificationorlikeunderthecontract.

33.HIPAA/FERPALanguage(ifapplicable to the project at hand)

A.UseandDisclosureofUniversityData.ContractoragreestocomplywithallstateandfederalconfidentialitylawsinprovidingservicesunderthisContract.AnyUniversitydatathatContractormayaccessinperformingitsobligations(includingindividuallyidentifiablehealthinformationcoveredbyFERPAorHIPAA)shallbeheldinstrictconfidenceandshallnotbefurtherusedordisclosedunlessauthorizedinwritingbyUniversityorrequiredbylaw.Contractorshall berequiredtosign aBusinessAssociateAgreementasrequiredbytheHealthInsurancePortabilityandAccountabilityAct(HIPAA)

B.Safeguards.Contractorshalldevelop,implement,maintain,andusereasonableandappropriateadministrative,technical,andphysicalsafeguards(asrequiredbyfederallaw)toprotecttheconfidentiality,integrityandavailabilityofUniversitydatainanyformormedia,created,received,maintainedortransmittedonbehalfoftheUniversity.Contractorshalldocumentandkeepthesesecuritymeasurescurrent.ContractorshallcooperateingoodfaithinresponsetoanyreasonablerequestsfromUniversitytodiscuss,review,inspect,and/orauditContractor’ssafeguards.

C.Subcontractors.IfContractorprovidesanyUniversitydatareceivedfrom,orcreatedfor,Universitytoasubcontractororagent,thenContractorshallrequiresuchsubcontractororagenttoagreeinwritingtothesamerestrictionsandconditionsasareimposedonContractor.

D.NoticeofUnauthorizedUseorDisclosure,SecurityIncidentorBreach.ContractoragreestonotifytheUniversityofanyuseordisclosureofUniversitydatathatisnotpermittedbythecontract,oranysecurityincidentorbreachinvolvingtheUniversitydata,withinfive(5)businessdaysofdiscoveryoftheunauthorizeduse,securityincidentorbreach.Contractoragreestomitigate,totheextentpracticable,anyharmfuleffectthatisknowntoContractorofamisuseorunauthorizeddisclosureofUniversitydatabytheContractorinviolationoftherequirementsofthisSection.

E.RedFlags.ContractorshallberesponsibleforimplementationofanIdentityTheftMonitoringPolicyandProceduretoprotectindividuals’informationthatmaybebreachedbytheContractorunderapplicableFederalTradeCommissionRegulationsRedFlagRules.

F.DisclosureofPractices,BooksandRecords.Contractoragreestomakeinternalpractices,booksandrecordsrelatingtotheuseanddisclosureofUniversitydatareceivedfromtheUniversity,orcreatedorreceivedbyContractoronbehalfofUniversity,availabletotheUniversityortheU.S.DepartmentofHealthandHumanServicesortheU.S.DepartmentofEducationinatimeandmannerdesignatedbytheUniversityorrelevantDepartment,forthepurposesofdeterminingthepartiescompliancewithapplicablefederalconfidentialitylawsandcorrespondingregulations.

G.Termination.Upontermination,cancellation,expiration,orotherconclusionofthecontract,ContractorshallreturntoUniversityor,ifreturnisnotfeasible,destroyallUniversitydatainwhateverformormediumthatContractorreceived fromor created onbehalfof University.Thisprovisionshallalso applyto all UniversitydatathatisinthepossessionofsubcontractorsoragentsofContractor. Insuchcase,Contractorshallretainnocopiesofsuchinformation.Contractorshallcompletesuchreturnordestructionaspromptlyaspossible,butnotmorethanthirty(30)daysaftertheeffectivedateoftheconclusion ofthis contract.Withinsuchthirty(30)dayperiod,ContractorshallcertifyinwritingtoUniversitythatsuchreturnordestructionhasbeencompleted.IfContractordestroystheUniversitydata,itshallbedonewiththeuseoftechnologyormethodologythatrendersthedataunusable,unreadable,orundecipherabletounauthorizedindividualsasspecifiedbytheU.S.DepartmentofHealthandHumanServices(“HHS”)fordatacoveredbyHIPAA.IfContractorbelievesthatthereturnordestructionofthedataisnotfeasible,Contractorshallprovidewrittennotificationoftheconditionsthatmakereturnordestructioninfeasible.Uponmutualagreementofthepartiesthatreturnordestructionisnotfeasible,Contractorshall extendthe protectionsofthe contracttotheUniversitydatareceivedfromor createdonbehalf ofUniversity,andlimitfurtheruses and disclosuresofsuchUniversitydata, forso longasContractormaintainsthedata.

H.Indemnification.Contractoragreestoindemnify,defendandholdharmlessUniversityanditsrespectiveemployees,directors,officers,subcontractors,agentsorothermembersofitsworkforce(eachoftheforegoinghereinafterreferredtoas“IndemnifiedParty”)againstallactualanddirectlossessufferedbytheIndemnifiedPartyandallliabilitytothirdpartiesarisingfromorinconnectionwithanybreachofthissectionentitled“Confidentiality”orfromanyactsoromissionsrelatedtothis“Confidentiality”sectionbyContractororitsemployees,directors,officers,subcontractors,agentsorothermembersofitsworkforce.Contractor’sobligationtoindemnifyanyIndemnifiedPartyshallsurvivetheexpirationorterminationofthecontract.

I.HIPAAConfidentiality:PertheHealthInsurancePortabilityandAccountabilityAct(1996)(HIPAA),theagencyisacoveredentityundertheactandthereforeContractorisnotpermittedtouseordisclosehealthinformationinwaysthattheagencycouldnot.ThisprotectioncontinuesaslongasthedataisinthehandsoftheContractor.

TheContractorshallestablishandmaintainproceduresandcontrolsacceptabletotheagencytoprotecttheprivacyofmembers’information.UnlesstheContractorhasthemember’swrittenconsent,theContractorshallnotuseanypersonallyidentifiableinformationobtainedforanyreasonotherthanthatmandatedbythisagreement

34.DebarmentofUniversityContractors:

A.Avendormaybedebarredforanyofthefollowingreasons:

1.ConvictionofacriminaloffenseinrelationtoobtainingorattemptingtoobtainaUniversitycontractorintheperformanceofsuchcontract;

2.ConvictionunderStateofKansasorFederalstatutesofembezzlement,theft,forgery,bribery,falsificationordestructionofrecordsor

3.ConvictionunderStateofKansasorFederalantitruststatutesarisingoutofthesubmissionofbidsorproposals;

4.Failuretoperforminaccordancewiththetermsofoneormorecontractsfollowingnoticeofsuchfailure,orahistoryoffailuretoperform,orofunsatisfactoryperformanceofoneormorecontracts;

5.ThevendoriscurrentlyunderdebarmentbyanyothergovernmentalentitythatisbaseduponasettlementagreementorafinaladministrativeorjudicialdeterminationissuedbyaFederal,stateorlocalgovernmentalentity.

Followingcompletionoftheinvestigationtodeterminewhetheravendorhasengagedinactivitiesthatarecausefordebarment,theKUDirectorofPurchasingandStrategicSourcingmaydebarthevendorforaperiodoftimecommensuratewiththeseriousnessofthefindings.

B.Awrittennoticeofdebarmentshallbesenttothevendor.Thenoticeshall:

1.Statethedebarmentperiod;and

2.Informthedebarredvendorthatanyperson(s)representingthedebarredvendorduringthedebarmentperiodmayconductnobusinesswiththeUniversityandthatanysolicitationresponsesreceivedfromthedebarredvendorduringthedebarmentperiodshallnotbeconsidered.

3.Thedebarmentperiodwillbeeffectivefourteen(14)calendardaysafterthenoticeofdebarmentissenttothedebarredvendor.

35.KU-146AContractualProvisionsAttachment:TheProvisionsfoundinContractualProvisionsAttachment(FormKU-146a)areherebyincorporated in thiscontractand madea partthereof.

36.OrderofPrecedence:Anyconflicttotheprovisions ofthis contractand thedocumentsincorporated by referenceshall bedeterminedby thefollowing priority order:

a.UniversityofKansasContractProvisionsAttachmentKU-146a;

b.Writtenmodificationsandaddenda totheexecutedagreement;

c.TheMasterServicesAgreementdocument,includingTermsandConditions;

d.Anyothertermsandconditions.

37.Federal,StateandLocalTaxes-GovernmentalEntity:Pricesshallincludeallapplicablefederal,stateandlocaltaxes.ThecontractorshallpayalltaxeslawfullyimposedonitwithrespecttoanyproductorservicedeliveredinaccordancewithAgreement.The StateofKansasisexemptfrom state salesoruse taxesand federalexcise taxesfordirectpurchases.Thesetaxesshallnotbeincluded inany statementofworkdevelopedunderthisagreement.

38.Termination:ThisAgreementmay be terminated uponwritten notice ofnotfewer thanthirty (30)daysby eitherparty priorto termination.Theagreementmay alsobe terminatedbymutual writtenagreementbythe parties.Inthe event ofAgreementterminationby eitherparty,KUis obligated topay only those pro-ratepayments andaccepted deliverablesthataccrued before oronthe date of the termination.

39.Termination forCause:TheDirector of ProcurementServices may terminate this contract, or any partof thiscontract, forcauseunderanyone ofthefollowingcircumstances:

  • theContractor fails tomake delivery of goodsor services asspecified in this contract; or
  • theContractorprovidessubstandardqualityand/orworkmanship;
  • theContractorfailstoperformanyoftheprovisionsofthiscontract,orsofailstomakeprogressastoendangerperformanceofthis contractinaccordancewithitsterms.

The DirectorofProcurement Servicesshall provideContractorwithwrittennoticeof theconditionsendangeringperformance.IftheContractorfailsto remedytheconditionswithinten(10)daysfromthereceiptofthenotice(orsuchlongerperiodastheUniversitymayauthorizeinwriting),theDirectorofProcurementServicesshallissuetheContractoranordertostopworkimmediately.Receipt of thenotice shallbe presumed tohaveoccurredwithin three(3)daysof the date of thenotice.

40.TerminationforConvenience: TheDirectorofProcurementServicesmayterminateperformanceofworkunderthiscontractinwholeorinpartwhenever,foranyreason,theDirectorofProcurementServicesshalldeterminethattheterminationisinthebestinterestoftheUniversityofKansas.IntheeventthattheDirectorofProcurementServiceselectstoterminatethiscontract pursuant tothisprovision,itshallprovidetheContractorwrittennoticeatleast 30dayspriortotheterminationdate.Theterminationshallbeeffectiveasofthedatespecifiedinthenotice.TheContractorshallcontinuetoperformanypartoftheworkthatmayhavenotbeen terminatedbythe notice.

41.Payment:PaymentTermsareNet30days.PaymentdateandreceiptoforderdateshallbebaseduponK.S.A.75-6403(b).This Statute requiresstate agencies topay the full amountdue for goodsorservicesonorbeforethe 30thcalendar dayafterthedatetheagencyreceivessuchgoodsorservicesorthebillforthegoodsandservices,whicheverislater,unlessotherprovisionsforpaymentareagreedtoinwritingbytheContractorandthestateagency.NOTE:Ifthe30thcalendardaynotedabovefallson a Saturday, Sunday,or legalholiday,thefollowingworkdaywill becometherequired paymentdate. 42.IntellectualProperty:Subject toUniversity of Kansas’s fulfillmentofallpaymentobligations, Contractor acknowledgesandagrees thatUniversityof Kansas shallretain all ownershiprights inany deliverables developedby Contractor underthisAgreementanddeliveredtoUniversity ofKansas, excludingContractorProprietary Materials,asdefinedbelow, andanythird-partysoftwarethatisincorporated intothedeliverables.University of Kansasacknowledgesthatas partof performingservices,Contractormayutilizeproprietarysoftware,ideas,concepts,know-how,tools,models,processes,methodologiesandtechniques(including any enhancements or modifications thereto)whichhavebeenoriginated or developedby Contractor, orwhichhavebeen purchasedby, or licensedtoContractor (collectively, “ContractorProprietary Materials”).University ofKansasagrees thatContractor shallretain sole and exclusivetitle, rightsandinterestin andtoContractor ProprietaryMaterials.Subjecttothetermsof this Agreement, Contractorgrants and University of Kansas accepts aworldwide,nonexclusive,nontransferablelicensetoContractor ProprietaryMaterialsforuseonly inconjunction withdeliverables.

43.ConfidentialInformation.Contractoragrees toprotecttheUniversity’s ConfidentialInformation inareasonableandappropriate manner and in accordance with any applicable professional practices and to use and reproduce ConfidentialInformationonly toperformits obligations under this Agreementor for its internalcollection, analysisand training purposes.ConfidentialInformation isany informationdisclosed totherecipientundercircumstancesthatwould leadareasonableperson tounderstandthatsuch information is confidential orproprietaryinnatureexceptfor information that(i)isorbecomes generallyavailable tothe publicwithoutbreach byrecipientof its confidentialityobligations, (ii)isreceivedbyrecipientfroma thirdpartywithoutrestriction againstdisclosure, (iii)was known torecipientwithoutrestriction prior todisclosure,(iv)isindependentlydevelopedbyrecipientwithoutuseofdiscloser’sconfidentialinformation, or (v)isdisclosedpursuanttoany legalrequirement ororder,orpursuantto anyrule or regulationofany stock exchangeornational securitiesquotation system,governing eithertherecipient or the disclosing party.

44.Travel and Related Expenses: Unless otherwise specified, it should be assumed that all work shall generally be performed off-site. There shall be no reimbursement for travel expenses other than as listed below:

For work done outside of Lawrence, KS, no travel expense shall be paid.

Work required by the agency to be performed in Lawrence may receive reimbursement at the rates stated in the State of Kansas “Employee Travel Expense Reimbursement Handbook” in effect at the time the travel expense is incurred. Reimbursement for travel shall require prior written approval by the agency head or designee. Invoices for all travel expense reimbursement shall include applicable receipts

45.UKANS vs. KURES Funding: Transactions under this MSA shall be governed by, and construed in accordance with, the laws and regulations of the State of Kansas and the University of Kansas (UKANS), or the University of Kansas Center for Research, Inc. (KURES), whichever entity is applicable.

46.ADA Compliance: The University is committed to making its facilities, services, programs, and activities readily accessible to and usable by individuals with disabilities as required by law. The University seeks products and services and that will allow it to meet that commitment. Accordingly, by submitting a response, bidder represents and warrants that the products or services to be provided under the contract award will be designed, produced, and/or delivered in such a way that will enable the University to comply with the Kansas Information Technology Policy 1210: State of Kansas Web Accessibility Requirements (IT Policy 1210) is here and Section 508 of the Rehabilitation Act of 1973, as amended (29 U.S.C. § 794d) to the extent the Bidder’s products or services may be covered by that Act.

The failure of the successful bidder’s products and services to be accessible as required by this provision shall constitute a material breach of the contract. If the University notifies the contractor that a person has made a claim against the University concerning accessibility of products or services furnished by the contractor under the contract, the contractor will work with the University in an effort to remedy the claim in a timely manner. To the extent that the claim is related to contractor’s products or services, the contractor shall be liable for the actual costs and expenses incurred by the University, including attorney fees and expenses and the monetary amount of any judgments rendered against the University, as a result of any such claim.
