TO TRANSIT LETTER OF AGREEMENT
BETWEEN ______AND
THE LOS ANGELES COUNTY METROPOLITAN TRANSPORTATION AUTHORITY
This Amendment No. ___ to Transit Letter of Agreement (this "Amendment"), is dated as of __, 200_, by and between ______("Project Sponsor"), and the Los Angeles County Metropolitan Transportation Authority ("LACMTA"). (Use this name even if it is different in the original MOU.)
RECITALS:
A. [Use this paragraph if amended before] Project Sponsor and [LACMTA] entered into that certain Letter of Agreement No. ______, dated _____ [which was amended on ______] ([as amended,] the "Existing LOA"), which Existing LOA provides for ______(the “Project”); and
OR
A. [Use this paragraph if never amended before] Project Sponsor and [LACMTA] entered into that certain Letter of Agreement No. MOU.P000___, dated [INSERT DATE OF ORIGINAL MOU], (the "Existing LOA"), which Existing LOA provides for the [INSERT PROJECT TITLE]; and
B. Whereas, LACMTA Board on July 22, 2010, desires to extend the lapsing date of Funds programmed for ALL programmed Fiscal years to June 30, ___; and
C. The parties desire to delete Attachment B and all references thereto.
D. Project Sponsor and LACMTA desire to amend the Existing LOA as provided herein.
AGREEMENT:
NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the parties hereby agree as follows:
1. Part 2, Paragraph 6.1(ii) [Double check reference in the original LOA] of the Existing LOA is hereby amended by deleting it in its entirety and replacing it with the following: “Funds programmed for [list Programmed Years FY 200_-0_, FY 200_-0_, and FY 200_-0_] or state [‘ALL Programmed years’] are subject to lapse on [INSERT NEW LAPSE DATE]. Project Sponsor shall obligate and expend these Funds by the lapsing date.”
2. Attachment A of the Existing LOA is hereby replaced by Attachment A-1, attached. (ONLY APPLICABLE IF YOU HAVE CHANGES TO THE PROGRAMMED BUDGET. Please check if amended before and use those same Attachment titles.)
3. The parties have agreed that the financial plan is no longer required and therefore, Attachment B and all references thereto are hereby deleted.
4. Attachment C of the Existing LOA is hereby replaced by Attachment C-1, attached. (ONLY IF APPLICABLE IF YOU HAVE CHANGES TO THE SCOPE OF WORK. Please check if amended before and use those same Attachment titles.)
5. Part 1, Paragraph 9 of Existing LOA is hereby amended to change [LACMTA’s] project manager to (“NAME”). (ONLY APPLICABLE IF YOU HAVE A PROJECT MANAGER CHANGE.)
6. Except as expressly amended hereby, the Existing LOA remains in full force and effect as originally executed. All rights and obligations of the parties under the Existing MOU that are not expressly amended by this Amendment shall remain unchanged.
