(Hereinafter“BROKER”),andanyoftheBROKERSassociatedpartiesengagedinthecapitalizationoftheproject/sinrelationtofinancialservices,aswellasthecompensationforsuchservicesorsimilarservices.

ThisAgreementshallobligatetheBROKERandtheirpartners,associates,employers,employees,affiliates,subsidiaries,parentcompanies,nominees,representatives,successors,BROKERsandassignsjointly,severally,mutuallyandreciprocallyforthetermofandtotheperformanceofthetermsandconditionsexpresslystatedandagreedtobelow.

Furthermore,wheneverthisAgreementshallbereferencedinanysubsequentdocuments(s)orwrittenagreements,thetermsandconditionsofthisAgreementshallapplyasnotedandshallfurtherextendtoanyexchangeofinformation,written,oralorinanyotherform,involvingfinancialdatapersonalorcorporatenames,contractsinitiatedbyorinvolvingthepartiesandanyadditionrenewal,extension,rolloveramendment,renegotiation'sornewagreement.

GENERALTERMS

Service.BD ConsultingagreestoprovidecustomersandreferralsdirectedtoitbyBROKERinwritingwithconsultingandadvisoryservicesinrelationto thecapitalizationofprojectsandobtainingfundingincludingbutnotlimitedtothesourcingofequityfinancing,debtfinancing,lineofcredit,SBLC’s,bankguarantees,notes,MTN’sandanyotherrequiredfinancialinstrumentorfunding.DuringthetermofthisAgreement, BD Consultingagreestoundertakeitsreasonablebestefforts,onanon-exclusivebasis,toidentifyandintroducetocustomersreferredtoitbytheBROKERinwritingtoappropriatesourcesandsolutionsthatmaymeetthecustomersneed.ItisunderstoodthatBD Consultingisnotalicensedorregisteredbroker-dealer,investmentadvisor,financialplanner,fundmanagerorunderwriterinanyjurisdictionandBROKERacknowledgesthis.

MutualProtection.ThePartiestothisagreementherebylegally,whollyandirrevocablybindthemselvesandguaranteetooneanotherthattheyshallnotdirectlyorindirectlyinterferewith,circumventorattempttocircumvent,avoid,by-passorobviateeachother’s'interest,ortheinterestorrelationshipbetweenTheParties,bymeansofanyprocedures,sellers,buyers,broker,dealers,distributors,refiners,shippers,financialinstructions,technologyownersormanufacturers,forthepurposeofchanging,increasingoravoiding,directlyorindirectly,paymentsofestablishedortobeestablishedfees,commissions,orthecontinuance of pre-established relationships or to intervene in un-contracted relationships with customers, owners,

Intermediaries,entrepreneurs,legalcounsel,ortoinitiateanytransactionalrelationshipthatby-passesoneofThePartiesinfavorofanyotherindividualorentity,inconnectionwithanyTransactionoranyrelatedfutureTransactionasdefinedbelow.

ReferralDefined. Areferral isdefinedasanywrittencommunicationwhether byemail, fax, oranyothercommunicationmodefromtheBROKERtotheBD Consultingregardingaspecificcustomer(includingthecustomersfullphoneandemailcontactdetails)whomayrequiresourcesofdebt,equityfinancingorotherservicesofferedbyBD Consulting serviceproviders.

ValidTransaction.AvalidtransactionshallbedefinedasacashpaymentreceivedbytheBD ConsultingunderthetermsofasignedengagementfollowingthecompletionofaFundedorClosedTransactionwherethefirstcustomer contactwasreferredinwritingtotheBD ConsultingbytheBROKER.

TransactionFees.TransactionFeesarepaidtotheBROKERbybankwireaspertheServicesLevelScheduleonPage3ofthisagreementwithin10workingdaysaftertheBD ConsultingreceiveseachclearedcashpaymentforaValidTransaction.Transactionfeesaresolelypaidoncompleted,closedorfundedtransactionsONLYandequity,loanandstockholdingsarenotconsideredTransactionsFeesorpayabletoBROKERSuntiltheyaresoldandtheircashvalueisrealizedandpaidtotheBD Consulting.TheTransactionfeeiscalculatedaspercentageoftheNetIncometheclientreceivedfromthetransaction.

Term.ThisagreementisvalidforthetermdefinedintheServicesLevelScheduleonPage3ofthisagreementfromthedateofexecution,foranyandalltransactionsbetweentheParties,theirassociatesorcustomers.

Non-Exclusivity.BROKERagreesthatduringthetermofthisAgreementandanywrittenextensionhereof,BD Consulting willserveasnon-exclusiveadvisorswithrespecttofinancing,andthatBROKERwillbeentitledtoaTransactionFeewithrespecttoanycompletedTransactionwithapartysourcedbyBD Consulting.

FeeProtection.Commissions,fees,compensationorremunerationtobepaidaspartofthisagreementshallbepaidatthetimeandinthemannerdesignatedinthisagreement,unlessotherwiseagreedamongtheaffectedPartiesinwriting.AllPartiesherebyirrevocablyandunconditionallyagreeandguaranteetohonorandrespectallsuchfeesandremunerationarrangementsmadeaspartofacommissiontransaction,evenifanindividualPartyisnotanintegralcomponentofand/orasignatorytoaspecificcommission,feeorremunerationagreement.

Otherservices;non-competition.Itisunderstoodthat,asindependentcontractors,BD ConsultingisfreetorenderservicestootherBROKERsduringthetermofthisAgreement.BROKERwillhavenointerestinanyfees,whichBD Consultingmayderivefromsuchservices.ThePartiesshallnotdiscloseanycontactrevealedbyeitherPartytoanythirdpartiesinrecognitionsuchcontact(s)areproprietaryofthedisclosingParty.NeitherPartyshallenterintodirectand/orindirectoffers,negotiationsand/ortransactionswithsuchcontactsrevealedbytheotherPartywhomadethecontact(s)available.

Notemployees.NothinghereinshallbeconstruedtomakeBD Consultingoritsassociatedperson’semployeesofBROKERorBROKERoritsassociatedperson’semployeesofBD Consulting,itbeingexpresslyunderstoodthatBD Consulting anditsassociatedpersonsareindependentcontractors.Thisagreementisnotintendedtoresultinanypartnership,employment, agency,jointventureorotherrelationshipotherthanthatofanindependentcontractor.

Enforcement/DisputeResolution.Itisfurtheragreedthatanycontroversy,claim,andordisputearisingoutofand/orrelatingtoanypartofthewholeofthisAgreementorbreachthereofandwhichisnotsettledbytheParties,shallbesettledandbindingbyandthrougharbitrationinaccordancewiththerulesandthroughtheinstitutionoftheInternationalChamberofCommercebyanarbitratorandarbitrationlocatedinNevis.Judgmentupontheawardrenderedbythearbitratormaybeenteredinanycourthavingjurisdictionthereof.Thepartiesshallhavetherightofdiscoveryinaccordancewithlaw.AllsucharbitrationawardsshallbebindingonallPartiesandenforceableatlaw.

ThePartiesfurtheragreetocarryoutthetermsofanyarbitrationawardwithoutdelayandshallbedeemedtohavewaivedtheirrighttoanyformofalternativerecourse,byorthroughanyothermeans,insofarassuchwaivercanvalidlybemade.EachofThe Partiesnamed inanArbitration proceedingand/orrequired toappearundersuch aproceeding,unlessotherwiseagreed,shallberesponsibleforitsownlegalexpenses.Thepriorsentencenotwithstanding,anyPartyadjudgedbythe

Arbitrator tobein material breachof this Agreement shall compensate infullthe aggrievedParty, itsheirs,assigneesand/orassigns,forthetotalremunerationreceivedasaresultofbusinessconductedwithThePartiescoveredbythisagreement,plus,subjecttothedeterminationoftheArbitrator,allitsarbitrationcosts,legalexpensesandotherchargesanddamages

Incurredrelativetoitsdealingsbanks,lendinginstitutions,corporations,organizations,individuals,lenders,orborrowers,buyersorsellersthatwereintroducedbytheaggrievedParty,notwithstandinganyprovisionsoftheaward.

Thefilingofajudicialactiontoenabletherecordingofanoticependingaction,fororderofattachment,receivership,injunctionorotherprovisionalremedies,shallnotbepermittedandshallconstituteawaiveroftherighttoarbitrateunderthis provision. Shouldeitherpartyseektoenforcetheprovisionofthis Agreement against theother,whetherthroughCourtorthroughArbitration,theprevailingpartyshallbeentitledtoanawardofreasonableattorney’sfeesandcourtcostsincurred.

BindingonAllEntitiesOwnedorControlled.ThisAgreementshallbebindinguponallentitiesownedorcontrolledbyaPartyandupontheprincipal(s),employee(s),Broker(s),agent(s),representative(s),assignees(s),familyandheirsofeachParty.

Assignment. BROKERshallnothavetherighttoassignthisAgreementwithouttheexpresswrittenconsentoftheBD Consulting .

NoPartnership.ThisAgreementinnowayshallbeconstruedasbeinganagreementofpartnershipandnoneofThePartiesshallhaveanyclaimagainstanyseparatedealing,ventureorassetsofanyotherParty,norshallanyPartybeliablefortheseparateandindependentactionsofanyother.

Invalidity.ShouldforanyreasonthepaymentofaTransactionFeetotheBROKERunderthetermsofthisagreementbedeemedinvalidorabreachofanylaworstatue,nopaymentshallbemadeandnodebtwillaccruetotheBROKERforanytransactionsreferredbythemandcompleted.

ReferralExclusivity.TheBROKERagreesthatonceareferralhasbeengiventotheBD ConsultinginwritingthatitwillNOTbepassed,underanycircumstances,toanotherintermediary,dealfacilitator,finder,brokerortraderoranyothercompanyorprivatepersonwhomaybedeemedtocompetewiththeBD Consulting withoutpriorspecificwrittenconsentoftheBD Consulting.

DisclosureofCriminalConvictions. Bysigningthisagreement,theBROKERconfirmsthattheyhaveNOTeverbeenconvictedofanyoffenceinvolvingmoney,fraudordishonestynorhavetheyservedtimeinjailforanyoffence.

AgreementJurisdiction.ThisagreementshallbegovernedbythelawsofPanama.

TaxResponsibility.TheBROKERagreestobearandacceptfullresponsibilityforpayALLtaxationcostsonanyandallmoneytheyreceivefromtheBD Consulting.

TransactionCustomization.TheBD Consulting reservestherighttonegotiateandcustomizeeachindividualcustomersTransactionFeestructureforeachdeal.OftenthepaymentofTransactionFeesissplitbetweenaportionbeingpaidonthedealsclosingandtheremainderontheproject’scompletion.TheusesitsbestendeavorstoensureTransactionsFeesarepaidtotheBD Consulting inthepromptestpossibletimeframesothattheBROKERcanreceivematuredpaymentsinatimelymanner.

BrokerFees. TheBROKERisduetobepaidTransactionFeesaspertheServiceLevelonPage3ofthisagreementthatisselectedbytheBROKER.

AgreementValidation.AnyaccurateandlegallybindingversionofthisAgreementaccuratelytransmittedthroughfacsimileore-mailprograms,shallbedeemedanequivalent,original,legalandbindingversionofthisAgreement.Allfaxcopiesore-mailedcopiesofthisexecutedAgreement shallbe consideredasoriginalstoalltermsincludingallsignaturesoftheParties.EachpartyinvolvedacceptstransferofthisdocumentviafaxorE-mailasfullyvalid.

Applicability.ThisAgreementshallinuretothebenefitofthePartiesrespectiveprincipals,successors,affiliates,andassigns,includingwithoutlimitation,anyperson,partnershiporcorporation,whichsucceedaPartyintheProject,andthisagreementshallbebindinguponthePartiesrespectivesuccessorsandassigns.AllsignatoriesheretoacknowledgethattheyhavereadandeachPartyfullyunderstandsthetermsandconditionscontainedinthisAgreement,andbytheirinitialsandsignature(s)typedorhandsigned,thattheyhavefullandcompleteauthoritytoexecutethedocumentforandinthenameofthepartyforwhichtheyhavegiventheirsignature.

CONFIDENTIALITY,NONDISCLOSURE,NONDISPARAGEMENT

A.Non-Circumvention. BothPartiestothisAgreementexpresslyagreenottocircumvent,avoid,bypassorobviateeachotherinanymanner,directlyorindirectly,particularlyinanefforttogainfees,commissions,remunerationor

Considerations tothe benefitof theone or more ofthe Partieswith thefull knowledgeand acquiescenceof allnecessaryParties,whetherornotsuchfees,commissions,remunerationsorconsiderationsgainedthroughcircumventionwouldotherwisebedeemedtherightfulpropertyofanyoneorseveraloftheParties.ThecircumventedPartyshallbeentitledtolegalmonetarycompensationequaltotheTransactionFeeitshouldrealizefromsuchaTransaction,plusanyandallexpenses,includinganyandallreasonablelegalfeesincurredintherecoveryofsuchcompensation.Theobligationsimposed inthissub-section applytoanytransaction involvingProtectedInformationdisclosed byaParty toaPartyandanytransactioncontemplatedhereunderorotherbusinessarrangementarisingoutoforconnectedinanywaytoProtectedInformation.

B.Non-Disparagement. TheBROKERagreestoactwithPrivacyandConfidentialitybyprotectingthepersonalandprofessionalreputationoftheBD Consultingbyagreeingthat,neitheritnoranyofitsAffiliates,employees,investors,family,friendsorAssociateswilldirectly,indirectlyoranonymously,inanycapacityormanner,make,express,transmitspeak,write,verbalizeorotherwisecommunicateinanyway(orcause,further,assist,solicit,encourage,supportorparticipateinanyoftheforegoing)includingwebsites,media,orsocialmedia,anyremark,comment,message,information,declaration,communicationorotherstatementofanykind,whetherverbal,inwriting,electronicallytransferredorotherwise,thatmightreasonablybeconstruedtobederogatory,disparaging,criticalof,ornegativetowardtheBD Consulting oranyofitsdirectors,officers,affiliates,subsidiaries,employees,agentsorrepresentativesoranypartyassociatedwithanytransactionbeingfacilitatedbytheBD Consulting.IntheeventtheBROKERbreachesthisNonDisparagementClause,theBD Consulting is immediatelyandautomaticallytobeawardedliquidateddamagesof$1,000,000(OneMillion)USDforeachprovenpublicdisparagingstatementand$500,000(FiveHundredThousandDollars)USDforeachprovenprivatedisparagingstatementandtheBD Consulting willhavethefulllegalrighttoimmediatelyterminateanytransactionsthattheBD ConsultinghasfacilitatedfororonbehalfofTheBROKERandpursueanyandalllegalremediesagainsttheBROKERincludingcourtactiontoenforcethisclauseandcollectanyliquidateddamagesamountsowedbytheBROKER.NothinginthisclauseshallpreventanypersonfromtestifyingwhensubpoenaedorrequiredbylawbyaGovernmentAgency.

C.ProtectedInformation.Theterm"ProtectedInformation"meansinformationnotgenerallyknowntothepublicrelatingtoaparties,businessoraffairs,whichmayincludebutisnotlimitedtocontractterms,productinformationormanufacturingprocesses,prices,fees,financialagreements,schedulesandinformationconcerningtheidentityofsellers,producers,buyers,lenders,borrowers,brokers,distributors,refiners,manufacturers,technologyowners,customerorcontactlists,sourcesofbusiness,prospectsorprojections,businessoperations,planstodevelop and expand itsbusinessoperations,data,processes,technicalinformation,financialandmarketinginformationoranyotherproprietaryorconfidentialmatterortradesecretsaswellasnames, addresses,principals,ortelex/fax/telephonenumbers, emails,websites,referencestoproductortechnologyinformationand/oranyotherinformationdeemedconfidentialorprivilegedwithinthebroadestpossiblescopeofthecustomersprojectorTheTransactionwithoutpriorspecificwrittenconsent oftheBD Consulting (the“ProtectedInformation”).

TheBROKER acknowledgesthattheProtectedInformationfrom the BD Consulting,ourstaff,advisors,associatesorthe BD Consulting’sserviceprovidersmay be written,oral,graphic, pictorialorrecorded, orstored on computerdiscs, hard drives,magnetictape,ordigitalorotherelectronicmeans.TheBROKERfurtheracknowledgesandagreesthattheProtectedInformationconstitutesvaluable,specialanduniqueassetsthatweredevelopedorobtainedthroughtheinvestmentofsignificanttime,effortandexpensebytheBD Consulting anditsserviceprovidersandthataccesstosuchinformationwouldnotbepossible,butfortherelationshipofthePartieshereunder.

1.ObligationsRegardingProtectedInformation.TheBROKERshalltreatallProtectedInformationreceivedfromtheBD Consultingoritsserviceprovidersasconfidential,andspecificallyshall:

i)NotuseanyportionofProtectedInformationforanypurposeotherthanforthepurposesintendedwithinthisAgreement;

ii)NotdiscloseProtectedInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty;and

iii)Limitdisseminationof the ProtectedInformation tothose of its employees,officers, anddirectorsthathaveaneedtoknowtheProtectedInformationforpurposesofconsideringenteringintotheTransactionwiththedisclosingparty.

2.Exceptions toObligations. The partiesagreethat the obligationsset forth inParagraphtheprecedingparagraphwillnotextendtoanyinformationwhich:

i)Iswithinthepublicdomainorhasbeenpubliclydisclosed,orentersintothepublicdomainthroughnofaultorwrongfulactofthereceivingparty;or

ii)Wasintheunrestrictedpossessionofthereceivingpartypriortoreceiptfromthedisclosingparty;or

iii)IsindependentlydevelopedbyorforthereceivingpartybyanindividualorentitythathashadnoaccesstotheProtectedInformationoftheotherParty.

1.BROKERDECLARATION
