RESOLUTION OF THE MAYOR AND COMMITTEE OF THE TOWNSHIP OF HARRISON, COUNTY OF GLOUCESTER, STATE OF NEW JERSEY PROVIDING AFFORDABLE HOUSING FUNDS (DISBURSEMENT #2) FOR BLOCK 52, LOT 8 (“PHASE I”)

KNOWN AS THE “MULLICA WEST APARTMENTS” PROJECT

WHEREAS, United Cerebral Palsy of Northern, Central and Southern, NJ, Inc. (“UCP”) is a not-for-profit organization that provides an array of services to people with disabilities and their families throughout the State of New Jersey, and Rukenstein & Associates, LLC (“RA”) is a professional planning and grants consulting firm specializing in developing affordable housing opportunities in the State of New Jersey; and

WHEREAS, UCP as the Sponsor, and RA as the Developer (jointly “UCP/RA”), have entered into a contract with the property owner(s) to acquire the 168-unit apartment complex located at 158 Woodstown Road, designated as Lot 8 in Block 52 on the Harrison Township Tax Map, commonly known as “Mullica West Apartments” or “Mullica West”; and

WHEREAS, working with the property owner, the USDA Rural Development Program, the New Jersey Housing & Mortgage Finance Agency, and the Township, UCP/RA will acquire, rehabilitate, upgrade and preserve Mullica West for affordable housing purposes (“Phase I”); and

WHEREAS, on June 6, 2013, via Resolution No. 25-2013, the Harrison Township Joint Land Use Board granted UCP/RA preliminary major site approval with variances for Lot 8 in order to renovate and expand Mullica West by undertaking certain building and site modification improvements; and

WHEREAS, Phase I will include the renovation and upgrade of both the interiors and exteriors of the existing 168-unit apartment complex; the reconfiguration of the parking lot and driveway; and the installation of enhanced landscape and buffer areas; and

WHEREAS, the Township has determined that the Project complies with the requirements of the New Jersey Council on Affordable Housing (“COAH”) and UCP/RA has represented that it will maintain these units consistently with required affordability controls, thereby assisting the Township in satisfying its affordable housing obligations; and

WHEREAS, by Resolution No. 115-2013, the Township of Harrison (“Township”) committed the sum of One Million One Hundred Ten Thousand ($1,110,000.00) from the Township’s affordable housing trust fund for Phase I; and

WHEREAS, to foster UCP/RA’s ability to begin the Project, the Township Committee, via Resolution No. 119-2014, authorized and directed that an agreement be entered into (“Developer’s Agreement”) with UCP/RA memorializing the Township’s affordable housing funding commitment and authorizing the disbursement of funds for the Project; and

WHEREAS, the Developer’s Agreement dated May 5, 2014 was executed by the parties on May 22, 2014; and

WHEREAS, Article IV of the Developer’s Agreement provides for the obligations of the Township to provide the affordable housing funding for Phase I via a defined disbursement schedule; and

WHEREAS. Phase I, Disbursement #1, in the sum of $500,000.00 was authorized and paid by the Township Committee to UCP/RA via Resolution No. 180-2014 adopted on September 3, 2014; and

WHEREAS, on September 9, 2014, UCP/RA closed and purchased Block 52, Lot 8 via Deed dated September 9, 2014 from Mullica West Limited, a New Jersey Limited Partnership, to Mullica West Apartments Limited Partnership, same being recorded in the Gloucester County Clerk’s Office in Deed Book 5232, Page 76 on September 11, 2014; and

WHEREAS, Article 4.3 entitled “Disbursement Schedule” of the May 5, 2014 Developer’s Agreement provides that the sum of $305,000.00 is due to UCP/RA from the Township of Harrison seven (7) months after closing.

NOW, THEREFORE, BE IT RESOLVED by the Mayor and Committee of the Township of Harrison, County of Gloucester and State of New Jersey, as follows:

  1. Pursuant to, and consistent with the Developer’s Agreement dated May 5, 2014 between the Township of Harrison and Rukenstein Associates, LLC as Developer, and United Cerebral Palsy of Northern, Central and Southern NJ, Inc., specifically Article 4.3 entitled “Disbursement schedule”, the Township Treasurer is hereby authorized and directed to issue a payment to United Cerebral Palsy of Northern, Central and Southern NJ, Inc. (as Project Sponsor) in the amount of Three Hundred Five Thousand Dollars ($305,000.00) (“Disbursement #2”) for Phase I of the Project.
  1. The Mayor, Township Administrator, Township Clerk, Township Solicitor, and other appropriate officers, employees and professionals, are hereby authorized and directed to prepare and execute any and all documents regarding the license and undertake any and all acts necessary to accomplish the purposes hereof.

ADOPTED at a regular meeting of the Mayor and Township Committee of the Township of Harrison, County of Gloucester, State of New Jersey held on April 20, 2015.
