JOINT AGREEMENT on PATENT FILING

between

Full Name of the Company,

And

Facilitation Centre for Industrial Plasma Technology

Institute for Plasma Research,

This Agreement is made and signed on the 24th day of February, Two Thousand and Twelve

BY and BETWEEN

Facilitation Centre for Industrial Plasma Technologies, situated at A–10/B, Sector 25, GIDC, Electronic Estate, Gandhinagar 382044, as a division of the Institute for Plasma Research, (an autonomous institute under Department of Atomic Energy, Government of India) situated in Bhat, Gandhi Nagar, Gujarat, 382428 hereinafter jointly referred to as, FCIPT/IPR, on one part and Name of the Company, registered under the companies act 1956 and having its registered office at (Full postal address) hereinafter referred to as (Short name of the company), on the other part.

WHEREAS Institute for Plasma Research, hereinafter referred as IPR, is involved in research of various aspects of plasma science including basic plasma physics, research on magneticlally confined hot plasma and other aspects of plasma technology and is also a part of the development program for fusion reactor, as one of the seven partners of the international project called ITER;

WHEREAS Facilitation Centre for Industrial Plasma Technologies, hereinafter referred as FCIPT, is a division to transfer the institution’s know how in plasma and allied subjects for benefit of industries;

WHEREAS (Short name of the company) 5 lines describing the company and its USP.

WHEREAS IPR on behalf of Department of Atomic Energy runs National Fusion Program administered by “ National Fusion Programme” hereinafter named as, “NFP” that funds Research Institutes, Industries, and Educational Institutes for advance technology development related to fusion science;

WHEREAS both FCIPT/IPR and (Short name of the company) have joinlty developed and demonstrated technologies titles of the project(s) as a part of the National Fusion Programme (NFP) Projects funded by NFP and would like to File a Patent on the technologies developed;

THEREFORE the parties hereby agree as follows:

Article 1: Objective of this agreement

FCIPT/IPR and (Short name of the company) agree to file Joint Patent(s) on the technologies developed as a part of the NFP Projects, assigned to (Short name of the company).

  1. Title of the project and NFP assigned project number of the project

The objective of this agreement is to define methodologies of filing joint patent(s) and financial Terms and Conditions of cost sharing for filing patent(s).

Article 2: Cost Sharing of Joint Patent Filing

2.1 The Patent(s) will be collaboratively filed and jointly owned by FCIPT/IPR and (Short name of the company), with each party having 50% share in the Intellectual Property.

2.2 (Short name of the company)will bear the cost of filing and renewal of the Patent(s). Since the patent(s) is jointly owned, the expenses for the Patent Filing and Renewal will be equally shared among (Short name of the company)and FCIPT/IPR. (Short name of the company)will be allowed to recover the cost of Patent filing and renewal from the royalty payments due to FCIPT/IPR.

Article 3: General Terms and Conditions:

3.1 This agreement will become effective when executed and signed by all the Parties and remain effective for a period 1 year which can be extended for further period based on mutual agreements.

3.2 With mutual agreements of both the parties, this agreement can be added with necessary amendments, if any, as and when required from time to time.
