A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO A MAINTENANCE AGREEMENT WITH BAILEY COMMUNICATIONS, INC., FOR COMPREHENSIVE MANAGED SUPPORT SERVICES FOR THE CITY’S COMPUTER SYSTEM, INCLUDING DESKTOP, SERVER AND MISCELLANEOUS NETWORK SUPPORT, AND DECLARING AN EMERGENCY

WHEREAS, Bailey Communications, Inc., currently provides comprehensive managed support services for the City’s computer system, including desktop, server and miscellaneous network support; and

WHEREAS, Bailey Communications, Inc., has proposed to continue to provide such services for the period April 27, 2013-April 26, 2014. Now, therefore,

BE IT RESOLVED BY THE COUNCIL OF THE CITY OF OLMSTED FALLS, CUYAHOGA COUNTY, OHIO, THAT:

SECTION 1. The Mayor is herein authorized to enter into a maintenance agreement with Bailey Communications, Inc., for comprehensive managed support services for the City’s computer system, including desktop, server and miscellaneous network support, at a total cost of Fifteen Thousand Four Hundred Ninety-Eight Dollars ($15,498.00), based generally upon its proposal, a copy of which is attached hereto and made a part hereof as Exhibit A.

SECTION 2. This agreement shall be in effect as of April 27, 2013, and shall continue until terminated pursuant to its terms.

SECTION 3. The Council finds and determines that all formal actions of this Council relating to the adoption of this Resolution have been taken at open meetings of this Council; and that deliberations of this Council and of its committees, resulting in such formal action, took place in meetings open to the public, in compliance with all statutory requirements including the requirements of Section 121.22 of the Ohio Revised Code.

SECTION 4. This Resolution is hereby declared to be an emergency measure necessary for the immediate preservation of the health, safety and welfare of the residents of Olmsted Falls in order to have the computer support services continue without interruption. It shall therefore take effect immediately upon passage by the affirmative vote of not less than five (5) members elected to Council and approval by the Mayor or otherwise at the earliest time allowed by law.
