ARTICLE V - BOARD OF DIRECTORS

SECTION 3. NUMBER, TENURE AND QUALIFICATIONS: The number of directors shall be twelve (12), including the president, vice-president, secretary/treasurer, immediate past president, and eight nonofficer directors.

All directors with the exception of one nonofficer director shall be representatives of Contractor (Class A) members. Only one person may sit on the Board from any one firm.

The Board, including one designated representative from a Supplier (Class B) member firm in good standing, shall be elected and serve for staggered terms as follows:

·  Of the nonofficer directors, the seven (7) representing Class A members shall be elected for a two (2) year term and may not serve more than four (4) consecutive terms or 8 years.

·  Each director shall serve for the term for which elected and until his/her successor shall have been qualified and elected.

·  Directors who are officers shall serve for the term for which they are elected as officers of the Association.

·  The director who is a designated representative of a Class B member of the Association shall be elected for a two (2) year term, and may not serve for more than two (2) consecutive terms as director or 4 years.

·  Except for one Class B member representative a director shall be a resident of Illinois and be a designated representative of a Class A member firm in good standing.

Directors must attend six Board meetings per year. Further, Directors are asked to attend ILCA-sponsored events throughout the course of the year as a representative of the Board. The director will serve as Board Advisor to a committee(s). As Board Advisor, they are required to attend any meeting that a representative of the Board must attend (once or twice per year).

Submission of a nominee does not guarantee the Nominations Committee will nominate the candidate.
