Eligibility / All PartnerEmpower™Value-Added Resellers in the Radio Solutions Track in good standing.
REBATE / A 5% rebate on the sale of Motorola Solutions Support Services (including new and renewal contracts). The rebate amount is calculated based on the sales generated above the 2012Support Services sales during the same period in 2012.
Participation Requirements / To receive the rebate, channel partners must achieve ALL of the following during the May 1 – August 23, 2013, Promotion period:
  • Exceed their services sales and services contribution rate from the equivalent time period in 2012 (May 1 – August 23, 2012)
  • Achieve at least a 7% minimum contribution rate
  • Generate at least $35,000 in hardware sales
Note: Calculation will be based on Motorola Solutions’ reported sales occurring during the Promotion period.
ELIGIBLE SKUS / All Motorola Solutions Support Services and renewals are eligible, including, but not limited to the following:
  • Repair Bank/CTLC Rewards Plan (CAN)
  • Advance Exchange Support
  • Repair Services Advantage/Extended Warranty (CAN)
  • Software Support

TRACKING / Channel Account Managers will provide reports with information on 2012 accomplishments and information on your 2013progress.
REIMBURSEMENT PROCESS / Channel partners that meet the Promotion requirements will automatically receive the 5% rebate.
The rebate will be issued as a credit on account for channel partners that buy directly from Motorola Solutions.

PARTICIPANT TERMS

Promotion period: May 1 – August 23, 2013

  1. Only members of the Motorola Solutions PartnerEmpower™ Program in good standing are eligible to participate.
  2. This Promotion can be combined with all other incentives.
  3. Motorola Solutions and its agents have the right to audit, validate or verify any purchases/sales claimed and serial numbers submitted and to request additional information regarding any and all claims and supporting documents.
  4. Participants must exceed support Services sales and Support Services sales contribution rate from same period last year to qualify for the rebate.
  5. Motorola Solutions reserves the right to modify, withdraw or cancel thisPromotion (in whole or in part) at any time and/or in any geography for any reason or for no reason, without prior notice.Motorola Solutions disclaims any responsibility or liability for lost sales or profits resulting from the cancellation, alteration or modification of this program, or Motorola Solutions’ failure to provide advance notice thereof.
  6. Any requests that do not comply with the terms of the Promotion will be rejected. The Promotion is subject to all local laws and regulations.
  7. Based on the distributor sales-out report validated by Motorola Solutions and on Motorola Solutions’ financial records, if a participant violates the conditions of the Promotion, or Motorola Solutions erroneously credited participant forcertain sales or failed to do so for any reason, Motorola Solutions or the Value Added Distributor (as the case may be) have the right to bill back the difference, or in the case rebates fell short of participant’s eligibility, issue a revised rebate to participants. Additionally, Motorola Solutions may terminate participant from this Promotionand from the PartnerEmpower Program if participant violates the conditions of the Promotion.

DISPUTES

THIS PROGRAM IS GOVERNED BY THE LAWS OF THE STATE OF ILLINOIS, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES.

As a condition of participating in the Promotion, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with the Promotion, shall be resolved individually and participant hereby irrevocably submits for itself and its property in any legal proceedings relating to the Promotion and enforcement of any judgments with respect and in connection thereto, to the exclusive general jurisdiction of the courts of the State of Illinois, in the County of Cook, Illinois, and to the United States District Court for said region and to the respective appellate courts thereof in connection with any appeal therefrom. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, consequential or other damages, including attorneys’ fees, other than the fair market value of the units purchased by participant, and participant further waives all rights to have damages multiplied or increased and to trial by jury. Under no circumstance will Motorola be liable for any participant’s incidental, consequential, special, punitive, or exemplary damages of any kind, including lost profits, loss of business, or other economic damage arising out of or resulting from Motorola’s offering, conducting and/or terminating the Promotion or for any amount in excess of the market value of the Motorola product(s) purchased by the applicable participant hereunder.
