Hold Harmless Agreement

AMENDMENT A

This Hold Harmless and Indemnity Agreement (“Agreement”) is entered into by and between the Newport News Public Schools (“Schools”) and “Contractor” as specifically identified below, on this __day of ______,in Newport News, Virginia.

Recitals

Contractor understands that it is standard practice for Schools to require certain insurance covereages evidenced by a certificate of insurance as a part of Schools’ contracting practices and procedures. Schools agrees to forego that insurance coverage if Contractor agrees to indemnify Schools from any claims, suits, or judgments arising from and related to Schools’ contract with Contractor.

Agreement

FOR VALUABLE CONSIDERATION, the receipt of which is hereby acknowledged, Schools and Contractor agree as follows:

Contractor will indemnify and hold harmless Schools from any and all claims, actions, and judgments, including all costs of defense and attorney’s fees incurred in defending against same, arising from and related to Contractor’s contract with Schools. Contractor’s actions include acts of Contractor’s agents, officers and employees.

Schools shall be entitled, in its reasonable discretion, to settle claims prior to suit or judgment, and in such event Contractor shall indemnify and hold harmless Schools from any such claims paid, including Schools’ reasonable attorney’s fees incurred resulting from such claim.

In the event any claim or suit is brought against Schools within the scope of this Agreement, Contractor shall pay for legal counsel chosen by Schools to defend against such claim or suit.

Contractor expressly agrees and acknowledges that Contractor fully understands, and voluntarily accepts, the terms of this Agreement.

The terms of this Agreement shall continue in full force and effect until such time as Schools determines, in its sole discretion, that the agreements evidenced in this Agreement are no longer necessary.

This Agreement shall be interpreted under the laws of the Commonwealth of Virginia.
