INVITATION TO DO BUSINESS

GUIDELINES FOR APPOINTMENT OF SPONSORS

1.Definitions

1.1In this ITDB, the following words shall, unless otherwise stated or inconsistent with the context in which they appear, bear the following meanings and words related by origin shall bear corresponding meanings:

1.1.1“the Offer” shall mean the Offeror’s written response to this ITDB and any copies thereof, submitted in terms of this ITDB;

1.1.2“the Offeror” shall mean any person, including that person’s agent, who submits an Offer in response to this ITDB;

1.1.3“the Opportunity” or “Sponsorship Opportunity” shall mean any television programme slot or show identified by Oracle for headline sponsorship in terms of this invitation to do business document;

1.1.4“Oracle” shall mean Oracle Airtime Sales (Proprietary) Limited, with registration number 1995/001791/07;

1.1.5“ITDB” shall mean the terms and conditions of this invitation to do business document, comprising its annexes and any other documents that may be incorporated by reference;

1.1.6“reserve price” shall mean the lowest acceptable price determined by Oracle in relation to the headline sponsorship of the Opportunity;

1.1.7“proposal” shall mean the sponsorship proposal document in relation to the headline Sponsorship Opportunity, comprising its annexes and any other documents that may be incorporated by reference.

1.2The headings of the clauses in this ITDB are used for convenience only and shall not affect the meaning or construction of the contents of this ITDB.

1.3In this ITDB, unless inconsistent with the contest, words referring to:

1.3.1one gender include the other;

1.3.2the singular includes the plural and vice versa;

1.3.3natural persons includes artificial persons and vice versa.

2.Introduction

2.1This ITDB is issued by Oracle.

2.2The purpose of this ITDB is to invite Offerors to submit Offers to Oracle for the appointment of headline sponsors for the Opportunity.

2.3The Offeror must comply with the provisions in this ITDB when preparing and submitting the Offer to Oracle.

2.4Should an Offeror fail to comply with any provisions in this ITDB, Oracle may elect, at its sole discretion, to disqualify the Offeror.

3.The Reserve Price

3.1Oracle may, at its sole discretion, set a reserve price at any time in respect of the Opportunity.

4.Information about the ITDB and Oracle’s contact details

4.1Offerors are invited to submit any queries, related to this ITDB, to Oracle.

4.2Oracle reserves the right, in its sole discretion, to circulate queries submitted by the Offerors and any answers provided by Oracle to all Offerors and/or any other party deemed appropriate by Oracle.

5.The Offeror’s Oracle to Oracle

5.1Offers for headline sponsorship of the Opportunity must be submitted within the time frame stipulated by Oracle.

5.2Once submitted by the Offeror, the Offer shall constitute an irrevocable offer made by the Offeror to Oracle and shall remain open for acceptance for a period to be determined by Oracle.

5.3Nothing in this ITDB shall be construed as obliging Oracle to accept or decline any of the Offers for any reason or at any time, including (without limitation), the time period mentioned in clause 5.1 above.

5.4It is specifically recorded that Oracle shall be entitled, in its sole and unfettered discretion and for whatever reason, to elect not to accept any of the Offers submitted by the Offerors concerned. In this respect, the value of an Offer submitted by an Offeror shall in no way oblige Oracle to accept such Offer. Oracle shall in no way be obliged to provide any reasons for declining Offers.

5.5Oracle may, in its sole and unfettered discretion, make known the details of any Offer, to any Offeror and/or any other party deemed appropriate by Oracle. Nothing in this ITDB shall be construed as obliging Oracle to make known the details of any Offer to any Offeror and/or any other party.

6.The Successful Offeror

6.1Oracle’s choice of successful Offeror as headline sponsor for the Opportunity shall be at its sole and unfettered discretion. In this respect, Oracle shall in no way be obliged to provide any reasons to the successful Offeror.

6.2The successful Offeror shall be duly informed of the acceptance of its Offer by Oracle.

6.3If your offer is accepted by Oracle Airtime Sales the sponsorship will be subject to Oracle Airtime Sales Standard Sponsorship terms and conditions.
