Duties and Responsiblities of Officers, Board Members,
Council Members and
Regional Advisory Council Members
The following provides an overview of the duties and expectations of the various types of Officers and members of the Florida Agricultural Council. This is to provide additional clarification to the By-laws of the council.

Members
- Individual members representing the five Regional Advisory Councils who are composed of
Officers Terms: Two years and can be re-elected
- President – Chief executive officer of the Council and shall be present and preside at meetings of the corporation and of the Board of Directors. The President shall be an ex officio member of all committees. The President shall communicate to the Council on such matters and make suggestions to promote the welfare anad increase the usefulness of the Council. The President shall perform such other duties as are necessarily incident to the office such as authorization of expenditures on behalf of the Council.
- Vice President – In absence, disability, or inability to act of President, perform the duties and exercise the powers of the President and shall perform other duties as the Board of Directors shall prescribe.
- Secretray/Treasurer – Shall have charge of all books, records, and documents of the corporation an shall perform such other duties as may be defined by the Board of Directors. The Secretary/Treasurer shall keep an account of all monies received and expended by the Council; shall make disbursements authorized by the Board of Directors; and shall make a report at the annual meeting or when called upon by the President. Funds may be drawn only on signatures of either the President or Secretary/Treasurer.
Board of Directors Terms: Four years and can be re-elected
- There is an maximum of 24 members of the Board of Directors no less than twelve (12) of which must be directly involved in food and agricultural production and/or processing industries.
- The Board of Directors have supervision, control, and direction of the affairs of the corporation; execute the policies and decisions of the membership; and have discretion of the disbursement of the funds. It shall adopt rules for the conduct of its business and appoint subcommittees or individuals to work on specific projects.
- Members are expected to attend a minimum of two meeting per year to include the annual meeting of the Council
Regional Advisory Councils
Members: Terms: Two years unless no longer chair of a County or REC Advisory Committee. Members should attend all meetings possible (may attend an alternate regional meeting if appointed region time is not suitable) and provide input to the region.
Regional Chair – Term: two years and can be reelected, if still a RAC member. Chair is responsible for assisting in agenda development, presiding over the regional meetings, and attending the annual FAC meeting as a voting member from his/her respective region.
Two Regional representatives – Term: two years and can be reelected, if still a RAC member. Serves in place of RAC chair if not available to chair the RAC meeting and attending the annual FAC meeting as a voting member from his/her respective region.
