The Company voluntarily joins in the Electronic tendering and bidding system supplied in the electronic tendering and bidding website of Shanghai Baohua International Tendering Co., Ltd (short for Baohua Tendering website, domain name: www.baosteelbidding.com) , and has read and understood completely and accept relative contents included in “Service agreement of Baohua Tendering website”.
The Company has purchased the Certificate Authority (hereinafter referred to CA certificate) issued by Shanghai Electronic Certificate Authority Center Co., Ltd, and within the date of effectiveness of the CA, the electronic signature, encryption and bidding documents realized through CA on the Baohua Tendering website all get valid authority of the Company, and the bid of all tendering projects organized by Shanghai Baohua International Tendering Co., Ltd will be carried out through CA in behalf of the Company.
The authority letter will come into effect on __date __ month __ year after signature.

Service agreement of Baohua tendering website
Welcome to read Service Agreement (hereinafter referred to “the Agreement”) of electronic tendering and bidding website (hereinafter referred to Baohua Tendering Website) of Shanghai Baohua International Tendering Co., Ltd. The terms and conditions set forth in the Agreement are applicable for you to use various tools and services (hereinafter after referred to “Service)” involved in electronic bidding activities supplied on Baohua Tendering website (domain name involved: www.baosteelbidding.com; the same below).
1. Person who can use Baohua Tendering website
Baohua Tendering Website is a full processed electronic tendering and bidding service platform for tendering and bidding business, and make and upload of bidding documents, bid opening, bid evaluation, announcement and publicity of bid evaluation results, appeal and doubts can be carried out on the website. “Service” will only be used by company and individual person as potential supplier as well as other staff related to tendering and bidding who can enter into contracts with legal binding force according to relative laws. If this item cannot be satisfied, please do not use “service”. Shanghai Baohua International Tendering Co., Ltd (short for Baohua Tendering) can, at any time, have full rights to decide himself to reject supplying “Service” for any Unit and individual person. “Service” will not be supplied for registered members who are deprived of qualification temporarily or permanently.
2. Terms of acceptance
Entrance into Baohua Tendering website through any way denotes that you have agreed to sign the Agreement with Baohua Tendering and the terms in the Agreement will bind you. Baohua Tendering can, at any time, have full rights by himself to decide to change the “terms”. If any change to “terms” happens, Baohua Tendering will public it on his website and will notify you of it. If you do not agree relative changes, you must stop to use “Service”. After the “Terms” modified are publicized on Baohua Tendering website, they will come into effect automatically. You shall read carefully the modified “terms” after log on and have rights to select or stop use of “service” continuously; once you select to use the “service” continuously, then it denotes that you have accepted the modified “terms”, if any disputes happen between you and Baohua Tendering, the latest Service agreement should prevail. Except for additional expressed statement, any new content that will extent the range of “service” or strength its function will be binded by the Agreement.
3. Cost
Baohua Tendering, after notifying you according to Item 2, will keep the rights to charge the cost of “service”. All the cost arisen of getting paid service from Baohua Tendering when you carry out bidding or get relative information, and arisen of all tax which should be paid when you use the Baohua Tendering server as well as the cost related to hardware, software, communication, network service and other cost shall be born by yourself. Baohua Tendering keeps the rights to change or terminate the whole or partial “service” temporarily or permanently on the conditions that it is not necessary to send written notice but publicity on Baohua Tendering website.
4. Your information
“Your information” includes any information (including data, text, pictures, graph, video, words or other materials) delivered to Baohua Tendering Website through any network during registration, tendering document purchase, clarification and bid evaluation. You should bear full responsibility for “your information”, if Baohua Tendering considers that “your information” may make Baohua Tendering bear any legal or moral responsibility, Baohua Tendering can have full rights at his own to take any necessary or suitable action for “your information” under Baohua Tendering’s consideration, including but not limit to delete the information. You hereby guarantee that you own all legal rights for “you information” delivered to Baohua Tendering website.
5.1 Registration obligation
If you have registered in Baohua Tendering website, you agree to: (a) supply real, exact, complete information of you or your company and information reflecting current conditions according to requirements of Member information table on Baohua Tendering website; (b) maintain and update member information to keep its reality, exact, completeness and reflect current conditions. If the information supplied is not real, exact and complete or cannot reflect current conditions, or Baohua Tendering has reasonable reason to suspect that the information supplied by you is not real, exact and complete or cannot reflect current conditions, Baohua Tendering has the rights to suspend or terminate your registration identification and information and reject you to use the “service” (or part of the service) at present or in future through any method. If you register in Baohua Tendering in behalf of one company or other legal entity, then you should state and guarantee that you have the rights to make the company or other legal entity bind by the “terms” in the Agreement.
5.2 Member registration name, secret and secrecy
5.2.1 During registration, you will select registration name and password. You should, at your own, be responsible for confidentiality of your registration name and password and should bear the responsibility for all actions happened under your registration name and password. You agree to: (a) notify Baohua Tendering immediately if your find that any un-authorized person use your registration name or password or if any other conditions that violate secret keeping stipulations happen; and (b) ensure to exit Baohua Tendering website in correct steps after your terminate to access into internet. Baohua Tendering cannot and will not be responsible for any loss or damage arisen of your inobservance of the stipulation in this Term.
5.2.2 Customers who have purchased Electronic certificate authority according to requirements of Shanghai Electronic Certificate Authority Center Co., Ltd and have registered successfully in Baohua Tendering website can only carry out electronic tendering and bidding activities of Baohua Tendering.
5.2.3 Any documents coming-and-going on Baohua Tendering website of you will be electronically stamped, encrypted or declassified by Shanghai Electronic Certificate Authority Center Co., Ltd, Baohua Tendering will not bear the responsibility related to safety of your data transmission and encryption.
5.3 Regulation related to your information
You agree that the information submitted to Baohua Tendering website will not:
a. Contain deceit ingredient;
b. Violate the copyright, patent, trademark, commercial secret or other intellectual property, or right of privacy and right of reputation of any third-party;
c. Violate any law, code rule or regulation;
d. Contain defamation (including commercial defamation), illegal threat or illegal harassment contents;
e. Contain coprological content, or any pornographic content;
f. Contain any virus, pretended destroy program, computer worm, timing program bomb or other computer program that destroys willfully, disturbs balefully, intercept or invade secretly any system, data or personnel information;
g. You agree that you will not: (1) use the “service” related to any interlocking correspondence, many random E-mails, E-mail sent randomly or any copied or superfluous information; (II) use “service” to collect E-mail address and other information of other person without consent of other person; or (III) use “service” to make inveracious E-mail address, or try to misguide other person in terms of sources of sender’s identification or information in other form.
6. Licensed right of use authorized by you to Baohua Tendering
You authorize Baohua Tendering the exclusive, universal globally, permanent and free licensed right of use (and you have rights to re-authorize the licensed right of use at multiple levels), to make Baohua Tendering have the right to use, copy, revise, modify, issue, translate, distribute, execute and show “your information” or make derived works, and/or incorporate “your information” into other works by existing or developed lately forms, media or technology. Baohua Tendering promises that all documents happened during bidding will be kept confidentially and he will not issue your information except for bid evaluation committee.
7. Completeness of system
You agree that you will not intervene or try to intervene normal operation of Baohua Tendering website by any device, software or routine program. You shall not take action of putting any unreasonable load or non-proportional heavy load into network structure of Baohua Tendering website. You should not disclose any third party your password, or use your password together with any third party, or use your password for any purpose without approval.
8. Not for commercial purpose
You agree that you will not use any information for commercial use, including but not limit to copy any information shown on Baohua Tendering website and use for commercial purpose without prior written approval of senior management person authorized by Baohua Tendering.
9. Termination or access restriction
You agree, at your own, to decide with full rights to terminate by any reason (including but not limit to that Baohua Tendering considers that you have violated literal meanings and spirits, or that you take action according to literal meanings and spirits which not conform to the Agreement) your “service” password, account (or any part) or your use of “service” as well as delete and discard "your information" submitted during use of “service” under the conditions that Baohua Tendering has not charged. You agree that Baohua Tendering will take action to terminate above-mentioned service on the basis of reasonable doubts of Baohua Tendering without sending E-mail notification under the conditions that Baohua Tendering has charged. At the same time, Baohua Tendering can, at his own, decide with full rights to stop supplying “service” of part of the “service” at any time under the conditions of sending notice or not send notice. You agree that termination of your use of “service” according to any stipulation in the Agreement can be executed without sending notice in advance, and you admit and agree that Baohua Tendering can make your account be invalid immediately, or cancel your account or all relative information and files in your account, and/or can prohibit you accessing the files or “service” of the same level again. After cancellation of your account, Baohua Tendering has not the obligation to save any information in or related to your original account, or transmit the information which has not been read or sent to you or the third party. In addition, you agree that Baohua Tendering will not bear any responsibility for you or any third party in terms of termination of your access the “service”.
10. Service supplied “according to present status”
Baohua Tendering will make every effort to make you enjoy yourself during use of Baohua Tendering website. Sadly, Baohua Tendering can not forecast any technical problems or other difficulty. The difficulty can lead to data loss or interruption of other service. So you understand and agree that the risk of using the “service” will be born by yourself. “Service” will be supplied on the basis of “according to present status” and “according to obtainable service”. Baohua Tendering states definitely that he will guarantee to not give any kind of express or hint, including but not limit to the warranty of merchantability or fitness for a particular purpose and the warranty without act of tort. Baohua Tendering will not give warranty for the following contents: (i) “service” may satisfy your requirements; (ii) “service” will not be interrupted, and be timely and safe and will not bring any error; (iii) possible results attained by using “service” are exact; and (iv) your experience obtained through the “service” is reasonable.
11. No-agency relationship
You and Baohua Tendering will act as independent contractor. The Agreement has no intention to form or promote any agency, partnership, joint management and employment relationship.
12. Force Majeure
Baohua Tendering will not bear any responsibility for reasons arisen of, including but not limit to natural disaster, strike or chaos, riot, war, government’s behavior, communication or failure of other facility or serious casualty etc, which is not in the reasonable control range of Baohua Tendering and leads to Baohua Tendering postpones or fails to perform.
13. Other stipulations
The Agreement shall be subjected to laws of mainland area of People’s Republic of China. If any stipulation in the Agreement is judged to be invalid or be not executed forcefully, this stipulation shall be cancelled and other stipulation shall be carried out. Title of Terms is only created to facilitate read, and will not be used for defining, restricting, explaining or describing the range or extent of this Term. Baohua Tendering doesn’t take action for breach of you or other person, but it doesn’t mean that Baohua Tendering withdraws the rights of taking action for any future or similar breach.
14. Lawsuit
Any dispute arisen of or related to the Agreement or service of Baohua Tendering shall be sued to the Court where Baohua Tendering locates, and the laws of People's Republic of China shall be presidial law.
