HEADS OF TERMS FOR GRANT OF AN EASEMENT FOR UNDERGROUND CABLES

AT –

1.PAYMENT

Upon completion of the Deed of Grant, the Grantor will receive the consideration of £1.00

2.LOCATION OF EASEMENT LAND

The [ ] metre wide easement strip shown coloured yellow on the attached plan.

3.EASEMENTSto be granted to UKPN

The Grantor shall grant to UKPN the following rights:

-Tolay use maintainand supplement electriclines under the Easement

Land

-To enter the Grantor’s landto the extent necessary to exercise the rights

-To fell or lop any trees which interfere with the laying maintenance or

operation of the Electric Lines

4.UKPN COVENANTS

UKPN will:

-Give the Grantor reasonable prior notice of its intention to carry out works except in case of emergency

-Carry out works in a good and workmanlike manner and in accordance with its statutory obligations

-Not cause any unnecessary damage or disturbance in exercise of the rights and to make good any damage that may be caused to the reasonable satisfaction of the Grantor

-Indemnify the Grantor against all claims that are the reasonably foreseeable consequence of any negligence or wrongful act or omission that:

(1)is a breach of the terms of the Deed, or

(2)arises in the exercise of any of the Rights

Subject to standard provisions to provide notice of any claims, to assist with the conduct of any claim and to take reasonable steps to mitigate any loss

5.GRANTOR COVENANTS

The Grantor shall not:

-Do anything that might obstruct access to the electric lines

-Do anything that will interfere with or damage any electric lines

-Alter the level of the ground above the electric lines

-Erect any buildings nor plant any trees on the Easement Land

6.LEGAL & SURVEYORS COsts

In connection with the grant of the easements:

[the ICP/Customershallbear the Grantor’s reasonable and proper legal and surveyor’s fees]
