17. Terms and Conditions of Government Purchase Card Acceptance: Contractors are required to accept the Government purchase card for payments equal to or less than the micro-purchase threshold for oral or written delivery orders. This in not intended to limit the acceptance of the Government purchase card under this contract for dollar amounts that exceed this threshold if otherwise agreeable between the Contractor and the customer; therefore, contractors are encouraged to accept payment by the Government purchase card for all orders, the Contractor must so advise the ordering agency within 24 hours of receipt of order. The Contractor shall not process a transaction for payment through the credit card clearinghouse until the purchased supplies have been shipped or services performed. Unless the cardholder requests correction or replacement of a defective or faulty item in accordance with other contract requirements, the Contractor shall immediately credit a cardholder’s account for items returned as defective or faulty.

27.Limitation of Liability: Limitation of Liability. If the ordering activity should become entitled to claim damages from Meridian for any reason (including without limitation, for breach of contract, breach of warranty, negligence or other tort claim), Meridian will be liable only for the amount of ordering activity’s actual direct damages up to the amount that ordering activity paid Meridian for the items or services that are the subject of the claim. In no event, however, will Meridian be liable to ordering activity (in the aggregate for all claims made with respect to an order) for more than the amount paid by ordering activity to Meridian under the applicable order. In addition, in no event will Meridian’s aggregate liability for all claims arising under or relating to the order exceed the total amount paid to Meridian by ordering activity under the order. These limits also apply to Meridian’s subcontractors. They are the maximum liability for which Meridian and its subcontractors are collectively responsible.

In no event will Meridian or any person or entity involved in the creation, manufacture or distribution of any software, services or other materials provided by Meridian under the order be liable for: (i) any damages arising out of or related to the failure of ordering activity or its Affiliates or suppliers to perform their responsibilities; (ii) any claims or demands of third parties; or (iii) any lost profits, loss of business, loss of data, loss of use, lost savings or other consequential, special, incidental, indirect, exemplary or punitive damages, even if Meridian has been advised of the possibility of such damages. Meridian will not be held responsible, or to have failed to meet its obligations under the order, if it either delays performance or fails to perform as a result of any cause beyond its reasonable control.
