19.OVERSEASACTIVITIES
Thetermsandconditionsofthiscontractshallapplytoallordersforinstallation,maintenanceandrepairofequipmentinareaslistedinthepricelistoutsidethe48contiguousstatesandtheDistrictofColumbia,exceptasindicatedbelow:

UponrequestoftheContractor,theorderingactivitymayprovidetheContractorwithlogisticssupport,asavailable,inaccordance withallapplicableorderingactivityregulations.Suchorderingactivitysupportwillbeprovidedonareimbursablebasis,andwillonlybeprovidedtotheContractor'stechnicalpersonnelwhoseservicesareexclusivelyrequiredforthefulfillmentofthetermsandconditionsofthiscontract.
20.BLANKETPURCHASEAGREEMENTS(BPAs)
TheuseofBPAsunderanyschedulecontracttofillrepetitiveneedsforsuppliesorservicesisallowable.BPAsmaybeestablishedwithoneormoreschedulecontractors.ThenumberofBPAstobeestablishediswithinthediscretionoftheorderingactivityestablishingtheBPAandshouldbebasedonastrategythatisexpectedtomaximizetheeffectivenessoftheBPA(s).OrderingactivitiesshallfollowFAR8.405-3whencreatingandimplementingBPA(s).
21.CONTRACTORTEAMARRANGEMENTS
Contractorsparticipatingincontractorteamarrangementsmustabidebyalltermsandconditionsoftheirrespectivecontracts.ThisincludescompliancewithClauses552.238-74,IndustrialFundingFeeandSalesReporting,i.e.,eachcontractor(teammember)mustreportsalesandremittheIFFforallproductsandservicesprovidedunderitsindividualcontract.
22.INSTALLATION,DEINSTALLATION,REINSTALLATION
TheDavis-BaconAct(40U.S.C.276a-276a-7)providesthatcontractsinexcess of$2,000towhichtheUnitedStatesortheDistrictofColumbiaisapartyforconstruction,alteration,orrepair(includingpaintinganddecorating)ofpublicbuildingsorpublicworkswiththeUnitedStates,shallcontainaclausethatnolaborerormechanicemployeddirectlyuponthesiteoftheworkshallreceivedlessthantheprevailingwageratesasdeterminedbytheSecretaryofLabor.TherequirementsoftheDavis-BaconActdonotapplyiftheconstructionworkisincidentaltothefurnishingofsupplies,equipment,orservices.Forexample,therequirementsdonotapplytosimpleinstallation
oralterationofapublicbuildingorpublicworkthatisincidentaltofurnishingsuppliesorequipmentunderasupplycontract.However,iftheconstruction,alterationorrepairissegregableandexceeds$2,000,thentherequirementsoftheDavis-BaconActapplies.

(1)ForsuchperiodasthelawsoftheStateinwhichthiscontractistobeperformedprescribe;or

TERMSANDCONDITIONSAPPLICABLETOTERMSOFTWARELICENSES (SPECIALITEMNUMBER132-32)
1.INSPECTION/ACCEPTANCE
TheContractorshallonlytenderforacceptancethoseitemsthatconformtotherequirementsofthiscontract.Theorderingactivityreservestherighttoinspectortestanysoftwarethathasbeentenderedforacceptance.Theorderingactivitymayrequirerepairorreplacementofnonconformingsoftwareatnoincreaseincontractprice.Theorderingactivitymustexerciseitspostacceptancerights(1)withinareasonabletimeafterthedefectwasdiscoveredorshouldhavebeendiscovered;and(2)beforeanysubstantialchangeoccursintheconditionofthesoftware,unlessthechangeisduetothedefectinthe software.
2.GUARANTEE/WARRANTY
a.Unlessspecifiedotherwiseinthiscontract,theContractor’sstandardcommercialguarantee/warrantyasstatedinthecontract’scommercialpricelistwillapplytothiscontract.

b.TheContractorwarrantsandimpliesthattheitemsdeliveredhereunderaremerchantableandfitforusefortheparticularpurposedescribedinthiscontract.
c.LimitationofLiability.Exceptasotherwiseprovidedbyanexpressorimpliedwarranty,theContractorwillnotbeliabletotheorderingactivityforconsequentialdamagesresultingfromanydefectordeficienciesinaccepteditems.
3.TECHNICALSERVICES
TheContractor,withoutadditionalchargetotheorderingactivity,shallprovideahotlinetechnicalsupportnumber301-907-7541forthepurposeofprovidinguserassistanceandguidanceintheimplementationofthesoftware.Thetechnicalsupportnumberisavailablefrom9:00amto5:00pmEasterntime.
4.SOFTWAREMAINTENANCE

Softwaremaintenanceasaproductincludesthepublishingofbug/defectfixesviapatchesandupdates/upgradesinfunctionandtechnologytomaintaintheoperabilityandusabilityofthesoftwareproduct.Itmayalso includeothernocharge supportthatareincludedinthepurchasepriceoftheproductinthecommercialmarketplace.Nochargesupportincludesitemssuchasuserblogs,discussionforums,on-linehelplibrariesandFAQs(FrequentlyAskedQuestions),hostedchatrooms,andlimitedtelephone,emailand/orweb-basedgeneraltechnicalsupportforuser’sselfdiagnostics.

2.SoftwareMaintenanceasaService(SIN132-34)
Softwaremaintenanceasaservicecreates,designs,implements,and/orintegratescustomizedchangestosoftwarethatsolve oneormoreproblemsandisnotincluded withthepriceofthesoftware.Softwaremaintenanceasaserviceincludesperson-to-personcommunicationsregardlessofthemediumusedtocommunicate:telephonesupport,on-linetechnicalsupport,customizedsupport,and/ortechnicalexpertisewhicharechargedcommercially.Softwaremaintenanceasaserviceisbilledarrearsinaccordancewith31U.S.C.3324.

5.PERIODSOFTERMLICENSES(SIN132-32)
a.TheContractorshallhonorordersforperiodsforthedurationofthecontractperiodoralessorperiodoftime.
b.Termlicensesand/ormaintenancemaybediscontinuedbytheorderingactivityonthirty(30)calendardayswrittennoticetotheContractor.
c.AnnualFunding.Whenannuallyappropriatedfundsarecitedonanorderfortermlicensesand/ormaintenance,theperiodofthetermlicensesand/ormaintenanceshallautomaticallyexpireonSeptember30ofthecontractperiod,orattheendofthecontractperiod,whicheveroccursfirst.Renewalofthetermlicensesand/ormaintenanceorderscitingthenewappropriationshallberequired,ifthetermlicensesand/ormaintenanceistobecontinuedduringanyremainderofthecontractperiod.
d.Cross-YearFundingWithinContractPeriod.Whereanorderingactivity’sspecificappropriationauthorityprovidesforfundsinexcessofa12month(fiscalyear)period,theorderingactivitymayplaceanorderunderthisschedulecontractforaperioduptotheexpirationofthecontractperiod,notwithstandingtheinterveningfiscalyears.
e.OrderingactivitiesshouldnotifytheContractorinwritingthirty(30)calendardayspriortotheexpirationofanorder,ifthetermlicensesand/or maintenanceistobeterminatedatthattime.Ordersforthecontinuationoftermlicensesand/ormaintenance willberequiredifthetermlicensesand/ormaintenanceistobecontinuedduringthesubsequentperiod.
6.CONVERSIONFROMTERMLICENSETOPERPETUALLICENSE
a.Theorderingactivitymayconverttermlicensestoperpetuallicensesforanyorallsoftwareatanytimefollowingacceptanceofsoftware.AttherequestoftheorderingactivitytheContractorshallfurnish,withinten(l0)calendardays,foreachsoftwareproductthatiscontemplatedforconversion,thetotalamountofconversioncreditswhichhaveaccrued whilethe softwarewasonatermlicenseandthedateofthelastupdateorenhancement.
b.Conversioncreditswhichareprovidedshall,withinthelimitsspecified,continuetoaccruefromonecontractperiodtothenext,providedthesoftwareremainsonatermlicensewithintheorderingactivity.
c.Thetermlicenseforeachsoftwareproductshallbediscontinuedonthedayimmediatelyprecedingtheeffectivedateofconversionfromatermlicensetoaperpetuallicense.
d.Thepricetheorderingactivityshallpaywillbetheperpetuallicensepricethatprevailedatthetimesuchsoftwarewasinitiallyorderedunderatermlicense,ortheperpetuallicensepriceprevailingatthetimeofconversionfromatermlicensetoaperpetuallicense,whicheveristheless,minusanamountequaltoN/A%ofalltermlicensepaymentsduringtheperiodthatthesoftwarewasunderatermlicensewithintheorderingactivity.
7.TERMLICENSECESSATION
a.AfterasoftwareproducthasbeenonacontinuoustermlicenseforaperiodofN/Amonths, afullypaid-up,non-exclusive,perpetuallicenseforthesoftwareproductshallautomaticallyaccruetotheorderingactivity.Theperiodofcontinuoustermlicenseforautomaticaccrualofafullypaid-upperpetuallicensedoesnothavetobeachievedduringaparticularfiscalyear;itisawrittenContractorcommitmentwhichcontinuestobeavailableforsoftwarethatisinitiallyorderedunderthiscontract,untilafullypaid-upperpetuallicenseaccruestotheorderingactivity.However,shouldthetermlicenseofthesoftwarebediscontinuedbeforethespecifiedperiodofthecontinuoustermlicensehasbeensatisfied,theperpetuallicenseaccrualshallbeforfeited.
b.TheContractoragreestoprovideupdatesandmaintenanceserviceforthesoftwareafteraperpetuallicensehasaccrued,atthepricesandtermsofSpecialItemNumberl32-34,ifthelicenseeelectstoordersuchservices.TitletothesoftwareshallremainwiththeContractor.
8.UTILIZATIONLIMITATIONS-(SIN132-32)
a.SoftwareacquisitionislimitedtocommercialcomputersoftwaredefinedinFARPart2.101.
b.Whenacquiredbytheorderingactivity,commercialcomputersoftwareandrelateddocumentationsolegendshallbesubjecttothefollowing:
(1)TitletoandownershipofthesoftwareanddocumentationshallremainwiththeContractor,unlessotherwisespecified.
(2)Softwarelicensesarebysiteandbyorderingactivity.Anorderingactivityisdefinedasacabinetlevelorindependentorderingactivity.Thesoftwaremaybe usedbyanysubdivisionoftheorderingactivity(service,bureau,division,command,etc.)thathasaccesstothesitethesoftwareisplacedat,evenifthesubdivisiondidnotparticipateintheacquisitionofthe software.Further,thesoftwaremaybeusedonasharingbasiswhere multipleagencieshavejointprojectsthatcanbesatisfiedbytheuseofthesoftwareplacedatoneorderingactivity'ssite.Thiswouldallowotheragenciesaccesstooneorderingactivity'sdatabase.Fororderingactivitypublicdomaindatabases,useragenciesandthirdpartiesmayusethecomputerprogramtoenter,retrieve,analyzeandpresentdata.Theuserorderingactivitywilltakeappropriateactionbyinstruction,agreement,orotherwise,toprotecttheContractor'sproprietarypropertywithanythirdpartiesthatarepermittedaccesstothecomputerprogramsanddocumentationinconnectionwiththeuserorderingactivity'spermitteduseofthecomputerprogramsanddocumentation.Forpurposesofthissection,allsuchpermittedthirdpartiesshallbedeemedagentsofthe userorderingactivity.
(3)Exceptasisprovidedinparagraph8.b(2)above,theorderingactivityshallnotprovideorotherwisemakeavailablethesoftwareordocumentation,oranyportionthereof,inanyform,toanythirdpartywithoutthepriorwrittenapprovaloftheContractor.ThirdpartiesdonotincludeprimeContractors,subcontractorsandagentsoftheorderingactivitywhohave the orderingactivity'spermissiontousethelicensedsoftwareanddocumentationatthefacility,andwho haveagreedtousethelicensedsoftwareanddocumentationonlyinaccordancewiththeserestrictions. Thisprovisiondoesnotlimittherightofthe
orderingactivitytousesoftware,documentation,orinformationtherein,whichtheorderingactivitymayalreadyhaveorobtainswithoutrestrictions.
(4)Theorderingactivityshallhavetherighttousethecomputersoftwareanddocumentationwiththecomputerfor whichitisacquiredatanyotherfacilitytowhichthatcomputermaybetransferred,orin
casesofDisasterRecovery,theorderingactivityhastherighttotransferthesoftwaretoanothersiteiftheorderingactivitysitefor whichitisacquiredisdeemedtobeunsafe fororderingactivitypersonnel;tousethecomputersoftwareanddocumentationwithabackupcomputerwhentheprimarycomputerisinoperative;tocopycomputerprogramsforsafekeeping(archives)orbackuppurposes;totransferacopyofthesoftwaretoanothersiteforpurposesofbenchmarkingnewhardwareand/orsoftware;andtomodifythesoftwareanddocumentationorcombineitwithothersoftware,providedthattheunmodifiedportionsshallremainsubjecttotheserestrictions.
(5)"CommercialComputerSoftware"maybemarkedwiththeContractor'sstandardcommercialrestrictedrightslegend,buttheschedulecontractandschedulepricelist,includingthisclause,"UtilizationLimitations"aretheonlygoverningtermsandconditions,andshalltakeprecedenceandsupersedeanydifferentoradditionaltermsandconditionsincludedinthestandardcommerciallegend.
9.SOFTWARECONVERSIONS-(SIN132-32ANDSIN132-33)
Fullmonetarycreditwillbeallowedtotheorderingactivitywhenconversionfromone versionofthesoftwaretoanotherismadeastheresultofachangeinoperatingsystem,orfromonecomputersystemtoanother.Underaperpetuallicense(132-33),thepurchasepriceofthe newsoftwareshallbereducedbytheamountthatwaspaidtopurchasetheearlierversion.Underatermlicense(132-32),conversioncreditswhichaccruedwhiletheearlierversionwasunderatermlicenseshallcarryforwardandremainavailableasconversioncreditswhichmaybeappliedtowardstheperpetuallicensepriceofthenewversion.
10.DESCRIPTIONSANDEQUIPMENTCOMPATIBILITY
TheContractorshallinclude,inthe schedulepricelist,acompletedescriptionofeachsoftwareproductandalistofequipmentonwhichthesoftwarecanbeused.Also,includedshallbeabrief,introductoryexplanationofthemodulesanddocumentationwhichareoffered.
11.RIGHT-TO-COPYPRICING
TheContractorshallinsertthediscountedpricing forright-to-copylicenses.

1.10“Update”meansaminormodificationoftheSoftware(e.g.,a“bug”fixorenhancementtoanexistingfeatureorfunctionality)thatRSmakesgenerallyavailabletoitscustomerswithoutanincreasedfee.
1.11“NewVersion”meansareleasecontainingamajormodificationtotheSoftware(e.g.,newfeaturesorfunctionality).FullutilizationofaNewVersionmayrequirethatCUSTOMERpurchaseadditionalservices,upgradedoradditionalequipmentorsoftwarelicenses.
2.1RSHOSTEDSERVICE
2.2HostedService.RSoritsdesigneewillhost,manageandmaketheSoftwareavailabletoCUSTOMERviaaHostedServiceusingcommerciallyreasonable,diligentefforts.SubjecttothetermsandconditionsofthisAgreementandduringtheTerm,RSgrantstoCUSTOMERalimited,non-exclusive, nontransferable, revocablelicense (License) to permit Authorized Usersto accessand use theSoftwareaspartoftheServicesolelyforCUSTOMER’sintendedcollaborationpurposes.CUSTOMERshallnotpermitanyoneotherthanAuthorizedUsersforwhomapplicablefeeshavebeenpaidtoaccessorusetheService.
2.3AuthorizedUsers.RSwillassigntoeachAuthorizedUserauniqueuseraccountnameandpassword(UserID)foraccessanduseoftheService.CUSTOMERmayresetUserID’sfortheAuthorizedUsersintheSoftware.CUSTOMERagreesthatitshallassumefullresponsibilityforeachAuthorizedUser’scompliancewiththetermsandconditionsofthisAgreementandshallberesponsibleforanyaccessoruseoftheServicebymeansoftheUserIDs(whetherornotauthorizedbyCUSTOMER).
2.4ProhibitedUses. TheLicensedoes not permitandCUSTOMERisprohibitedfromdoingthefollowing:(i)sublicensing,leasing,lending,selling,resellingorpermittingaccesstotheSoftware or
Serviceonatime-shareorservicebureaubasis,(ii)disassembling,reverse-engineeringorcreatingderivativeworksbasedupontheSoftwareortheService,(iii)permittinguseoforaccesstotheSoftwareorServicebyanyoneotherthanthethen-currentAuthorizedUsers.
2.5UsageLimitations.Services maybesubjecttootherlimitationsthatarespecifiedintheDocuments.TheServicesrequirethatCUSTOMERmonitoritscompliancewithsuchlimitations.
2.6Documents.CUSTOMERmayprintcopiesoftheDocumentsasnecessaryfortheAuthorizedUserstousetheSoftwareandServices,providedthatCUSTOMERdoesnotremoveoredit,andreproducesverbatimanycopyright,trademarkorproprietaryrightsnoticesappearingontheDocumentsonanysuchcopies.
2.7CUSTOMERResponsibilities.CUSTOMERissolelyresponsible,atitsown cost,foracquiring,installing,operatingandmaintainingallhardwareandsoftwarenecessary toaccessandusetheServiceashostedbyRSandtoaccesstheInternetwithsufficientqualityandbandwidthforuseoftheService,whichataminimum,willincludethesystemrequirementsinScheduleAandanyotherrequirementsintheDocuments.CUSTOMERwillberesponsiblefortrainingAuthorizedUsers.TrainingandotherProfessionalServicesrelatedtotheSoftwaremaybepurchasedseparatelyfromRSinaseparateagreement.
3.1SupportSERVICES
3.2TelephoneSupport.RSoritsdesignateshallprovideCUSTOMERwithtelephoneassistancetosupportCUSTOMER’suseoftheService.Telephonesupportwillbeavailableduringthehoursof9:00am
–5:00pmEST,MondaythroughFriday.
3.3On-lineSupportSystem.RSoritsdesignatewillprovideCUSTOMERandAuthorizedUserswithaccesstoanOn-lineSupportSystemaspartofSupportServices,soCUSTOMERmaylookupanswerstoquestionsand/orsubmitquestionsorproblems.
3.4UpdatesandNew Versions.RSoritsdesignate willmakeUpdatesandNewVersionsavailabletoCUSTOMERaspartoftheSupportServicesastheybecomeavailable.TheidentificationofareleaseasanUpdateoraNewVersionshallbeinRS’soledetermination.RSwillprovideadequateadvancenoticeofanyUpdatesorNewVersionsthatwillrequireequipmentupgradesorothersystemschangesasdescribedunderSection2.6above.
3.5CUSTOMERObligations.ToenableRStoprovideSupportServicesunderthisAgreement,CUSTOMERshall(i)notifyRSviaphoneorthe On-lineSupportSystemwhensupportisrequiredandtoreportproblems,(ii)allowRSreasonableaccess(bothremoteandonsite)toCUSTOMER’ssystemaswellasthereasonableuseofanynecessaryfacilities,utilities,datacommunicationsandresources;(iii)whenreasonablyrequestedbyRS,collectCUSTOMERDataandotherinformationnecessaryforRStoresolveproblems;and(iv)adheretoRS’SLAforSupportServices.
3.6CUSTOMERTraining.CUSTOMERSwillassignatleasttwodesignatedCUSTOMERRepresentativesor‘CentralPointsofContact’whowillbe responsibleforsubmittingService RequeststoRS’HelpDesk,co-coordinatingresponsesfromRS’HelpDesk,andreceivingnewproductreleasesandinformationbulletins.CUSTOMERisrequiredtopurchaseandeachCUSTOMERRepresentativeisrequiredtocompletecertaintrainingpriortoactingasaCentralPointofContact.CUSTOMERRepresentativessubmittingServiceRequestswhohavenotreceivedtrainingwillbeaskedbyRStocompletetherequiredtraining.

AuthorizedUsersubscriptionspurchasedcannotbedecreasedduringtherelevantsubscriptiontermstatedinSection4.1.AuthorizedUsersubscriptionfeesarebasedonmonthlyperiodsthatbeginonthesubscriptionstartdateandeachmonthlyanniversarythereof;therefore,feesforAuthorizedUsersubscriptionsaddedinthemiddleofamonthlyperiodwillbechargedforthatfullmonthlyperiodandthemonthlyperiodsremaininginthesubscriptionterm.
4.4InvoicingandPayment.TopurchasetheServicesduringthesubscriptionterm,CUSTOMERwillprovideRSwithvalidandupdatedcreditcardinformation,avalidpurchaseorderoralternativedocumentreasonablyacceptabletoRS.Ifcreditcardinformationisprovided,CUSTOMERauthorizesRStochargesuchcreditcardforallServicesfortheinitialsubscriptiontermandanyrenewalsubscriptionterm(s)assetforthinSection10.2.Ifpaymentwillbebyamethodotherthanacreditcard,RSwillinvoiceCUSTOMERinaccordancewith anyrelevantOrderForm.Invoicedchargesareduenet30daysfromtheinvoicedate.
5.1CUSTOMERDATA
5.2Ownership.AsbetweenCUSTOMERandRS,RShasnopropertyinterestintheCUSTOMERData
5.3Verification.CUSTOMERunderstandsandacknowledgesthatCUSTOMERis solelyandexclusively responsibleformonitoringandverifyingallCUSTOMERDataandfordeterminingtheaccuracy,completenessorappropriatenessofallCUSTOMERData.CUSTOMERissolelyresponsibleforpopulatingthehosteddatabase(s)withCUSTOMERData.CUSTOMERbearsallriskassociated withtransmissionoftheCUSTOMERData.
5.4RestrictionsRelatedtoUseofCUSTOMERData.Withoutlimitingtheabove,RSoritsdesigneeshallmaintaintechnicalsafeguardsforprotectionofthesecurity,confidentialityandintegrityoftheCUSTOMERData.RSshallnot(i)modify theCUSTOMERData,(b)disclosetheCUSTOMERDatatothirdparties,exceptascompelledbylawinaccordancewithSection7orasexpresslypermittedinwritingbyCUSTOMER,or(c)accesstheCUSTOMERData,excepttoprovidetheServicesorpreventoraddressserviceortechnicalproblems.
6.0RSPROPRIETARYRIGHTS
CUSTOMERacknowledgesandagreesthattheSoftwareandtheServiceareproprietarymaterials whichcontainvaluableintellectualpropertyrights,includingbutnotlimitedtotradesecrets,copyrightsandtrademarks,andthatallintellectualpropertyrightstotheSoftwareandServiceareownedbyRSand/oritslicensorsandthatCUSTOMERhasnorightsexceptthoseexplicitlygrantedinthisAgreement.NothinginthisAgreementwillbeconstruedasgrantingCUSTOMERanyrightorlicenseunderanyintellectualpropertyrightofRSbyimplication,estoppelorotherwise,exceptasexpresslysetforthherein.
7.1CONFIDENTIALINFORMATION
7.2CUSTOMER'sObligations. CUSTOMERacknowledgesthat anyconfidentialinformationthatisdisclosedbyRSinwritingandmarkedatthetimeofdisclosuretoindicateitisconfidential(Collectively,“RSInformation”)areconfidentialandproprietarytoRS,exceptaspotentiallypostedandmadepubliclyavailableontheGSAeLibrary(includingthisAgreement).RSInformationshallincludetheSoftwareandServices,thetermsandconditionsofthisAgreementandallOrderForms,aswellasbusinessandmarketingplans,technologyandtechnicalinformation,productplansanddesigns,andbusinessprocesses disclosed byRS.CUSTOMERagrees to treatallRSInformationas confidentialandto useitsbesteffortstopreventunauthorizeddisclosureofRSInformationbyitsemployeesandallotherindividualswhoCUSTOMERpermitstoaccesstotheRSInformationunlesscompelledbylawtodoso.
7.3RS'Obligations.RSacknowledgesthatanyconfidentialinformationthatisdisclosed byCUSTOMERinwritingandmarkedatthetimeofdisclosuretoindicateitisconfidentialareconfidentialandproprietarytoCUSTOMER(collectively,"CUSTOMERInformation").NotwithstandingRS’obligationsunderthisAgreementthatrequireuseoftheCUSTOMERData,RSagreestotreatallCUSTOMERInformationasconfidentialandtouseitsbesteffortstopreventunauthorizeddisclosureofCUSTOMERInformationbyitsemployeesandallotherindividualswhoRSpermitsaccesstotheCUSTOMERInformationunlesscompelledbylawtodoso.
7.3Exclusions.TheobligationsofthisSection7willnotapplytoanyInformation(otherthanCUSTOMERData)that(i)isorbecomesgenerallyknowntothepublicwithoutbreachofanyobligationowedtothedisclosingParty,(ii)wasknowntothereceivingPartypriortoitsdisclosureby thedisclosingPartywithoutbreachofanyobligationowedtothedisclosingParty,(iii)isreceivedfromathirdpartywithoutbreachof anyobligationowedtothedisclosing Party,or (iv)wasindependentlydeveloped bythereceivingParty.
7.4Survival.TheobligationsofthisSection7willsurvivetheterminationofthisAgreementforanyreason.
8.1RSWARRANTIESANDINDEMNIFICATION
8.2RSWarranties.RSrepresentsandwarrantstoCUSTOMERthat,duringtheTerm,ithasandwillhave fullpower andauthoritytoenter intoandperformthis Agreement andshall performtheServicesusingcommerciallyreasonableefforts.
8.3Indemnification.SubjecttothelimitationssetforthinthisSection8.2,RSagreestoindemnifyandholdCUSTOMERharmlessfromanydamagesorexpenses(includingreasonableattorneysfees)actuallyandfinallyawardedagainstCUSTOMERinanylawsuitarisingoutoforrelatedtoRS’allegedinfringementofathirdparty’sintellectualpropertyrightsintheUS;provided,CUSTOMERshall(i)immediatelynotify RSofsaidlawsuitandprovideRSwithacopy ofany pleadings,(ii)committoconsultwithRSingoodfaithandprovideallnecessaryinformationthatislegallyfreetoprovideinthedefenseandanysettlement(providedsuchsettlementunconditionallyreleasesCUSTOMERofallliability),and
(iii)provideRSallreasonableassistance.RSmay,atitsoptionandexpense,procureforCUSTOMERtherighttocontinueusingtheallegedlyinfringingSoftwareorService,replace it with anoninfringingitem,modifyitsoitbecomesnoninfringing,orrequireCUSTOMERtoceaseuseoftheallegedlyinfringingSoftwareorServiceandgrant CUSTOMER arefund of uptoa pennylessthan 12timesthemonthlyfeeinSection4.1.THISSECTION8.2STATESTHE SOLE AND EXCLUSIVEREMEDYOFCUSTOMERFORANYALLEGEDTHIRD-PARTYINFRINGEMENT.
8.4Warranty Disclaimer.CUSTOMERACKNOWLEDGESANDAGREESTHATTHESOFTWAREANDTHESERVICESAREPROVIDED‘ASIS“AND“‘ASAVAILABLE”ANDEXCEPTFORTHEWARRANTYSETFORTHINSECTION8.1,RSAND ITSLICENSORSMAKENOREPRESENTATIONSANDDISCLAIMANYANDALLOTHERWARRANTIES,WHETHEREXPRESSORIMPLIED,INCLUDING,WITHOUTLIMITATION,WARRANTIESORMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE,THATTHE SOFTWAREWILL BENON-INFRINGING,THATTHESOFTWARE,ORTHESERVICE WILLBEUNINTERRUPTED,ERROR-FREEORCOMPLETELYSECURE.RSDOESNOTANDCANNOTCONTROLTHEFLOWOFDATATOORFROMTHESERVICEANDOTHERPORTIONSOFTHEINTERNET,WHICHDEPENDSUPONTHEPERFORMANCEOFINTERNETSERVICESPROVIDEDORCONTROLLEDBYTHIRDPARTIES.ACTIONSORINACTIONBYTHETHIRDPARTIESCANIMPAIRORDISRUPTCUSTOMER’sORRS’CONNECTIONTOTHEINTERNET.FURTHER,DATAANDOTHERINFORMATIONTRANSMITTEDOVERPUBLICTELECOMMUNICATIONSFACILITIESSUCHASTHEINTERNETISUNSECUREANDMAYBEINTERCEPTEDANDACCESSEDBYUNAUTHORIZEDTHIRD-PARTIES,ANDRSDOESNOTREPRESENTORWARRANTTHATCUSTOMER’SDATAORTHETRANSMISSIONOFTHESAMEISORWILLBESECURE.

UPONBREACHOFWARRANTY,BREACHOFCONTRACT,NEGLIGENCE,STRICTLIABILITYINTORTOR ANYOTHER LEGAL THEORY,EVENIF ADVISED OF THE POSSIBILITYOF SUCHDAMAGES,INCLUDINGBUTNOTLIMITEDTOLOSSOFPROFITS,REVENUE,EQUIPMENTUSE,DATAORINFORMATIONOFANYKIND.
9.4MaximumLiability.NOTWITHSTANDINGANYOTHERPROVISIONOFTHISAGREEMENTTOTHE CONTRARY,EITHERPARTY’SMAXIMUMCUMULATIVELIABILITY TOTHE OTHERPARTYFORACTUALDAMAGESFORALLMATTERSARISINGDIRECTLYORINDIRECTLYOUTOFORRELATINGTOTHESOFTWARE,THESERVICES,CUSTOMER’SUSETHEREOFANDACCESSTHERETO,ANDTHISAGREEMENTISLIMITEDTOTHETOTALFEESACTUALLYPAIDTORSDURINGTHE12MONTHSPRIORTOTHEDATETHECLAIMAROSE.
9.5AllocationofRisk.TheallocationofliabilityinthisSection9.0representstheagreeduponandbargainedforunderstandingofthePartiesandformsanessentialbasisofthebargainbetweentheParties.ThePartiesagreethatRShassetitscompensationandenteredintothisAgreementinrelianceuponthelimitationsofliabilityandthedisclaimersofwarrantiesanddamagessetforthinthisAgreement.
10.1EFFECTIVEDATE;SUBSCRIPTION TERMRENEWALS;ANDTERMINATION
10.2EffectiveDate.ThisAgreementwillbecomeeffectiveupontheEffectiveDateandwillcontinueineffectunlessterminatedearlierpursuanttoSection10.3below.
10.3SubscriptionTermRenewals.SubscriptionspurchasedhereundercommenceonthestartdatespecifiedinSection4.1orintheapplicableOrderFormandcontinueforthesubscriptiontermspecifiedtherein.
10.4Termination.EitherPartymayterminatethisAgreementupontermsoutlinedintheGSASchedulecontract.UponanyterminationofthisAgreement,CUSTOMER'sLicensetoaccessandusetheSoftwareandtheServiceisandshall beautomaticallyandimmediatelyrevoked,andCUSTOMERshallinsurethatallAuthorizedUsers(i)ceaseallfurtheruseoftheSoftware,DocumentsandServiceand,certifytoRSinwritingthatallcopieshavebeendestroyed;and(ii)payallfeesoutstanding.Further,atCUSTOMER’Soption, RSshalldestroyallcopiesoftheCUSTOMER’S DataandInformation,andcertifytoCUSTOMERinwritingthatallcopieshavebeendestroyed.Sections4.1,6,7,8,9,10,and11willsurviveany terminationunderthisAgreement.
11.1GENERALPROVISIONS
11.2EffectofAgreement.ThisAgreement(includingallcurrentandfutureSchedules),inadditiontotheGSASchedulecontract,embodiestheentireunderstandingbetweenthePartieswithrespecttothesubjectmattercoveredandsupersedesanyandallpriorunderstandings,oralorwritten,proposalsandcommunicationsorotheragreements,oralorwritten.
11.3Amendments,Modifications.ExceptasotherwiseprovidedinthisAgreement,anyamendmentmustbeinwritingandsignedbybothParties.ThetermsandconditionsofthisAgreementwillprevailoveranyconflictingoradditionaltermsandconditionsofanyorderorotherdocument.AllconflictingandadditionaltermsandconditionsarespecificallyrejectedanddonotformanypartofthisAgreement.
11.4Assignment.This AgreementandanyofCUSTOMER’s rights andobligationshereundermaynotbeassigned,conveyedortransferredby CUSTOMERtoany third-partywithoutRS’sexpress,prior,writtenconsent. AnyassignmentpermittedbyRSshallbebindingonCUSTOMER’ssuccessorsandassigns.
11.5ForceMajeure.NeitherPartywillberesponsibleforfailuretocomplywiththisAgreementduetocausesbeyonditsreasonablecontrol.
11.6Announcements.RS,withCUSTOMER'spriorapproval,mayissueannouncementsconcerningthisAgreementtothetradepressandrecognizedindustryconsultants.
11.7Notices.EachPartyshallappointarepresentativefromitsorganizationauthorizedtoreceivenotices.AllnoticesrequiredtobegivenmustbegiveninwritingbypersonaldeliveryorbycertifiedorregisteredmailtotheotherPartyattheaddresslistedonthefaceofthisAgreement.AnychangeofaddressmustbepromptlycommunicatedinwritingtotheotherParty.
11.8Severability,Enforcement.AnyprovisionofthisAgreement,whichisheldtobevoid,invalid,unenforceableorillegalbyacourt,will, astosuchjurisdiction,beineffectivetotheextentof theprohibitionorunenforceabilitywithoutinvalidatingtheremainingportionsoraffectingthevalidityorenforceabilityoftheprovisioninanyotherjurisdiction.
11.9GoverningLaw,DisputeResolution.ThisAgreementandanyquestions,claims,disputesorlitigationconcerningorarisingfromthisAgreementwillbegovernedsolelybythefederallawoftheUnitedStateswithoutgivingeffecttotheconflictsoflawsdoctrinesofanystate.ThePartiesshallattemptingoodfaithtoresolveanycontroversy,claimordispute(cumulatively"Dispute")arisingoutofthemakingorperformanceorotherwiserelatingtothisAgreement.ThePartiesagreetoholdallDisputesinconfidenceuntilthefirstpleadingarisingfromanylitigationhasbeenfiledwiththecourt.ThePartiesagreethatanylitigationarisingoutoforrelatingtothisAgreement(includingitsmaking,performance,enforcementorbreach)willbevenuedintheU.S.CourtofFederalClaimsoraU.S.DistrictCourt.

1.SCOPE
a.Theprices,termsandconditionsstatedunderSpecialItemNumber132-51InformationTechnologyProfessionalServicesapplyexclusivelytoITProfessionalServiceswithinthescopeofthisInformationTechnologySchedule.
b.TheContractorshallprovideservicesattheContractor’sfacilityand/orattheorderingactivitylocation,asagreedtobytheContractorandtheorderingactivity.
2.PERFORMANCEINCENTIVESI-FSS-60PerformanceIncentives(April2000)
a.PerformanceincentivesmaybeagreeduponbetweentheContractorandtheorderingactivityonindividualfixedpriceordersorBlanketPurchaseAgreementsunderthiscontract.
b.Theorderingactivitymustestablishamaximumperformanceincentivepricefortheseservicesand/ortotalsolutionsonindividualordersorBlanketPurchaseAgreements.
c.Incentivesshouldbedesignedtorelateresultsachievedbythecontractortospecifiedtargets.Tothemaximumextentpracticable,orderingactivitiesshallconsiderestablishingincentiveswhereperformanceiscriticaltotheorderingactivity’smissionandincentivesarelikelytomotivatethecontractor.Incentivesshallbebasedonobjectivelymeasurabletasks.
3.ORDER
a.Agenciesmayusewrittenorders,EDIorders,blanketpurchaseagreements,individualpurchaseorders,ortaskordersfororderingservicesunderthis contract.BlanketPurchaseAgreementsshallnotextendbeyondtheendofthecontractperiod;allservicesanddeliveryshallbe madeandthecontracttermsandconditionsshallcontinueineffectuntilthecompletionoftheorder.Ordersfortaskswhichextendbeyondthefiscalyearfor whichfundsareavailableshallincludeFAR52.232-19(Deviation–May2003)AvailabilityofFundsfortheNextFiscalYear.Thepurchaseordershallspecifytheavailabilityoffundsandtheperiodforwhichfundsareavailable.
b.Alltaskordersaresubjecttothetermsandconditionsofthecontract.Intheeventofconflictbetweenataskorderandthecontract,thecontractwilltakeprecedence.
4.PERFORMANCEOFSERVICES
a.TheContractorshallcommenceperformanceofservicesonthedateagreedtobytheContractorandtheorderingactivity.
b.TheContractoragreestorenderservicesonlyduringnormal workinghours,unlessotherwiseagreedtobytheContractorandtheorderingactivity.
c.TheorderingactivityshouldincludethecriteriaforsatisfactorycompletionforeachtaskintheStatementofWorkorDeliveryOrder.Servicesshallbecompletedinagoodandworkmanlikemanner.
d.AnyContractortravelrequiredintheperformanceofITServicesmustcomplywiththeFederalTravelRegulationorJointTravelRegulations,asapplicable,ineffectonthedate(s)thetravelisperformed.Established
FederalGovernmentperdiemrateswillapplytoallContractortravel.ContractorscannotuseGSAcitypaircontracts.
5.STOP-WORKORDER(FAR52.242-15)(AUG1989)
(a)TheContractingOfficer may, atanytime,bywrittenordertotheContractor,requiretheContractortostopall,oranypart,oftheworkcalledforbythiscontractforaperiodof90daysaftertheorderisdeliveredtotheContractor,andforanyfurtherperiodtowhichthepartiesmayagree.Theordershallbespecificallyidentifiedasastop-workorderissuedunderthisclause.Uponreceiptoftheorder,theContractorshallimmediatelycomplywithitstermsandtakeallreasonablestepsto minimizetheincurrenceofcostsallocabletotheworkcoveredbytheorderduringtheperiodofworkstoppage.Withinaperiodof90daysafterastop-workisdeliveredtotheContractor,orwithinanyextensionofthatperiodtowhichthepartiesshallhaveagreed,theContractingOfficershalleither-
(1)Cancelthestop-workorder;or
(2)Terminatethe workcoveredbytheorderasprovidedintheDefault,ortheTerminationforConvenienceoftheGovernment,clauseofthiscontract.
(b)Ifastop-workorderissuedunderthisclauseiscanceledortheperiodoftheorderoranyextensionthereofexpires,theContractorshallresumework.TheContractingOfficershallmakeanequitableadjustmentinthedeliveryscheduleorcontractprice,orboth,andthecontractshallbemodified,inwriting,accordingly,if-
(1)Thestop-workorderresultsinanincreaseinthetimerequiredfor,orintheContractor'scostproperlyallocableto,theperformanceof anypartofthiscontract;and
(2)TheContractorassertsitsrighttotheadjustmentwithin30daysaftertheendoftheperiodof
workstoppage;provided,that,iftheContractingOfficerdecidesthefactsjustifytheaction,theContractingOfficermayreceiveandactupontheclaimsubmittedatanytimebeforefinalpaymentunderthiscontract.
(c)Ifastop-workorderisnotcanceledandthe workcoveredbytheorderisterminated fortheconvenienceoftheGovernment,theContractingOfficershallallowreasonablecostsresultingfromthestop-workorderinarrivingattheterminationsettlement.
(d)Ifastop-workorderisnotcanceledandthe workcoveredbytheorderisterminated fordefault,theContractingOfficershallallow,byequitableadjustmentorotherwise,reasonablecostsresultingfromthestop-workorder.
6.INSPECTIONOFSERVICES
InaccordancewithFAR52.212-4CONTRACTTERMSANDCONDITIONS--COMMERCIALITEMS(MAR2009)(DEVIATIONI-FEB2007)forFirm-FixedPriceordersandFAR52.212-4CONTRACTTERMSANDCONDITIONSCOMMERCIALITEMS(MAR2009)(ALTERNATEIOCT2008)(DEVIATIONI–FEB
2007)appliestoTime-and-MaterialsandLabor-HourContractsordersplacedunderthiscontract.
7.RESPONSIBILITIESOFTHECONTRACTOR
TheContractorshallcomplywithalllaws,ordinances,andregulations(Federal,State,City,orotherwise)coveringworkofthischaracter.Iftheendproductofataskorderissoftware,thenFAR52.227-14(Dec2007)RightsinData

8.RESPONSIBILITIESOFTHEORDERINGACTIVITY
Subjecttosecurityregulations,theorderingactivityshallpermitContractoraccesstoallfacilitiesnecessarytoperformtherequisiteITProfessionalServices.
9.INDEPENDENTCONTRACTOR
AllITProfessionalServicesperformedbytheContractorunderthetermsofthiscontractshallbeasanindependentContractor,andnotasanagentoremployeeoftheorderingactivity.
10.ORGANIZATIONALCONFLICTSOFINTEREST
a.Definitions.
“Contractor”meanstheperson,firm,unincorporatedassociation,jointventure,partnership,orcorporationthatisapartytothiscontract.
“Contractoranditsaffiliates”and“Contractororitsaffiliates”referstotheContractor,itschiefexecutives,directors,officers,subsidiaries,affiliates,subcontractorsatanytier,andconsultantsandanyjointventureinvolving
theContractor,anyentityintoorwithwhichtheContractorsubsequentlymergesoraffiliates,oranyothersuccessororassigneeoftheContractor.
An“Organizationalconflictofinterest”existswhenthenatureoftheworktobeperformed underaproposedorderingactivitycontract,withoutsomerestrictiononorderingactivitiesbytheContractoranditsaffiliates,mayeither(i)resultinanunfaircompetitiveadvantagetotheContractororitsaffiliatesor(ii)impairtheContractor’soritsaffiliates’objectivityinperformingcontractwork.
b.Toavoidanorganizationalorfinancialconflictofinterestandtoavoidprejudicingthebestinterestsoftheorderingactivity,orderingactivitiesmayplacerestrictionsontheContractors,itsaffiliates,chiefexecutives,directors,subsidiariesandsubcontractorsatanytierwhenplacingordersagainstschedulecontracts.SuchrestrictionsshallbeconsistentwithFAR9.505andshallbedesignedtoavoid,neutralize,ormitigateorganizationalconflictsofinterestthatmightotherwiseexistinsituationsrelatedtoindividualordersplacedagainsttheschedulecontract.Examplesofsituations,whichmayrequirerestrictions,areprovidedatFAR9.508.
11.INVOICES
