ADDENDUM TO PURCHASE AND SALE AGREEMENT
This Addendum to the Purchase and Sale Agreement dated January 19, 2005 (“Agreement”) for property located at Lot #1, Airport Industrial Park III, Biddeford, York County, Maine, between the CITY OF BIDDEFORD, a Maine municipal corporation with a mailing address of P.O. Box 586, Biddeford, Maine, 04005 ("Seller") and CATHOLIC CHARITIES MAINE, a nonprofit corporation with a mailing address of P.O. Box 10660, Portland, Maine, 04104-6060 (“Purchaser”), is entered into by Seller and Purchaser as of the date noted below.
WHEREAS, Seller and Purchaser entered into the Agreement with an effective date of January 19, 2005; and
WHEREAS, Seller and Purchaser have agreed to an extension of the Agreement to close with corresponding extensions of the contingency periods; and
WHEREAS, Seller and Purchaser are willing to extend the Agreement based on the conditions set forth below;
NOW, THEREFORE, based on the mutual covenants contained herein, the parties agree as follows:
1. Closing: The date of closing as established in the Agreement shall be increased by one hundred eighty (180) days to and including January 19, 2006.
2. Contingency Periods: The time period for any contingencies established in the Agreement shall begin on the date of this Addendum and run for the time periods set for the in the Agreement.
3. Terms: Seller and Purchaser hereby acknowledge that the remaining terms of the Agreement remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Addendum as of the dates noted below.
