Veterans Council provides a credible duty of care that makes a positive difference to the daily lives of our nation’s Armed Forces Community. Our services are designed to restore our moral obligation to the members of the Royal Navy, the Army and the Royal Air Force, together with their families within the Northwest and further afield.

Our Mission is to establish a dedicated "One Stop Shop" that provides a single, easily-accessible pathway into bespoke mental health, health/social care and transitional services tailored to the members of the Armed Forces Community. This Service will provide a support pathway and single referral procedure to ensure fair treatment for the Armed Services Community, and personalized treatment from the NHS and other care providers

The Role of Secretary to the board of Trustees

The Charity Secretary will have company secretary duties and be responsible for ensuring that the organisation complies with its governing document, charity law, company law and any other relevant legislation or regulations.

Key Responsibilities of the Secretary to the Board of Trustees

  • Custodian of the governing documents, and ensure that all meetings, Annual General Meetings and Extraordinary General Meetings are run effectively and in accordance with the provisions of the governing document.
  • Ensure all relevant papers are available and distributed on time to the Trustees for all board meetings and any other occasion
  • Help prepare agendas, take minutes of meetings, prepare and issue draft minutes to the board.
  • Ensure that minutes are signed by the Chair once they have been approved.
  • Check that trustees and Staff have carried out actions agreed at previous meetings.
  • As well as a thorough knowledge of the governing document, the Charity Secretary should have a good awareness of Charity and Company Law
  • Ensure all official Board documents and records are duly maintained
  • Ensures all records are maintained with the Charity Commission and other regulatory organisations.

About You

The successful candidate will possess:

  • Experience of Company Secretary duties and governance
  • Dedication and commitment to working with the Armed Forces Community
  • Proven experience of working with different stakeholders within and outside the organisation
  • Ability to work to deadlines
  • Be eligible to be a Trustee (Please see Charity Commission website)

Time Commitment

If selected, it is expected that you can commit 1 day per month to Veterans Council for general administration support to the Chair, in addition you will be expected to attend:-

3 Board Meetings per year, these are usually held during business hours.

1 Annual General Meeting per year

Ad-Hoc Strategic planning meetings as required and agreed

Remuneration

This role is voluntary but Veterans Council will reimburse your out of pocket expenses, namely Travel and Subsistence that arise directly from the duty of Secretary provided that evidence of such is provided and submitted on the charities expenses form.
