Exhibit A: Partner Level Agreement - VAR

This agreement outlines the terms that TimeXtender and the Partner have agreed upon, at the above statedlevel of partnership. This agreement is effective from the date signed by the parties, and supersedes any prior Partner Level Agreement the parties have entered into.

This agreement is known as Exhibit A in the General Partner Agreement entered into by the parties.

1.Restrictions

  1. Partner may only market and license within the Territory designated in Section 1.l of the Partner Agreement.
  2. It is understood and agreed that Partner is not prohibited from undertaking any generalized non-targeted demand generation activities at any time throughout the Territory provided that all such demand generation activities are directed to the Territory. Examples of such activities are, but not limited to, telemarketing, direct mail, Internet mail, response to prospect inquiries, etc. Partner agrees to get approval from the assigned TimeXtender Alliance Reseller Manager on all marketing and pricing promotions prior to their release which approval will not be unreasonably withheld.

4.Discounts

  1. When conducting sales and presales work to Customers, Partner will receive the discount on all TimeXtender invoices submitted to Partner pursuant to this Agreement.

A discount reflects the cost reduction TimeXtender will extend to Reseller on sales of Software Licenses and Maintenance and Support Agreements to Customers by Reseller.

  1. In those instances where Partner is provided the customer from TimeXtender or TimeXtender has conducted presale assistance free of charge, the above discounts may be reduced by 50%. Paragraph 4.b. does not apply to presale assistance limited to TimeXtender-driven or TimeXtender-support technical demonstrations, and Partner is eligible for 100% of discount even when a TimeXtender technical demonstration is provided.

5.Pricing

  • Certification fee per developer $0 US
  • Yearly support plan per developer $0 US

6.Professional Services

Professional Services such as consulting and courses are available to Partners at current pricelist as stated in section 4, Discounts. Please refer to TimeXtenders current list prices. For support and training for Partners employees not holding a Developer Seat, these rates will apply.
