ThisAGREEMENT(hereinaftercalledthe“Agreement”)ismadeonthe…………dayofthemonthof…………2013,between,ontheonehand,the Directorate of Punjab State Lotteries(hereinaftercalledthe“Authority”whichexpressionshallincludetheirrespectivesuccessorsand permittedassigns,unlessthecontextotherwiserequires)and,ontheotherhand, …………………………………(hereinaftercalledthe“Consultant”whichexpressionshallincludetheirrespectivesuccessorsandpermittedassigns).
WHEREAS
(A)TheAuthorityvideitsRequestforProposalforappointmentof Technical Consultant (herein-aftercalledthe“Consultant”)forSetting up, operation & managing the Punjab State Online Lottery System through Public Private Partnership (PPP) (hereinaftercalledthe“Project”);
(B)theConsultantsubmitteditsproposalsfortheaforesaidwork,wherebytheConsultantrepresentedtotheAuthoritythatithadtherequiredprofessionalskills,andinthesaidproposalstheConsultantalsoagreedtoprovidetheServicestotheAuthorityonthetermsandconditionsassetforthintheRFPandthisAgreement;and
(C)theAuthority,onacceptanceoftheaforesaidproposalsoftheConsultant,awardedtheConsultancytotheConsultantvideitsLetterof Awarddated…………….(the“LOA”);and
(D)inpursuanceoftheLOA,thepartieshaveagreedtoenterintothisAgreement.NOW,THEREFORE,thepartiesheretoherebyagreeasfollows:
1.GENERAL
1.1DefinitionsandInterpretation
1.1.1ThewordsandexpressionsbeginningwithcapitallettersanddefinedinthisAgreementshall,unlessthecontextotherwiserequires,havethemeaninghereinafterrespectivelyassignedto
them:
(a)“AdditionalCosts”shallhavethemeaningsetforthinClause 6.1.2;(b)“Agreement”meansthisAgreement,togetherwithalltheAnnexes; (c) “AgreementValue”shallhavethemeaningsetforthinClause 6.1.2;
(d)“ApplicableLaws”meansthelawsandanyotherinstrumentshavingtheforceoflawinIndiaastheymaybeissuedandinforcefromtimetotime;
(e)“ConfidentialInformation”shallhavethemeaningsetforthinClause 3.3;
(f)“ConflictofInterest”shallhavethemeaningsetforthinClause 3.2readwiththeprovisionsofRFP;
(g)“Dispute”shallhavethemeaningsetforthinClause 9.2.1;
(h)“EffectiveDate”meansthedateonwhichthisAgreementcomesintoforceandeffectpursuanttoClause 2.1;
(i)“ExpatriatePersonnel”meanssuchpersonswhoatthetimeofbeingsohiredhadtheirdomicileoutsideIndia;
(j)“Government”meansthe[Governmentof Punjab];
(k)“INR,Re.orRs.”meansIndianRupees;
(l)“Member”,incasetheConsultantconsistsofaconsortiumofmorethanoneentity,meansanyoftheseentities,and“Members”meansalloftheseentities;
(m)“Party”meanstheAuthorityortheConsultant,asthecasemaybe,andPartiesmeansbothofthem;
(n)“Personnel”meanspersonshiredbytheConsultant asemployeesorretainersandassignedtotheperformanceoftheServicesoranypartthereof;
(o)“ResidentPersonnel”meanssuchpersonswhoatthetimeofbeingsohiredhadtheirdomicileinsideIndia;
(p)“RFP”meanstheRequestforProposaldocumentinresponsetowhichthe
Consultant’sproposalforprovidingServiceswasaccepted;
(q)“Services”meanstheworktobeperformedbytheConsultantpursuanttothis
Agreement,asdescribedintheTermsofReferencehereto;
Alltermsandwordsnotdefinedhereinshall,unlessthecontextotherwiserequires,havethemeaningassignedtothemintheRFP.
1.1.2Thefollowingdocumentsalongwithalladdendaissuedtheretoshallbedeemedtoform andbereadandconstruedasintegralpartofthisAgreementandincaseofanycontra-dictionbetweenoramongthemthepriorityinwhichadocumentwouldprevailoveranotherwouldbeaslaiddownbelowbeginningfromthehighestprioritytothelowestpriority:
(a)Agreement;
(b)AnnexesofAgreement;
(c)RFP;and
(d)LetterofAward
1.2Relation betweentheParties
NothingcontainedhereinshallbeconstruedasestablishingarelationofmasterandservantorofagentandprincipalasbetweentheAuthorityandtheConsultant.TheConsultantshall,subjecttothisAgreement,havecompletechargeofPersonnelperformingtheServicesandshallbefullyresponsiblefortheServicesperformedbythemorontheirbehalfhereunder.
1.3Rightsandobligations
ThemutualrightsandobligationsoftheAuthorityandtheConsultantshallbeassetforthintheAgreement,inparticular:
(a)theConsultantshallcarryouttheServicesinaccordancewiththerequirement of the State Government and as per provisionsoftheAgreement;and
(b)theAuthorityshallmakepaymentstotheConsultantinaccordancewiththeprovisionsoftheAgreement.
1.4Governinglawandjurisdiction
ThisAgreementshallbeconstruedandinterpretedinaccordancewithandgovernedbythelawsofIndia,andthecourtsatChandigarhshallhaveexclusivejurisdictionovermattersarisingoutoforrelatingtothisAgreement.
1.5Language
AllnoticesrequiredtobegivenbyonePartytotheotherPartyandallothercommunications, documentationandproceedingswhichareinanywayrelevanttothisAgreementshallbeinwritingandinEnglishlanguage.
1.6Table of contents and headings
Thetableofcontents,headingsorsub-headingsinthisAgreementareforconvenienceofreferenceonlyandshallnotbeusedin,andshallnotaffect,theconstructionorinterpretationofthisAgreement.
1.7Notices
AnynoticeorothercommunicationtobegivenbyanyPartytotheotherPartyunderorinconnectionwiththematterscontemplatedbythisAgreementshallbeinwritingandshall:
(a)inthecaseoftheConsultant,begivenbyfacsimileore-mailandbyletterdelivered by hand to the address given and marked for attention of theConsultant’sRepresentativesetoutbelowinClause 1.10ortosuchotherpersonastheConsultantmayfromtimetotimedesignatebynoticetothe Authority;providedthatnoticesgiventoanaddressat Chandigarh may,iftheyaresubsequentlyconfirmedbysendingacopythereofbyregisteredacknowledgementdue,airmailorbycourier,besentbyfacsimileore-mailtothenumber/addressastheConsultantmayfromtimetotimespecifybynoticetothe Authority;
(b)inthecaseoftheAuthority,begivenbyfacsimileore-mailandbyletterdeliveredbyhandandbeaddressedtotheAuthoritywithacopydeliveredtotheAuthorityRepresentativesetoutbelowinClause 1.10ortosuchotherpersonastheAuthoritymayfromtimetotimedesignatebynoticetotheConsultant;itmaysendsuchnoticebyfacsimileore-mailandbyregisteredacknowledgementdue,airmailorbycourier; and
(c)anynoticeorcommunicationbyaPartytotheotherParty,giveninaccordanceherewith,shallbedeemedtohavebeendeliveredwheninthenormalcourseofpostitoughttohavebeendeliveredandinallothercases,itshallbedeemedtohavebeendeliveredontheactualdateandtimeofdelivery;providedthatinthecaseoffacsimileoremail,itshallbedeemedtohavebeendeliveredontheworkingdaysfollowingthedateofitsdelivery.
1.8Location
1.8.1TheServicesshallbeperformedattheofficesoftheAuthorityat Chandigarh inaccordancewiththeprovisionsofRFPandatsuchlocationsasareincidentalthereto,includingtheofficesoftheConsultant.
1.8.2TheAuthoritymayrequiretheConsultant’s representativetospendtherequiredmanhoursattheofficesoftheAuthorityandtheConsultantagreesandundertakestoprovidesuchservicesonabesteffortbasisandwithoutanyunreasonabledelay.
1.9AuthorityofMember-in-charge
IncasetheConsultantconsistsofaconsortiumofmorethanoneentity,thePartiesagreethattheLeadMembershallactonbehalfoftheMembersinexercisingalltheConsultant’s rightsandobligationstowardstheAuthorityunderthisAgreement,includingwithoutlimitationthereceivingofinstructionsandpaymentsfromtheAuthority.
1.10Authorised Representatives
1.10.1Anyactionrequiredorpermittedtobetaken,andanydocumentrequiredorpermittedtobeexecuted,underthisAgreementbytheAuthorityortheConsultant,asthecasemaybe,maybetakenorexecutedbytheofficialsspecifiedinthisClause 1.10.
1.10.2TheAuthoritymay,fromtimetotime,designateoneofitsofficialsastheAuthorityRepresentative.Unlessotherwisenotified,theAuthorityRepresentativeshallbe:

1.11Taxes and duties
UnlessotherwisespecifiedintheAgreement,theConsultantshallpayallsuchtaxes,duties,feesandotherimpositionsasmaybeleviedundertheApplicableLawsandtheAuthorityshallperformsuchdutiesinregardtothedeductionofsuchtaxesasmaybelawfullyim-posedonit.
2.COMMENCEMENT,COMPLETIONANDTERMINATIONOFAGREEMENT
2.1Effectiveness ofAgreement
ThisAgreementshallcomeintoforceandeffectonthedateofthisAgreement(the“EffectiveDate”). The consultant shall provide support and assistance for 5 years and 6 months as per schedule i of RFP.
2.2Commencement ofServices
TheConsultantshallcommencetheServiceswithinaperiodof7(seven)daysfromtheEffectiveDate,unlessotherwiseagreedbytheParties.
2.3Termination ofAgreement for failure to commence Services
IftheConsultantdoesnotcommencetheServiceswithintheperiodspecifiedinClause 2.2above,theAuthoritymay,bynotlessthan1(one)weeks’noticetotheConsultant,declarethisAgreementtobenullandvoid,andintheeventofsuchadeclaration,thisAgreementshallstandterminatedandtheConsultantshallbedeemedtohaveacceptedsuchtermination.
2.4ExpirationofAgreement
UnlessterminatedearlierpursuanttoClause 2.1, 2.3 hereof,thisAgreementshall,unlessextendedbythePartiesbymutualconsent,expireupontheearlierof(i)expiryofaperiodof60(sixty)daysafterthedeliveryofthefinalDeliverabletotheAuthority;and(ii)theexpiryof[5(five) and six months]fromtheEffectiveDate.UponTermination,theAuthorityshallmakepaymentsofallamountsduetotheConsultanthereunder.
2.5Entire Agreement
2.5.1ThisAgreementandtheAnnexestogetherconstituteacompleteandexclusivestatement ofthetermsoftheagreementbetweenthePartiesonthesubjecthereof,andnoamendmentormodificationheretoshallbevalidandeffectiveunlesssuchmodificationoramendmentisagreedtoinwritingbythePartiesanddulyexecutedbypersonsespeciallyempoweredinthisbehalfbytherespectiveParties.Allpriorwrittenororalunderstandings, offersorothercommunicationsofeverykindpertainingtothisAgreementareabrogatedandwithdrawn;provided,however,thattheobligationsoftheConsultantarisingoutoftheprovisionsoftheRFPshallcontinuetosubsistandshallbedeemedtoformpartofthisAgreement.
2.5.2WithoutprejudicetothegeneralityoftheprovisionsofClause 2.5.1,onmattersnotcoveredbythisAgreement,theprovisionsofRFPshallapply.
2.6Modification ofAgreement
ModificationofthetermsandconditionsofthisAgreement,includinganymodificationofthescopeoftheServices,mayonlybemadebywrittenagreementbetweentheParties.PursuanttoClause s4.2.3and6.1.3hereof,however,eachPartyshallgivedueconsiderationto
anyproposalsformodificationmadebytheotherParty.
2.7Suspension ofAgreement
TheAuthoritymay,bywrittennoticeofsuspensiontotheConsultant,suspendallpaymentstotheConsultanthereunderiftheConsultantshallbeinbreachofthisAgreementorshallfailtoperformanyofitsobligationsunderthisAgreement,includingthecarryingoutoftheServices;providedthatsuchnoticeofsuspension(i)shallspecifythenatureofthebreachorfailure,and(ii)shallprovideanopportunitytotheConsultanttoremedysuchbreachorfailurewithinaperiodnotexceeding15(fifteen)daysafterreceiptbytheConsultantofsuch
noticeofsuspension.
2.8Termination ofAgreement
2.8.1BytheAuthority
TheAuthoritymay,bynotlessthan15(fifteen)days’writtennoticeofterminationtotheConsultant,suchnoticetobegivenaftertheoccurrenceofanyoftheeventsspecifiedinthis agreement terminatethisAgreementif:
(a)theConsultantfailstoremedyanybreachhereoforanyfailureintheperformanceofits obligationshereunder,asspecifiedinanoticeofsuspensionpursuanttoClause 2.8 hereinabove,within15(fifteen)daysofreceiptofsuchnoticeofsuspensionorwithinsuchfurtherperiodastheAuthoritymayhavesubsequentlygrantedinwriting;
(b)theConsultantbecomesinsolventorbankruptorentersintoanyagreementwithitscreditorsforreliefofdebtortakeadvantageofanylawforthebenefitofdebtorsorgoesintoliquidationorreceivershipwhethercompulsoryorvoluntary;
(c)theConsultantfailstocomplywithanyfinaldecisionreachedasaresultofarbitrationproceedingspursuanttoClause 9hereof;
(d)theConsultantsubmitstotheAuthorityastatementwhichhasamaterialeffectontherights,obligationsorinterestsoftheAuthorityandwhichtheConsultantknowstobefalse;
(e)anydocument,information,dataorstatementsubmittedbytheConsultantinitsProposals, based on which the Consultant was considered eligible or successful,isfoundtobefalse,incorrectormisleading;
(f)during the period of agreement if the services of the consultant are no more required;
(g)theAuthority,initssolediscretionandforanyreasonwhatsoever,decidestoterminatethisAgreement.
2.8.2BytheConsultant
TheConsultantmay,bynotlessthan30(thirty)days’writtennoticetotheAuthority,suchnoticetobegivenaftertheoccurrenceofanyoftheeventsspecifiedinthisagreement terminatethisAgreementif:
(a)theAuthorityfailstopayanymoneyduetotheConsultantpursuanttothisAgreementandnotsubjecttodisputepursuanttoClause 9hereofwithin45(fortyfive)daysafterreceivingwrittennoticefromtheConsultantthatsuchpaymentisoverdue;
(b)theAuthority is in material breach of its obligations pursuant to this Agreementandhasnotremediedthesamewithin45(forty-five)days(orsuch longerperiodastheConsultantmayhavesubsequentlygrantedinwriting)followingthereceiptbytheAuthorityoftheConsultant’snoticespecifyingsuchbreach;
(c)theAuthorityfailstocomplywithanyfinaldecisionreachedasaresultofarbitrationpursuanttoClause 9hereof.
2.8.3Cessationofrightsandobligations
UponterminationofthisAgreementpursuanttoClause s2.3hereof,oruponexpirationofthisAgreementpursuanttoClause 2.4hereof,allrightsandobligationsofthe Partieshereundershallcease,except(i)suchrightsandobligationsasmayhaveaccrued onthedateofterminationorexpiration,orwhichexpresslysurvivessuchTermination;(ii)theobligationofconfidentialitysetforthinClause 3.3hereof;(iii)theConsultant’sobligationtopermitinspection,copyingandauditingofsuchofitsaccountsandrecordssetforthinClause 3.5,asrelatetotheConsultant’sServicesprovidedunderthisAgreement,and (iv)anyrightorremedywhichaPartymayhaveunderthisAgreementortheApplicable Laws.
2.8.4CessationofServices
UponterminationofthisAgreementbynoticeofeitherPartytotheotherpursuanttoClauseshereof,theConsultantshall,immediatelyupondispatchorreceiptofsuchnotice,takeallnecessarystepstobringtheServicestoacloseinapromptandorderlymannerandshallmakeeveryreasonableefforttokeepexpendituresforthispurposetoa minimum.WithrespecttodocumentspreparedbytheConsultantandmaterialsfurnishedbytheAuthority,theConsultantshallproceedasprovidedrespectivelybyClause s3.8or3.9hereof.
2.8.5PaymentuponTermination
UponterminationofthisAgreementpursuanttoClauseshereof,theAuthorityshallmakethefollowingpaymentstotheConsultant(afteroffsettingagainstthesepaymentsanyamountthatmaybeduefromtheConsultanttotheAuthority):
(i)remunerationpursuanttoClause 6hereofforServicessatisfactorilyperformedpriortothedateoftermination;
(ii)reimbursableexpenditurespursuanttoClause 6hereofforexpendituresactuallyincurredpriortothedateoftermination;and
(iii)exceptinthecaseofterminationpursuanttoClauses hereof,reimbursementofanyreasonablecostincidentaltothepromptandorderlyterminationoftheAgreementincludingthecostofthereturntraveloftheConsultant’spersonnel.
2.8.6DisputesaboutEventsofTermination
IfeitherPartydisputeswhetheraneventspecifiedinClause hereofhasoccurred,suchPartymay,within30(thirty)daysafterreceiptofnoticeofterminationfromtheotherParty,referthemattertoarbitrationpursuanttoClause 9hereof,andthisAgreementshallnotbeterminatedonaccountofsucheventexceptinaccordancewiththetermsofanyresultingarbitralaward.
3.OBLIGATIONS OFTHE CONSULTANT
3.1General
3.1.1StandardsofPerformance
TheConsultantshallperformtheServicesandcarryoutitsobligationshereunderwithallduediligence,efficiencyandeconomy,inaccordancewithgenerallyacceptedprofessionaltechniquesandpractices,andshallobservesoundmanagementpractices,andemployappropriateadvancedtechnologyandsafeandeffectiveequipment,machinery,materialsandmethods.TheConsultantshallalwaysact,inrespectofanymatterrelatingtothisAgreementortotheServices,asafaithfuladvisertotheAuthority,andshallatalltimessupportandsafeguardthe Authority’slegitimateinterestsinanydealingswithSub-consultantsorThirdParties.
3.1.2TermsofReference
ThescopeofServicestobeperformedbytheConsultantisspecifiedintheTermsofReference(the“TOR”)atAnnex-1ofthisAgreement.TheConsultantshallprovidetheDeliverablesspecifiedthereininconformitywiththetimeschedulestatedtherein.
3.1.3ApplicableLaws
TheConsultantshallperformtheServicesinaccordancewiththeApplicableLawsandshalltakeallpracticablestepstoensurethatanySub-Consultant,aswellasthePersonnelandagentsoftheConsultantandanySub-Consultant,complywiththeApplicableLaws.
3.2Conflict of Interest
3.2.1TheConsultantshallnothaveaConflictofInterestandanybreachhereofshallconstitutea breachoftheAgreement.
3.2.2ConsultantandAffiliatesnottobeotherwiseinterestedintheProject
TheConsultantagreesthat,duringthetermofthisAgreementandafteritstermination,theConsultantoranyAssociatethereof,aswellasanySub-ConsultantandanyentityaffiliatedwithsuchSub-Consultant,shallbedisqualifiedfromprovidinggoods,works,services,loansorequityforanyprojectresultingfromorcloselyrelatedtotheServicesandanybreachofthisobligationshallamounttoaConflictofInterest;providedthattherestrictionhereinshallnotapplyafteraperiodofthreeyearsfromthecompletionofthisassignmentortoconsultingassignmentsgrantedbybanks/lendersatanytime;providedfurtherthatthisrestrictionshallnotapplytoconsultancy/advisoryservicesprovidedtotheAuthorityincontinuationof thisConsultancyortoanysubsequentconsultancy/advisoryservicesprovidedtotheAuthorityinaccordancewiththerulesoftheAuthority.Fortheavoidanceofdoubt,anentityaffiliatedwiththeConsultantshallincludeapartnerinthefirmoftheConsultantorapersonwhoholdsmorethan5%(fivepercent)ofthesubscribedandpaidupsharecapitaloftheConsultant,asthecasemaybe,andanyAssociatethereof.
3.2.3 Prohibitionofconflictingactivities
NeithertheConsultantnoritsSub-consultantnorthePersonnelofeitherofthemshallen-gage,eitherdirectlyorindirectly,inanyofthefollowingactivities:
(a)duringthetermofthisAgreement,anybusinessorprofessionalactivitieswhichwouldconflictwiththeactivitiesassignedtothemunderthisAgreement;
(b)aftertheterminationofthisAgreement,suchotheractivitiesasmaybespecifiedintheAgreement;or
(c)atanytime,suchotheractivitiesashavebeenspecifiedintheRFPasConflictofInterest.
3.2.4Consultantnottobenefitfromcommissions,discounts,etc.
TheremunerationoftheConsultantpursuanttoClause 6hereofshallconstitutetheConsultant’s soleremunerationinconnectionwiththisAgreementortheServicesandtheConsultantshallnotacceptforitsownbenefitanytradecommission,discountorsimilarpaymentinconnectionwithactivitiespursuanttothisAgreementortotheServicesorinthedischargeofitsobligationshereunder,andtheConsultantshalluseitsbesteffortstoensurethatanySub-Consultant,aswellasthePersonnelandagentsofeitherofthem,similarlyshallnotreceiveanysuchadditionalremuneration.
3.2.5TheConsultantanditsPersonnelshallobservethehigheststandardsofethicsandnothaveengagedinandshallnothereafterengageinanycorruptpractice,fraudulentpractice,coercivepractice,undesirablepracticeorrestrictivepractice(collectivelythe“ProhibitedPractices”).NotwithstandinganythingtothecontrarycontainedinthisAgreement,theAuthorityshallbeentitledtoterminatethisAgreementforthwithbyacommunicationinwritingtotheConsultant,withoutbeingliableinanymannerwhatsoevertothe Consultant,ifitdeterminesthattheConsultanthas,directlyorindirectlyorthroughanagent,engagedinanyProhibitedPracticesintheSelectionProcessorbeforeorafterenteringintoofthisAgreement.Insuchanevent,theAuthorityshallforfeitandappropriatethePerformanceSecurity,ifany,asmutuallyagreedgenuinepre-estimatedcompensationanddamagespayabletotheAuthoritytowards,interalia,time,costandeffortoftheAuthority,withoutprejudicetotheAuthority’sanyotherrightsorremedyhereunderorinlaw.
3.2.6WithoutprejudicetotherightsoftheAuthorityunderClause 3.2.5aboveandtheotherrightsandremedieswhichtheAuthoritymayhaveunderthisAgreement,iftheConsultantisfoundbytheAuthoritytohavedirectlyorindirectlyorthroughanagent,engagedorindulgedinanyProhibitedPractices,duringtheSelectionProcessorbeforeoraftertheexecutionofthisAgreement,theConsultantshallnotbeeligibletoparticipateinanytenderorRFPissuedduringaperiodof2(two)yearsfromthedatetheConsultantisfoundbytheAuthoritytohavedirectlyorindirectlyorthroughanagent,engagedorindulgedinanyProhibitedPrac
tices.
3.2.7ForthepurposesofClause s3.2.5and3.2.6,thefollowingtermsshallhavethemeaninghereinafterrespectivelyassignedtothem:
(a)“corruptpractice”meanstheoffering,giving,receivingorsoliciting,directlyorindirectly, ofanythingofvaluetoinfluencetheactionsofanypersonconnectedwiththeSelectionProcess(forremovalofdoubt,offeringofemploymentoremployingorengaginginanymannerwhatsoever,directlyorindirectly,anyofficialoftheAuthoritywhoisorhasbeenassociatedinanymanner,directlyorindirectlywithSelectionProcessorLOAordealingwithmattersconcerningtheAgreementbeforeoraftertheexecutionthereof,atanytimepriortotheexpiryofoneyearfromthedatesuchofficialresignsorretiresfromorotherwiseceasestobeintheserviceoftheAuthority,shallbedeemedtoconstituteinfluencingtheactionsofapersonconnectedwiththeSelectionProcess);or(ii)engaginginanymannerwhatsoever,whetherduringtheSelectionProcessoraftertheissueofLOAorafterthe executionoftheAgreement,asthecasemaybe,anypersoninrespectofanymatterrelatingtotheProjectortheLOAortheAgreement,whoatanytimehasbeenorisalegal,financialortechnicaladvisertheAuthorityinrelationtoanymatterconcerningtheProject;
(b)“fraudulentpractice”meansamisrepresentationoromissionoffactsorsuppressionoffactsordisclosureofincompletefacts,inordertoinfluencetheSelectionProcess;
(c)“coercivepractice”meansimpairingorharming,orthreateningtoimpairorharm,directlyorindirectly,anypersonorpropertytoinfluenceanyperson’sparticipationoractionintheSelectionProcessortheexerciseofitsrightsorperformanceofitsobligationsbytheAuthorityunderthisAgreement;
(d)“undesirablepractice”means(i)establishingcontactwithanypersonconnectedwithoremployedorengagedbytheAuthoritywiththeobjectiveofcanvassing,lobbyingorinanymannerinfluencingorattemptingtoinfluencetheSelectionProcess;or(ii)havingaConflictofInterest;and
(e)“restrictivepractice”meansformingacartelorarrivingatanyunderstandingorarrangementamongApplicantswiththeobjectiveofrestrictingormanipulatingafullandfaircom-petitionintheSelectionProcess.
3.3Confidentiality
TheConsultant,itsSub-ConsultantsandthePersonnelofeitherofthemshallnot,either duringthetermorwithintwoyearsaftertheexpirationorterminationofthisAgreementdiscloseanyproprietaryinformation,includinginformationrelatingtoreports,data,drawings,designsoftwareorothermaterial,whetherwrittenororal,inelectronicormagneticformat,andthecontentsthereof;andanyreports,digestsorsummariescreatedor derivedfromanyoftheforegoingthatisprovidedbytheAuthoritytotheConsultant,its Sub-ConsultantsandthePersonnel;anyinformationprovidedbyorrelatingtotheAuthority,itstechnology,technicalprocesses,businessaffairsorfinancesoranyinformationrelatingtotheAuthority’semployees,officersorotherprofessionalsorsuppliers,customers,orcontractorsoftheAuthority;andanyotherinformationwhichtheConsultantisunderanobligationtokeepconfidentialinrelationtotheProject,theServicesorthisAgreement(“ConfidentialInformation”),withoutthepriorwrittenconsentof theAuthority.
Notwithstandingtheaforesaid,theConsultant,itsSub-ConsultantsandthePersonnelofeitherofthemmaydiscloseConfidentialInformationtotheextentthatsuchConfidentialInformation:
(i)wasinthepublicdomainpriortoitsdeliverytotheConsultant,itsSub-ConsultantsandthePersonnelofeitherofthemorbecomesapartofthepublicknowledgefromasourceotherthantheConsultant,itsSub-ConsultantsandthePersonnelofeitherofthem;
(ii)wasobtainedfromathirdpartywithnoknowndutytomaintainitsconfidentiality;(iii) isrequiredtobedisclosedbyApplicableLawsorjudicialoradministrative
orarbitralprocessorbyanygovernmentalinstrumentalities,providedthatforanysuchdisclosure,theConsultant,itsSub-ConsultantsandthePersonnelofeither of them shall give theAuthority, prompt written notice, and usereasonableeffortsto ensure thatsuchdisclosureisaccordedconfidentialtreatment;and
(iv)isprovidedtotheprofessionaladvisers,agents,auditorsorrepresentativesoftheConsultantoritsSub-ConsultantsorPersonnelofeitherofthem,asisreasonableunderthe circumstances;provided,however,thattheConsultantoritsSub-ConsultantsorPersonnelofeitherofthem,asthecasemaybe,shallrequiretheirprofessionaladvisers,agents,auditorsoritsrepresentatives,toundertakeinwritingtokeepsuchConfidentialInformation,confidentialandshalluseitsbest
effortstoensurecompliancewithsuchundertaking.
3.4LiabilityoftheConsultant
3.4.1TheConsultant’sliabilityunderthisAgreementshallbedeterminedbytheAuthority and ApplicableLawsandtheprovisionshereof.
3.4.2TheConsultantshall,subjecttothelimitationspecifiedinClause 3.4.3,beliabletotheAuthorityforanydirectlossordamageaccruedorlikelytoaccrueduetodeficiencyinServicesrenderedor to be rendered byit or the Lead Auditor;
3.4.3ThePartiesheretoagreethatincaseofnegligenceorwillfulmisconductonthepartoftheConsultantoronthepartofanypersonorfirmactingonbehalfoftheConsultantincarryingouttheServices,theConsultant,withrespecttodamagecausedtotheAuthority’sproperty, shallnotbeliabletotheAuthority:
(i)foranyindirectorconsequentiallossordamage;and
(ii)foranydirectlossordamagethatexceeds(a)theAgreementValuesetforthinClause 6.1.2ofthisAgreement,or(b)theproceedstheConsultantmaybeentitledtoreceivefromanyinsurancemaintainedbytheConsultanttocoversuch aliability,whicheverof(a)or(b)ishigher.
3.4.4ThislimitationofliabilityspecifiedinClause 3.4.3shallnotaffecttheConsultant’sliability,ifany,fordamagetoThirdPartiescausedbytheConsultantoranypersonorfirmactingonbehalfoftheConsultantincarryingouttheServicessubject,however,toalimitequalto3 (three)timestheAgreementValue.
3.5Accounting,inspectionandauditing
TheConsultantshall:
(a)keepaccurateandsystematicaccountsandrecordsinrespectoftheServicesprovided underthisAgreement,inaccordancewithinternationallyacceptedaccountingprinciplesandstandardssuchasIndianAccounting Standards,GAAP, etcandinsuchformanddetailaswillclearlyidentifyallrelevanttimechargesand cost, and the basis thereof (including the basis of the Consultant’s costs andcharges);and
(b)permittheAuthorityoritsdesignatedrepresentativeperiodically,anduptooneyearfromtheexpirationorterminationofthisAgreement,toinspectthesameandmakecopiesthereofaswellastohavethemauditedbyauditorsappointedbytheAuthority.
3.6Consultant’sactionsrequiringtheAuthority’spriorapproval
TheConsultantshallobtaintheAuthority’spriorapprovalinwritingbeforetakinganyofthefollowingactions:
(a)Appointingsuchmembersoftheprofessionalpersonnelasarenotlistedin
(b)anyotheractionthatisspecifiedinthisAgreement.
3.7Reporting obligations
3.7.1The Consultant shall submit to theAuthority the reports and documents specified in theAgreement,intheform,inthenumbersandwithinthetimeperiodssetforththerein.
3.7.2TheConsultantshallelectronicallyandbymail,submitfortnightlytimereportsofeachoftheKeyPersonnel,totheAuthority,intheformatsetoutby the Authority.Suchtimereportsshallbesubmittedonthe15thandthelastdayofeachcalendarmonthbyendofthebusinessdayandshallincludethenumberofhoursexpendedontheProjectbytheKeyPersonneloneachworkingdayofthefortnightcoveredbythetimereport.ThetimereportsshallalsoincludeabriefdescriptionofworkperformedduringthatfortnightbyeachoftheKeyPersonnel.
3.8DocumentspreparedbytheConsultanttobepropertyoftheAuthority
3.8.1Allreportsandotherdocuments(collectivelyreferredtoas“ConsultancyDocuments”)preparedbytheConsultant(orbytheSub-ConsultantsoranyThirdParty)inperformingtheServicesshallbecomeandremainthepropertyoftheAuthority,andallintellectualpropertyrightsinsuchConsultancyDocumentsshallvestwiththeAuthority.AnyConsultancyDocument,ofwhichtheownershiportheintellectualpropertyrightsdonotvestwiththeAuthorityunderlaw,shallautomaticallystandassignedtotheAuthorityasandwhensuchConsultancyDocumentiscreatedandtheConsultantagreestoexecuteallpapersandtoperformsuchotheractsastheAuthoritymaydeemnecessarytosecureitsrightshereinassignedbytheConsultant.
3.8.2TheConsultantshall,notlaterthanterminationorexpirationofthisAgreement,deliverallConsultancyDocumentstotheAuthority,togetherwithadetailedinventorythereof.TheConsultantmayretainacopyofsuchConsultancyDocuments.TheConsultant,itsSub-ConsultantsoraThirdPartyshallnotusetheseConsultancyDocumentsforpurposesunrelatedtothisAgreementwithoutthepriorwrittenapprovaloftheAuthority.
3.8.3TheConsultantshallholdtheAuthorityharmlessandindemnifiedforanylosses,claims,damages,expenses(includingalllegalexpenses),awards,penaltiesorinjuries(collectivelyreferredtoas“Claims”)whichmayarisefromorduetoanyunauthoriseduseofsuchConsultancyDocuments,orduetoanybreachorfailureonpartoftheConsultantoritsSub-ConsultantsoraThirdPartytoperformanyofitsdutiesorobligationsinrelationtosecuringtheaforementionedrightsoftheAuthority.
3.9MaterialsfurnishedbytheAuthority
MaterialsmadeavailabletotheConsultantbytheAuthorityshallbethepropertyoftheAuthorityandshallbemarkedaccordingly.UponterminationorexpirationofthisAgree-ment,theConsultantshallfurnishforthwithtotheAuthority,aninventoryofsuchmaterialsandshalldisposeofsuchmaterialsinaccordancewiththeinstructionsoftheAuthority.
3.10Providing access to Project Office and Personnel
TheConsultantshallensurethatthe Authority,andofficialsofthe AuthorityhavingauthorizationfromtheAuthority,areprovidedunrestrictedaccesstotheofficeoftheConsultantandtoallPersonnelduringofficehours.TheAuthority’sofficial,whohasbeenauthorizedbytheAuthorityinthisbehalf,shallhavetherighttoinspecttheServicesinprogress,interactwithPersonneloftheConsultantandverifytherecordsrelatingtotheServicesforhissatisfaction.
3.11AccuracyofDocuments/Reports
TheConsultantshallberesponsibleforaccuracyofthedocuments/Reportsdraftedand/orvettedanddatacollectedbyitdirectlyorprocuredfromotheragencies/authorities,estimatesandallotherdetailspreparedbyitaspartoftheseservices.SubjecttotheprovisionsofClause 3.4,itshallindemnifytheAuthorityagainstanyinaccuracyinitsworkwhichmightsurfaceduringimplementationoftheProject,ifsuchinaccuracyistheresultofanynegligenceorinadequateduediligenceonpartoftheConsultantorarisesoutofitsfailuretoconformtogoodindustrypractice.TheConsultantshallalsoberesponsibleforpromptlycorrecting,atitsowncostandrisk,thedocumentsincludinganyre-survey/investigations.
4.CONSULTANT’SPERSONNELANDSUB-CONSULTANTS
4.1General
TheConsultantshallemployandprovidesuchqualifiedandexperiencedPersonnelasmayberequiredtocarryouttheServices.
4.2Deployment of Personnel
4.2.1Thedesignations,namesandotherparticularsofeachoftheConsultant’sKeyPersonnelrequiredincarryingouttheServicesaredescribedin TOR and Agreement.TheestimateofPersonnelcostsandmandayratesarespecifiedin thisAgreement.
4.2.2AdjustmentswithrespecttotheestimatedperiodsofengagementofPersonnelsetforthintheaforementionedAnnex-3maybemadebytheConsultantbywrittennoticetotheAuthority,providedthat(i)suchadjustmentsshallnotaltertheoriginallyestimatedperiodofengagementofanyindividualbymorethan30%(thirtypercent),and(ii)theaggregateofsuchadjustmentsshallnotcausepaymentsundertheAgreementtoexceedtheAgreementValuesetforthinClause 6.1.2ofthisAgreementbymorethan25%(twentyfivepercent)thereof.AnyotheradjustmentsshallonlybemadewiththewrittenapprovaloftheAuthority.
4.2.3IfadditionalworkisrequiredbeyondthescopeoftheServicesspecifiedintheTermsofReference,theestimatedperiodsofengagementofPersonnel,setforthintheAnnexesoftheAgreementmaybeincreasedbyagreementinwritingbetweentheAuthorityandtheConsultant,providedthatanysuchincreaseshallnot,exceptasotherwiseagreed,causepaymentsunderthisAgreementtoexceedtheAgreementValuesetforthinClause 6.1.2.
4.3ApprovalofPersonnel
4.3.1TheKeyPersonneloftheAgreementareherebyapprovedbytheAuthority.NootherKeyPersonnelshallbeengagedwithoutpriorapprovaloftheAuthority.
4.3.2IftheConsultanthereafterproposestoengageanypersonasProfessionalPersonnel,itshallsubmittotheAuthorityitsproposalalongwithaCVofsuchpersonintheformprovidedatAppendix–I(Form-11)oftheRFP.TheAuthoritymayapproveorrejectsuchproposalwithin14(fourteen)daysofreceiptthereof.Incasetheproposalisrejected,theConsultantmayproposeanalternativepersonfortheAuthority’sconsideration.IntheeventtheAuthoritydoesnotrejectaproposalwithin14(fourteen)daysofthedateofreceiptthereofunderthisClause 4.3,itshallbedeemedtohavebeenapprovedbytheAuthority.
4.4Substitution of Key Personnel
TheAuthorityexpectsalltheKeyPersonnelspecifiedintheProposaltobeavailableduring implementationoftheAgreement.TheAuthoritywillnotconsideranysubstitutionofKeyPersonnelexceptundercompellingcircumstancesbeyondthecontroloftheConsultantandtheconcernedKeyPersonnel.SuchsubstitutionshallbelimitedtonotmorethantwoKeyPersonnelsubjecttoequallyorbetterqualifiedandexperiencedpersonnelbeingprovidedtothesatisfactionoftheAuthority.Withoutprejudicetotheforegoing,substitutionoftheFinancialExpertshallbepermittedonlyuponreductionofremunerationequalto20%(twentypercent)ofthetotalremunerationspecifiedfortheKeyPersonnelwhoisproposedtobesubstituted.
TheConsultantshouldspecificallynotethatsubstitutionoftheFinancialExpertwillnotnormallybeconsideredduringtheimplementationoftheAgreementandmayleadtodisqualificationoftheApplicantorterminationoftheAgreement.TheFinancialExpertmustcommitthetimerequiredforandbeavailablefordeliveringtheConsultancyinaccordancewiththetermsspecifiedherein.
4.5Team Leader/ProjectManager
Thepersondesignatedasthe Team Leader ..oftheConsultant’sPersonnelshallberesponsibleforthecoordinated,timelyandefficientfunctioningofthePersonnel.Inaddition,theConsultantshalldesignateasuitablepersonasProjectManager(the“Team Leader”)whoshallberesponsiblefordaytodayperformanceoftheServices.
5.OBLIGATIONSOFTHEAUTHORITY
5.1Assistance inclearancesetc.
UnlessotherwisespecifiedintheAgreement,theAuthorityshallmakebesteffortstoensurethattheGovernmentshall:
(a)providetheConsultant,andPersonnelwithworkpermitsandsuchotherdocumentsasmay benecessarytoenabletheConsultant,orPersonneltoperformtheServices;
5.2Accesstolandandproperty
TheAuthoritywarrantsthattheConsultantshallhave,freeofcharge,unimpededaccesstothesiteoftheprojectinrespectofwhichaccessisrequiredfortheperformanceofServices;providedthatifsuch accessshallnotbemadeavailabletotheConsultantasandwhensorequired,thePartiesshallagreeon(i)thetimeextension,asmaybeappropriate,fortheperformanceofServices,and(ii)theadditionalpayments,ifany,tobemadetotheConsult-antasaresultthereofpursuanttoClause 6.1.3.
5.3ChangeinApplicableLaw
If,afterthedateofthisAgreement,thereisanychangeintheApplicableLawswithrespecttotaxesanddutieswhichincreasesordecreasesthecostorreimbursableexpensesincurredbytheConsultantinperformingtheServices,byanamountexceeding2%(twopercent)oftheAgreementValue specified in Clause 6.1.2, then the remuneration and reimbursableexpensesotherwisepayabletotheConsultantunderthisAgreementshallbeincreasedordecreasedaccordinglybyagreementbetweenthePartieshereto,andcorrespondingadjustmentsshallbemadetotheaforesaidAgreementValue.
Allservicetaxandothertaxesotherthanincometax,asmaybeapplicablefromtimetotime,onthepaymentoftheprofessionalfeestotheConsultant,shallbebornebytheAuthority.
5.4Payment
In consideration of the Services performed by the Consultant under thisAgreement, theAuthorityshallmaketotheConsultantsuchpaymentsandinsuchmannerasisprovidedinClause 6ofthisAgreement.
6.PAYMENT TOTHECONSULTANT
6.1Cost estimatesandAgreement Value
6.1.1AnabstractofthecostoftheServicespayabletotheConsultantissetforthinAnnexure-1oftheAgreement.
6.1.2ExceptasmaybeotherwiseagreedunderClause 2.6andsubjecttoClause s4.2.2and6.1.3,thepaymentsunderthisAgreementshallnotexceedtheagreementvaluespecifiedherein(the“AgreementValue”).ThePartiesagreethattheAgreementValueisRs.……….(Rs.…………………….),whichdoesnotincludetheAdditionalCostsspecifiedinAnnex- 1(the“AdditionalCosts”).
6.1.3NotwithstandinganythingtothecontrarycontainedinClause 6.1.2,ifpursuanttotheprovisionsofClause 2.6,thePartiesagreethatadditionalpaymentsshallbemadetotheConsultantinordertocoveranyadditionalexpendituresnotenvisagedinthecostestimates referred to in Clause 6.1.1 above, theAgreementValue setforth in Clause 6.1.2aboveshallbeincreasedbytheamountoramounts,asthecasemaybe,ofanysuch
additionalpayments.
6.2Currencyofpayment
AllpaymentsshallbemadeinIndianRupees.TheConsultantshallbefreetoconvertRu-peesintoanyforeigncurrencyasperApplicableLaws.
6.3Modeofbillingandpayment
BillingandpaymentsinrespectoftheServicesshallbemadeasfollows:-
(a)TheConsultantshallbepaidforitsservicesasperthePaymentScheduleatAnnexure-1ofthisAgreement,andClause s4,5.2,5.3,5.4,5.5,5.6,5.7and10oftheTOR,andtheratesspecifiedinAnnex-1ofthisAgreement,subjecttotheConsultantfulfillingthefollowingconditions:
(i)NopaymentshallbedueforthenextstagetilltheConsultantcompletestothesatisfactionoftheAuthoritytheworkpertainingtotheprecedingstage.Provided,however,thatfortheDeliverablesspecifiedat[KD7andKD8]inClause 5.2oftheTOR,paymentshallbedueandpayablebytheAuthorityforthemanhoursspentduringeachcalendarmonth;and
(ii)TheAuthorityshallpaytotheConsultant,onlytheundisputedamount.
(b)TheAuthorityshallcausethepaymentduetotheConsultanttobemadewithin30(thirty)daysafterthereceiptbytheAuthorityofdulycompletedbillswithnecessaryparticulars(the“DueDate”).Interestattherateof10%(tenpercent)perannumshallbecomepayablebytheAuthorityasfromtheDueDateonanyamountdueby,butnotpaidonorbefore,suchDueDate.
(c)ThefinalpaymentunderthisClause 6.3shallbemadeonlyafterthefinal Deliverable shallhavebeensubmittedbytheConsultantandapprovedassatisfactorybytheAuthority.TheServicesshallbedeemedcompletedandfinallyacceptedbythe AuthorityandthefinalDeliverableshallbedeemedapprovedbytheAuthorityassatisfactoryuponexpiryof60(sixty)daysafterreceiptofthefinalDeliverableunlesstheAuthority,withinsuch60(sixty)dayperiod,giveswrittennoticetothe Consultantspecifyingindetail,thedeficienciesintheServices.TheConsultantshallthereuponpromptlymakeanynecessarycorrectionsand/oradditions,andupon completionofsuchcorrections or additions, the foregoing process shall be repeated. TheAuthority shall make the final payment upon acceptance or deemed acceptanceofthefinalDeliverablebytheAuthority.
(d)AnyamountwhichtheAuthorityhaspaidorcausedtobepaidinexcessoftheamountsactuallypayableinaccordancewiththeprovisionsofthisAgreementshallbereimbursedbytheConsultanttotheAuthoritywithin30(thirty) daysafterreceiptbytheConsultantofnoticethereof.AnysuchclaimbytheAuthorityforreimbursementmustbemadewithin1(one)yearafterreceiptbytheAuthorityof a final report in accordance with Clause 6.3(c).Any delay by the Consultantinreimbursementbytheduedateshallattractsimpleinterest@10%(tenpercent)perannum.
(e)AllpaymentsunderthisAgreementshallbemadetotheaccountoftheConsultantasmaybenotifiedtotheAuthoritybytheConsultant.
7.LIQUIDATEDDAMAGESANDPENALTIES
7.1PerformanceSecurity
7.1.1ForthepurposesofthisAgreement,performancesecurityshallbedeemedtobeanamountequalto10%(tenpercent)oftheAgreementValue(the“PerformanceSecurity”);pro-videdthattheConsultantshallnotberequiredtoprovidePerformanceSecurityintheformofabankguaranteeorcashdeposit.
7.1.2NotwithstandinganythingtothecontrarycontainedinClause 7.1.1,asandwhenpaymentsbecomeduetotheConsultantforitsServices,theAuthorityshallretainbywayofPerformanceSecurity,10%(tenpercent)ofalltheamountsdueandpayabletotheConsultant,tobeappropriatedagainstbreachofthisAgreementorforrecoveryofliquidateddamagesasspecifiedinClause 7.2.ThebalanceremainingoutofthePerformanceSecurityshallbereturnedtotheConsultantattheendofthreemonthsaftertheexpiryofthisAgreementpursuanttoClause 2.4hereof.Fortheavoidanceofdoubt,thepartiesheretoexpresslyagreethat in addition to appropriation of the amounts withheld hereunder, in the event of anydefaultrequiringtheappropriationoffurtheramountscomprisingthePerformanceSecurity, theAuthoritymaymakedeductionsfromanysubsequentpaymentsdueandpayabletotheConsultanthereunder,asifitisappropriatingthePerformanceSecurityinaccordancewiththeprovisionsofthisAgreement.
7.1.3TheConsultantmay,inlieuofretentionoftheamountsasreferredtoinClause 7.1.1above,furnishaBankGuaranteesubstantiallyintheformspecifiedatAnnex-7ofthisAgreement.
7.2LiquidatedDamages
7.2.1LiquidatedDamagesforerror/variation
IncaseanyerrororvariationisdetectedinthereportssubmittedbytheConsultantandsucherrororvariationistheresultofnegligenceorlackofduediligenceonthepartoftheConsultant,theconsequentialdamagesthereofshallbequantifiedbytheAuthorityinareasonablemannerandrecoveredfromtheConsultantbywayofdeemedliquidateddamages,subjecttoamaximumoftheAgreementValue. Further latter at any stage it is found that the consultant has been blacklisted by any department /Govt will result in termination of the agreement and recovery of damages.
7.2.2LiquidatedDamagesfordelay
IncaseofdelayincompletionofServices,liquidateddamagesnotexceedinganamountequalto0.2%(zeropointtwopercent)oftheAgreementValueperday,subjecttoamaximumof10%(tenpercent)oftheAgreementValueshallbeimposedandshallberecoveredbyappropriationfromthePerformanceSecurityorotherwise.However,incaseofdelayduetoreasonsbeyondthecontroloftheConsultant,suitableextensionoftimeshallbegranted.
7.2.3EncashmentandappropriationofPerformanceSecurity
TheAuthorityshallhavetherighttoinvokeandappropriatetheproceedsofthePerformanceSecurity,inwholeorinpart,withoutnoticetotheConsultantintheeventofbreachofthisAgreementorforrecoveryofliquidateddamagesspecifiedinthisClause 7.2.
7.3PenaltyfordeficiencyinServices
Inadditiontotheliquidateddamagesnotamountingtopenalty,asspecifiedinClause 7.2,warningmaybeissuedtotheConsultantforminordeficienciesonitspart.InthecaseofsignificantdeficienciesinServicesas per RFP causingadverseeffectontheProjectoronthereputationoftheAuthority,otherpenalactionincludingdebarringforaspecifiedperiodmayalsobeinitiatedasperpolicyoftheAuthority.
8.FAIRNESSANDGOODFAITH
8.1GoodFaith
ThePartiesundertaketoactingoodfaithwithrespecttoeachother’srightsunderthis
AgreementandtoadoptallreasonablemeasurestoensuretherealisationoftheobjectivesofthisAgreement
8.2Operation of theAgreement
ThePartiesrecognisethatitisimpracticalinthisAgreementtoprovideforeverycontingencywhichmayariseduringthelifeoftheAgreement,andthePartiesherebyagreethatitistheirintentionthatthisAgreementshalloperatefairlyasbetweenthem,andwithoutdetrimenttotheinterestofeitherofthem,andthat,ifduringthetermofthisAgreementeitherPartybelievesthatthisAgreementisoperatingunfairly,thePartieswill use their best efforts to agree on such action as may be necessary to remove thecauseorcausesofsuchunfairness,butfailuretoagreeonanyactionpursuanttothisClause 8.2shallnotgiverisetoadisputesubjecttoarbitrationinaccordancewithClause 9hereof.
9.SETTLEMENTOFDISPUTES
9.1Amicable settlement
The Parties shall use their best efforts to settle amicably all disputes arising out of or inconnectionwiththisAgreementortheinterpretationthereof.
9.2Dispute resolution
9.2.1Anydispute,differenceorcontroversyofwhatevernaturehowsoeverarisingunderoroutoforinrelationtothisAgreement(includingitsinterpretation)betweentheParties,andsonotifiedinwritingbyeitherPartytotheotherParty(the“Dispute”)shall,inthefirstin-stance,beattemptedtoberesolvedamicablyinaccordancewiththeconciliationproceduresetforthinClause 9.3.
9.2.2ThePartiesagreetousetheirbesteffortsforresolvingallDisputesarisingunderorinrespectofthisAgreementpromptly,equitablyandingoodfaith,andfurtheragreetoprovideeachotherwithreasonableaccessduringnormalbusinesshourstoallnon-privilegedrecords,informationanddatapertainingtoanyDispute.
9.3Conciliation
IntheeventofanyDisputebetweentheParties,eitherPartymaycallupon[Director, Punjab State Lotteries andtheManagingPartner/ChairmanoftheBoardofDirectorsoftheConsultantorasubstitutethereofforamicablesettlement,anduponsuchreferences,thesaidpersonsshallmeetnolaterthan10(ten)daysfromthedateofreferencetodiscussandattempttoamicablyresolvetheDispute.Ifsuchmeetingdoesnottakeplacewithinthe10(ten)dayperiodortheDisputeisnotamicablysettledwithin 15(fifteen)daysofthemeetingortheDisputeisnotresolvedasevidencedbythesigningofwrittentermsofsettlementwithin30(thirty)daysofthenoticeinwritingreferredtoinClause 9.2.1orsuchlongerperiodasmaybemutuallyagreedbytheParties,eitherPartymayrefertheDisputetoarbitrationinaccordancewiththepro-visionsofClause 9.4.
9.4Arbitration
9.4.1AnyDisputewhichisnotresolvedamicablybyconciliation,asprovidedinClause 9.3,shallbefinallydecidedbyreferencetoarbitrationbyanArbitrator inaccordancewithClause 9.4.2.
9.4.2In the event no amicable resolution or settlement is reached within a period of thirty (30) days from the date on which the above-mentioned dispute or difference arose, such dispute or difference shall be finally settled by arbitration. The arbitral tribunal shall consist of a sole arbitrator appointed by mutual agreement of the parties.
9.4.3In case of failure of the Parties to mutually agree on the name of a sole arbitrator, the arbitral tribunal shall consist of three arbitrators. Each party shall appoint one arbitrator and the two arbitrators so appointed shall jointly appoint the third arbitrator. The seat of arbitration shall be Chandigarh and the arbitration shall be conducted in the English language. The Arbitration and Conciliation Act, 1996 shall government the arbitral proceedings. The arbitral tribunal shall render its award within a period of 45 days from the date of commencement of arbitration proceedings and the award rendered by the arbitral tribunal shall be final and binding on the parties.
9.4.4Thearbitratorsshallmakeareasonedaward(the“Award”).AnyAwardmadeinanyarbitrationheldpursuanttothisClause 9shallbefinalandbindingonthePartiesasfromthedateitismade,andtheConsultantandtheAuthorityagreeandundertaketocarryoutsuchAwardwithoutdelay.
9.4.5TheConsultantandtheAuthorityagreethatanAwardmaybeenforcedagainsttheConsultantand/ortheAuthority,asthecasemaybe,andtheirrespectiveassetswhereversituated.
9.4.6ThisAgreementandtherightsandobligationsofthePartiesshallremaininfullforceandeffect,pendingtheAwardinanyarbitrationproceedingshereunder.
WITNESSWHEREOF,thePartiesheretohavecausedthisAgreementtobesignedintheirrespectivenamesasofthedayandyearfirstabovewritten.

Note:
(i) Copies of reports, both in hard & soft form, will be provided by the Transaction Advisor to DIRECTORATE OF PUNJAB STATE LOTTERIES / AD/ SSC, as requested from time to time.
(ii) Comments/ suggestions/ modifications/ amendment/ approvals, if any, on the reports submitted, would be conveyed to the Transaction Advisor within 15 days (subject to availability of the competent authority).
(iii) Within 7 days of the receipt of comments/ suggestions/ approval, revised or final documents, as the case may be, would be submitted by the Transaction Advisor to all concerned.
(iv) All reports to be submitted should be duly vetted by the Transaction Advisor. All the documents (draft& final), such as RFP document, Notice of Award, Concession Agreement etc should be legally vetted by the Transaction Advisor.
