EXECUTIVE SUMMARY:
SEC members request change to SEC Charter language for Corresponding Members.
Change from:
“All appointments of corresponding members are for one-year terms and are eligible for consecutive reappointments of up to two additional one-year terms.”
To:
“All appointments of corresponding members are for one-year terms and are eligible for consecutive reappointments of up to to three additional one-year terms.”
PROPOSED ACTION: (required for Action items only)
Resolved that the SEC Charter language for Corresponding Members be updated to say “All appointments of corresponding members are for one-year terms and are eligible for consecutive reappointments of up to to three additional one-year terms.” shall be approved.
FINANCIAL IMPLICATIONS:
No financial implications.
PROS and CONS:
Pros: Corresponding Members are non-voting members. SEC wants to encourage those interested to continue to engage and contribute on an ongoing basis.
Cons: SEC Charter for Corresponding Members may not be aligned to other EAB committees.
IMPLEMENTATION:
All changes to the SEC Charter require approval of the EAB and the SA Board of Governors (BoG).
Proposed text changes to the SEC Charter will go to the SA BoG for approval. Manager, EAB and Director-SA Governance will ensure updates are made to the SEC Charter upon approval of EAB and SA BoG.
BACKGROUND INFORMATION:
- SEC members reviewed the SEC Charter as updated in June 2013.
- In June 2013 the “Appointments and Terms of Office”sectionwas changed per a request by the EAB to better align the charters, or make more consistent, the length of terms of office for all of the EAB subcommittees. As a result, the terms of appointments for voting members and corresponding members of the SEC were changed from reappointments of up to three additional one-year terms to ‘up to two additional one-year terms’. The current language is:
All appointments of voting members are for one-year terms. Each member is eligible for consecutive reappointments of up to two additional one-year terms.
All appointments of corresponding members are for one-year terms and are eligible for consecutive reappointments of up to two additional one-year terms.
- The SEC members would like to change the language back to the original (pre-June 2013) for Corresponding Members so they are eligible for ‘up to three additional one-year terms’.
SEC members noted that Corresponding Members are non-voting members and therefore the SEC did not want to discourage those interested in continuing to engage with the committee from participating on an ongoing basis.
- SEC members agreed by unanimous consent to request to change the SEC Charter back to ‘up to three additional one-year terms’ for Corresponding Members.
