GENERALINFORMATION

BACKGROUND
REDI Net is a high-speed, open access, community broadband network located in Northern New Mexico. It is owned and operated by a consortium of local and tribal governments consisting of Rio Arriba County, Los Alamos County, Santa Fe County, the City of Española and the Pueblos of Tesuque, Ohkay Owingeh, Santa Clara, and Pojoaqueand the North Central New Mexico Economic Development District acts as representative of the State.
REDI Net has its roots in the 2008 regional economic development effort called REDI, which stands for Northern New Mexico Regional Economic Development Initiative. REDI identified high-speed broadband as the region’s number one infrastructure priority, resulting in an application for American Recovery and Reinvestment Act funding.
REDI Net is a “middle mile network.” It usesfiber optic technology to connect and provide broadband services tocommunity anchor institutionslike schools, libraries, colleges, hospitals, government offices, public utilities, and fire and police departments. REDI Net cannot connect or provide broadband service to individual homes, based on restrictions of the federal funding. REDI Net does, however, sell wholesale bandwidth to providers that offer service to the home.
The REDI Net Board of Directors is seeking General Management services that canbringtogethergovernments withvariedinterestsandgoalstodevelopandadvocatefor policiesthataddresstheneedsandinterestsoftheREDI Net region.
SCOPEOFWORK
TheContractorshallprovidethefollowingservices:
General Manager Services shallberesponsible forimplementing thepoliciesand strategiesapprovedbythe Board,and overseeing all oftheday-to-dayoperationsof REDI Net.
The GeneralManagement services contractoris required toassimilate amultitude ofviewsonnetworkdesign,construction,andoperation;overseeing thecreationanddeploymentofanopen access regionalnetwork;developing andimplementing theprivate/publicrelationshipsnecessaryforREDI Netsuccess; and creating anddeploying specializeddevices,applications,andservicesforthe community. This position works closely with theBoardofDirectors and stakeholder groups comprisedofleadersin theirrespectiveindustries and representing the REDI Net Joint Powers Agreement partner jurisdictions and sovereign tribal governments, healthcare, education, publicsafety, economic development andcommunities;conducting businesswithother telecommunications,infrastructure,and devicecompanies;interacting with tribal, federal,state,andlocalgovernmentofficials.
General Manager Services will include the following:
- Develop, in coordination with Board committees and other stakeholders, theBoard-approvedREDI Netvision, policies and strategy;
- Develop and discover new business opportunities congruent with the REDI Net business model;
- Implement REDI Net goals according to specified board approved timelines;
- Oversee and ensure REDI Netoperations; with emphasis towards:
- Competitive prices for services
- Fiscal efficiency
- Quality customer service
- Develop strong relationships with Network Operation Center as well as other strategic business partners.
- Working with Board, create andimplement apreliminary business plan, andsubsequentlydevelop andexecuteagainsta long termstrategicplan aswellasa shorttermbudgetplan;
- Remaincommitted tounderstanding andservingthe education, healthcare, publicsafety, and economic developmentcommunities;
- Ensure thattheREDI Netnetworkprovideshighlyreliableservice;
- Ensure that the communities and possible stakeholders are educated on the REDI Net mission; and,
- Become a strong forceforcollaborationamongREDI Netstakeholders-publicsafety, healthcare, education, economic development, tribal, stateandlocal governments, federalagencies, and privatepartners.
SERVICECOSTS
- ListmonthlyfixedfeeandnumberofworkhourstobeprovidedexclusiveofNewMexico grossreceiptstax(NMGRT).
- TheContractormayinvoiceforanytravelcostsincurredintheperformanceofthiscontract. (Suchexpensesarenotconsideredtobecoveredbyandincludedinthemonthlyfixedfee. Reimbursement oftravelcostsshallbesubjecttotheannualbudgetasapprovedbythe BoardandshallbeinaccordancewiththeREDI Nettravelpolicyresolution.)
- Providelistingofallproposedservicesthatwillbeincludedinthemonthlyfixedfeesuchas reproduction costs, internet services, mobile phone services, insurance, equipment and officeexpenses.
- Listanyservicesthatwillbecontractuallyprovidedbyanotherpartyunderthepurviewof theproposer,alongwithestimatedcost.
TERM
The initial term ofthe Agreement shall be fortwo (2) years commencing from the date of enteringintoacontract.AtREDI Net’ssoleoption,thetermofthisAgreementmay befurtherextended,inone-yearincrementsforuptotwo(2)additionalyears,underthesame termsandconditions.Innoevent,however,shallthetermoftheAgreement,includinganyand allextensions, exceedfour (4)years fromtheinitial effectivedateoftheAgreement. The monthlyfixedfeeandotherassociatedcostsmaybeconsideredforanannualadjustmentif suchiswarranted.
PROPOSALFORMAT
Inordertofacilitateevaluation,pleaseformatyourproposalinthesameorderindicatedbelow. Proposalsshalladdressthefollowingitems:

TheREDI Net BoardofDirectorshighlyencourageslocalrespondentsfromthe regionrepresentedbyREDI Net. TheBoardof Directors reservestherighttorequestaninterviewandpresentationofthetopproposer/sasafollow-up partoftheevaluationprocess,alongwiththeoptiontorequestfromtheproposer/sa“bestand finaloffer.”
PROCUREMENT PREFERENCES
Preferences in purchasing by formal bid, or request for proposal or qualifications shall be in accordance with New Mexico Statutes, Section 13-1-21 NMSA 1978 et al. Offeror must provide a copy of state-issued preference certificate if requesting a preference.
A. New Mexico In-state preference
New Mexico law, Section 13-1-22 NMSA 1978, provides a preference in the award of a public works contract for an “in-state resident business”. Application of a resident business preference for any Offereor requires the Offeror to provide a copy of a valid and current certificate as a resident business. Certificates are issued by the state taxation and revenue department.
If an Offeror submits with its proposal a copy of a valid and current in-state resident business certificate, 5%of the total weight of all evaluation factors used in the evaluation of proposals may be awarded or added to the Offerors score.
Certification by the department of taxation and revenue for the resident business takes into consideration such activities as the business’ payment of property taxes or rent in the state and payment of unemployment insurance on employees who are residents of the state.

B. New Mexico Resident Veteran Preference
New Mexico law, Section 13-1-22 NMSA 1978, provides a preference in the award of a public works contract[HM3] for a “resident veteran business”. Certification by the department of taxation and revenue for the resident veteran business requires the Offeror to provide evidence of annual revenue and other evidence of veteran status.
An offeror who wants the veteran business preference to be applied to its proposal is required to submit with its proposal the certification from the department of taxation and revenue and the sworn affidavit attached hereto as Appendix C.
If an Offeror submits with its proposal a copy of a valid and current veteran resident business certificate, 10%. 8% or 7% of the total weight of all the evaluation factors used in the evaluation of proposals may be awarded or added to the Offeror’s score, depending on the business’ annual revenue.
The resident business preference is not cumulative with the resident veteran business preference.
SPECIAL CONDITIONS
The REDI Net Board reserves the right, at its sole discretion: to accept or reject any proposals; to waive any and all irregularities in any or all statements or proposals; to request additional information from any or all respondents; to award a contract to the responsible Offeror whose proposal is most beneficial to REDI Net; or to award contracts to more than one Offeror should that be in the best interest of the organization. While REDI Net intends to execute a contract for the services listed herein, nothing in thisdocument shall be interpreted as binding REDI Net to enter into an agreement with any Offeror.
FollowingawardofthesolicitationbytheBoard,thesuccessfulOfferor willberequiredtoexecuteacontractwithREDI Netinaccordancewiththeterms andconditionssetforthintheServicesAgreement,asampleofwhichisattachedasExhibit“A”.
Offerormayidentifyanyexceptionorotherrequirementstothetermsandprovisionsinthe ServicesAgreement,alongwithproposedalternativelanguageaddressingtheexception;REDI Netmay,butisnotrequiredto,negotiatechangesincontracttermsand provisions. TheServicesAgreement,asfinallyagreedupon,mustbeinformandcontent acceptabletotheBoard.
CERTIFICATIONFORMREGARDINGDEBARMENT,SUSPENSION,ANDOTHER RESPONSIBILITYMATTERS
AnOfferorshallcompletetheCertificationRegardingDebarment,Suspension,andOther
ResponsibilityMattersForm,attachedasExhibit“B”,andsubmitwiththeproposal. ThisForm servesasawarrantofthevendor’sresponsibility,andmaynotnecessarilyprecludethevendor fromconsiderationforaward.

Contractorshallperformthework describedhereininaccordancewithastandardofcareforperformanceoftheServicesthat exceedsindustrystandards.
SECTIONG.DELIVERABLESANDUSEOFDOCUMENTS: Alldeliverablesrequiredunder thisAgreement,includingmaterial,products,reports,policies,procedures,software improvements,databases,andanyotherproductsandprocesses,whetherinwrittenor electronicform,shallremaintheexclusivepropertyofandshallinuretothebenefitofREDI Netasworksforhire;Contractorshallnotuse,sell,disclose,orobtainanyother compensationforsuchworksforhire. Inaddition,Contractormaynot,withregardtoallwork, workproduct,deliverablesorworksforhirerequiredbythisAgreement,applyfor,initsnameor otherwise,anycopyright,patentorotherpropertyrightandacknowledgesthatanysuchpropertyrightcreatedordevelopedremainstheexclusiverightofREDI Net. SECTIONH.EMPLOYEESANDSUB-CONTRACTORS:Contractorshallbesolelyresponsible forpaymentofwages,salaryorbenefitstoanyandallemployeesorcontractorsretainedby ContractorintheperformanceoftheServices. Contractoragreestoindemnify,defendandhold harmlessREDI NetforanyandallclaimsthatmayarisefromContractor's relationshiptoitsemployeesandsubcontractors.
SECTIONI.INSURANCE:Contractorshallobtainandmaintaininsuranceofthetypesandin theamountssetoutbelowthroughoutthetermofthisAgreementwithaninsureracceptableto REDI Net.Contractorshallassurethatallsubcontractorsmaintainlikeinsurance.
CompliancewiththetermsandconditionsofthisSectionisaconditionprecedenttoREDI Net’sobligationtopaycompensationfortheServicesandContractorshallnotprovideanyServicesunderthisAgreementunlessanduntilContractorhasmettherequirementsofthisSection. SECTIONJ.RECORDS:ContractorshallmaintainthroughoutthetermofthisAgreementand foraperiodofsix(6)yearsthereafterrecordsthatindicatethedate,time,andnatureofthe servicesrendered.ContractorshallmakeavailableforinspectionbyREDI Netall records,booksofaccount,memoranda,andotherdocumentspertainingtoREDI Netatanyreasonabletimeuponrequest.
SECTIONK.APPLICABLELAW:Contractorshallabidebyallapplicablefederal,stateand locallaws,regulations,andpoliciesandshallperformtheServicesinaccordancewithall applicablelaws,regulations,andpoliciesduringthetermoftheAgreement. Inanylawsuitor legaldisputearisingfromtheoperationofthisAgreement,Contractoragreesthatthelawsof theStateofNewMexicoshallgovern. VenueshallbeintheFirstJudicialDistrictCourtofNew Mexico,NewMexico.
SECTIONL. NON-DISCRIMINATION: DuringthetermofthisAgreement,Contractorshallnot discriminateagainstanyemployeeorapplicantforanemploymentpositiontobeusedinthe performanceoftheobligationsofContractorunderthisAgreement,withoutregardtorace,
color,religion,sex,age,nationalorigin,sexualorientationorgenderidentity,disabilityor veteranstatus.
SECTIONM.INDEMNITY:Contractorshallindemnify,holdharmlessanddefendREDI Net,itsBoardmembers,employees,agentsandrepresentatives,fromandagainstall liabilities,damages,claims,demands,actions(legalorequitable),andcostsandexpenses, includingwithoutlimitationattorneys’fees,ofanykindornature,arisingfromContractor's negligentperformancehereunderorbreachhereofandthenegligentperformanceof Contractor’semployees,agents,representativesandsubcontractors
SECTIONN.FORCEMAJEURE:NeitherREDI NetnorContractorshallbeliable foranydelayintheperformanceofthisAgreement,norforanyotherbreach,norforanylossor damagearisingfromuncontrollableforcessuchasfire,theft,storm,war,oranyotherforce majeurethatcouldnothavebeenreasonablyavoidedbyexerciseofduediligence.
SECTIONO.NON-ASSIGNMENT:ContractormaynotassignthisAgreementoranyprivileges orobligationshereinwithoutthepriorwrittenconsentofREDI Net.
SECTIONP.LICENSES: Contractorshallmaintainallrequiredlicenses,includingwithout limitationallnecessaryprofessionalandbusinesslicenses,throughoutthetermofthis Agreement. ContractorshallrequireandshallassurethatallofContractor’semployeesand subcontractorsmaintainallrequiredlicenses,includingwithoutlimitationallnecessary professionalandbusinesslicenses.
SECTIONQ.PROHIBITEDINTERESTS:Contractoragreesthatitpresentlyhasnointerest andshallnotacquireanyinterest,directorindirect,whichwouldconflictinanymanneror degreewiththeperformanceofitsserviceshereunder. Contractorfurtheragreesthatitwillnot employanypersonhavingsuchaninteresttoperformservicesunderthisAgreement.
SECTIONR.TERMINATION:
1. Generally. REDI NetmayterminatethisAgreementwithorwithoutcause uponten(10)dayspriorwrittennoticetoContractor.Uponsuchtermination,Contractor shallbepaidforServicesactuallycompletedtothesatisfactionofREDI NetattheratesetoutinSectionC. Contractorshallrenderafinalreportoftheservicesperformed tothedateofterminationandshallturnovertoREDI Netalloriginalsofall materialspreparedpursuanttothisAgreement.
2. Funding. ThisAgreementshallterminatewithoutfurtheractionbyREDI NetonthefirstdayofanyREDI Net’s fiscalyearforwhichfundstopaycompensation hereunderarenotappropriatedbytheBoardofDirectors. REDI Netshall makereasonableeffortstogiveContractoratleastninety(90)daysadvancenoticethat fundshavenotbeenandarenotexpectedtobeappropriatedforthatpurpose.

“Pendencyoftheprocurementprocess”meansthetimeperiodcommencingwiththepublic noticeoftherequestforproposalsandendingwiththeawardofthecontractorthe cancellationoftherequestforproposals.
“Person”meansanycorporation,partnership,individual,jointventure,associationoranyother privatelegalentity.
“Prospectivecontractor”meansapersonwhoissubjecttothecompetitivesealedproposal processsetforthintheProcurementCodeorisnotrequiredtosubmitacompetitive sealedproposalbecausethatpersonqualifiesforasolesourceorasmallpurchase contract.
“Representativeofaprospectivecontractor”meansanofficerordirectorofacorporation,a memberormanagerofalimitedliabilitycorporation,apartnerofapartnershipora trusteeofatrustoftheprospectivecontractor.

[HM2]Looking at Los Alamos RFPs as reference this is most in line with that county. The SFC RFPs are very long and run up to 40 pages. Do we need more clarification that only delivered hard copies are accepted?
[HM3]Found language for veteran and resident preference. Not sure if this RFP would result in a public works contract. If not, do I take this out?
