2012 USA BENEFITS SUMMARY

Employees are eligible for most benefits programs on the first day of employment.

(Employees must work a minimum of 20 Hours/week to be considered benefit eligible.)

Holidays: Ten (10) paid holidays per year, eight are designated and two are floating holidays. (One floating holiday if date of hire is after July 1st)

Vacation: Three (3) weeks per year (120 hours/0-5 years of service). Accrues on a per pay period basis at 4.62 hours.

Retirement: ON Semiconductor offers a 401(k) plan with both pre-tax and Roth elections. Matching is discretionary, but you are immediately vested in match money. Employees may enroll anytime after their first payroll and are automatically enrolled at 4% after a 30 day waiting period, unless you make a different election prior to that time. Targeted Retirement Funds, Personal Online Advice and a Managed Accounts Program are available.

Healthcare: Comprehensive healthcare benefits are available for the employee, spouse, domestic partner, and dependent children. Benefits for a domestic partner are considered a taxable benefit by the IRS.

Health - ON offers a traditional medical plan with 80/20 coinsurance and a High Deductible Health Plan. In-network preventative care is covered at 100% before deductible on both plans. Out-of-network coverage is covered at 50% after additional deductible.

Dental - ON offers a dental program. Preventative care is covered at 100%, $100/$300 deductible, basic services at 80%, major services at 50%, $1600 annual maximum per person benefit. Orthodontics for children, under age 19 only, with a lifetime maximum of $2000.

Vision - Annual visits are $10, standard lenses are $20 and frames are $10 (up to $130 value). Contact lenses may be substituted for glasses for a $20 co-pay (up to a $130 value.)

Employee Assistance Program - A comprehensive EAP is provided for free. The EAP program includes 6 confidential sessions for each case and a variety of general advice services including financial, legal, child/elder care and much more.

Health Savings Account (HSA) - The Health Savings Account is available only to employees who enroll in the High Deductible Health Plan and meet IRS criteria. Health Savings Accounts provide you the opportunity to pay for out-of-pocket medical, dental and vision expenses and/or dependent care expenses with pre-tax dollars. Health Savings Accounts balances rollover each calendar year and are portable. The IRS maximum contributions for 2012 are $3100 for employee only, $6250 for employees with dependents and $1000 catch-up for employee age 55 and older.

Flexible Spending Accounts (FSA) - The Flexible Spending Accounts for Healthcare and Dependent Care provide you the opportunity to pay for out-of-pocket medical, dental and vision expenses and/or dependent care expenses with pre-tax dollars. You are not required to be enrolled in any particular healthcare plan. You may set aside a minimum of $10 per pay period up to $5,000 annually of your salary for the Healthcare FSA and/or Dependent Care FSA. Federal regulations require you to forfeit any unused money in your account at the end of the calendar year.

Leaves: ON Semiconductor complies with the Family Medical Leave Act for eligible employees. ON Semiconductor also has paid leaves for jury duty, bereavement and military duty.

Disability/Life Insurance:

Disability - Paid 100% by ON. STD is equal to 66 2/3% base salary (maximum of $3500 weekly benefit) up to a maximum of 26 weeks. LTD is equal to 60% base salary (maximum of $25,000 per month) up to a maximum of age 65 and integrated with Social Security. Short Term Disability benefits are taxable. You have a choice of pre-tax or post-tax Long Term Disability enrollment. Eligible first of the month following 90 days of employment.

Basic Life Coverage - Paid 100% by ON. Basic Life (2X Annual Salary) and Accidental Death/Dismemberment (2X Annual Salary). Maximum benefits of $1,000,000 (total basic and supplemental coverage).

Supplemental Life Insurance - You may purchase supplemental life insurance equal to one to five times your annual base salary. The cost of the insurance is age and salary based. Evidence of insurability required for amounts in excess of $500,000 (total basic & supplemental coverage.) Supplemental Accidental Death & Dismemberment is also available.

Dependent Life Insurance - Eligible employees who have purchased supplemental life insurance have the option to purchase dependent life insurance for their spouse in the amount of $2500, $5000, $10,000 or $25,000, or children in the amount of $1250, $2500, $5000 or $10,000.

Employee Stock Purchase Plan: Enrollment is quarterly, elections may be from 1-10%; contributions accumulate through the end of every quarter; stock is purchased at 15% less the fair market value the lower of the first day or the last day of the offering period. Employees are eligible to participate at the start of the first calendar quarter after 90 days of employment.

Other Benefits: Voluntary benefits include Legal Services, Group Auto and Home Insurance, Veterinary Pet Insurance, Cancer Insurance, Critical Illness Insurance, Whole Life, Universal Life and Term Life. The premiums for these benefits are through payroll deduction. Other discounts such as amusement parks, computer, cell phones, etc. are also available.
