Part D – Credit Terms

Where credit terms are approved, it is at the sole discretion of CT Freight Pty Ltd and only for freight and service charges.

Credit terms are restricted to net 30 days from statement date.

All Customs duty and disbursementcharges under $A10,000 are payable upon delivery by cash, company cheque, credit card or bank transfer.

All duty and disbursement charges over $A10,000 are payable prior to delivery for ocean freight and upon delivery for airfreight by cash, company cheque, credit card or bank transfer.

Part E – Default

Please be advised that where a customer defaults on approved credit terms, commits an act of bankruptcy or being an incorporated company, passes a resolution for winding up (except for the purposes of reconstruction) and/or the court makes an order to appoint a receiver, CT Freight Pty Ltd reserves the right to immediately terminate the credit terms for breach of warranty and to seek reimbursement for the full recovery of anythe outstanding charges or debts and all reasonable associated costs, including legal fees.

Part F – Privacy Act 1988

The customer consents to CT Freight Pty Ltd obtaining from an approved Credit Reporting Agency a report on their credit worthiness and consents under the Privacy Act 1988 (section 18E and 18K) obtaining personal credit information as it may specifically relate to the credit application review or collection of overdue amounts, outside the agreed trading terms.

Part G – Notification of Change of Ownership

The customer will must advise CT Freight Pty Ltd in writing within 714 days of any change ofin ownership, directors, retirement of a partner, or any other changes to the business or corporate structureownership, registered particulars, alteration and/or addition to the shareholding or directorship and, in such an event, CT Freight Pty Ltd reserves the right to immediately terminate the credit terms.

The applicant hereby requests CT Freight Pty Ltd to open a credit account under its trading name.

  1. All contracts between CT Freight Pty Ltd and the applicant shall be deemed to have been entered into in the state of New South Wales and shall be construed according to the laws of the state of New South Wales.
  1. I/We acknowledge that if the account is overdue, CT Freight Pty Ltd at its discretion, reserves the right to refer the account to a mercantile agency for collection and I/we agree to be responsible to meet all the costs and commissions incurred in employing the said mercantile agent to collect the overdue account.
  1. That where CT Freight Pty Ltd has been provided with information about an individual named in the application form and does not sign the form, I/we will ensure that the individual is aware that:

(a)Information about the individual is provided to CT Freight Pty Ltd for the purposes of this application and for extending credit to the Applicant;

(b)Without that information, CT Freight Pty Ltd may not be able to accept this application; and

(c)They may be personally liable for overdue debt.

2.I/We personally agreetoindemnifyCT Freight Pty Ltdagainstanyloss,damage,charge,cost, expenseorotherliability CT Freight Pty Ltd suffers or incurs due to:

(a) theApplicant breaching ofanyofitsobligationsto CT Freight Pty Ltd (including any failure by the Applicant to pay any monies due and owing to CT Freight Pty Ltd at any time);

(b) I/we not being liable to pay CT Freight Pty Ltd an amount under the guarantee given in the paragraph above; and

(c) an obligation of the Applicant to CT Freight Pty Ltd being/becoming unenforceable against the applicant including if it is unenforceable solely because of the applicant's insolvency or incapacity.

3.I/We personally agreetopayanymonies due and owing to CT Freight Pty Ltd underthisguarantee and indemnitywithin14daysafterreceiptofawrittendemand.I/Weacknowledgethatthisguaranteeandindemnitymaybeenforcedagainstme/uswithoutCT Freight Pty Ltdfirsthavingcommencedanyproceedingsagainstthe Applicantoranyotherperson.
