TOGETHERwithallawardsheretoforeandhereaftermadetothemortgagorfortakingbyeminentdomainthewholeor anypartofsaidpremisesoranyeasementtherein,includinganyawardsforchangesofgradeofstreets,whichsaid awardsareherebyassignedtothemortgagee,whoisherebyauthorizedtocollectandreceivetheproceedsofsuch awardsandtogiveproperreceiptsandacquittancestherefor,andtoapplythe sametowardthe paymentofthe mortgage debt,notwithstandingthefactthattheamountowingthereonmaynotthenbedueandpayable;andthesaidmortgagor herebyagrees,uponrequest,tomake,executeanddeliveranyandallassignmentsandotherinstrumentssufficientfor thepurposeofassigningsaidawardstothemortgagee,free,clearanddischargedofanyencumbrancesofanykindor naturewhatsoever.
ANDthemortgagorcovenantswiththemortgageeasfollows:
1. Thatthemortgagorwillpaytheindebtednessashereinbeforeprovided.
2.Thatthemortgagor willkeepthebuildingsonthepremises insuredagainstlossbyfireforthebenefitofthe mortgagee;thathe willassignanddeliverthepoliciesto themortgagee;andthathe willreimbursethemortgageefor any premiumspaidforinsurancemadebythemortgageeonthemortgagor'sdefaultinsoinsuringthebuildingsorinso assigninganddeliveringthepolicies.
3. Thatnobuildingonthepremisesshallbealtered,removedordemolishedwithouttheconsentofthemortgagee.
4. Thatthe wholeofsaidprincipalsumandinterestshallbecomedueatthe optionofthe mortgagee:afterdefaultinthe paymentof anyinstallmentof principalor of interestforfifteendays;or afterdefaultin thepaymentof anytax,waterrate, sewerrentorassessmentforthirtydaysafternoticeanddemand;orafterdefaultafternoticeanddemandeitherin assigningand deliveringthepoliciesinsuringthebuildingsagainstlossbyfireorinreimbursingthemortgageefor premiumspaidon suchinsurance,as hereinbeforeprovided;orafterdefaultuponrequestinfurnishinga statementofthe amountdueonthemortgageandwhetheranyoffsetsordefensesexistagainstthemortgagedebt,ashereinafter provided. Anassessmentwhichhasbeenmadepayableininstallmentsattheapplicationofthemortgagororlesseeof thepremisesshallnevertheless,forthepurposeofthisparagraph,be deemeddueandpayableinits entiretyon the day thefirstinstallmentbecomesdueorpayableoralien.
5. Thattheholderofthismortgage,inanyactiontoforecloseit,shallbeentitledtotheappointmentofareceiver.
6. Thatthemortgagorwillpayalltaxes,assessments,sewerrentsorwaterrates,andindefaultthereof,themortgagee maypaythesame.
7. Thatthemortgagorwithinfivedaysuponrequestinpersonorwithintendaysuponrequestbymailwillfurnisha writtenstatementdulyacknowledgedoftheamountdueonthismortgageandwhetheranyoffsetsordefensesexist againstthemortgagedebt.
8. Thatnoticeanddemandorrequestmaybeinwritingandmaybeservedinpersonorbymail.
9. Thatthemortgagorwarrantsthetitletothepremises.
10.ThatthefireinsurancepoliciesrequiredbyparagraphNo.2 aboveshallcontaintheusualextendedcoverage endorsement;thatinadditiontheretothemortgagor,withinthirtydaysafternoticeanddemand,willkeepthepremises insuredagainstwarriskandanyotherhazardthatmayreasonablybe requiredby themortgagee. All of theprovisionsof paragraphsNo.2 andNo.4 aboverelatingtofireinsuranceandtheprovisionsofSection254oftheRealPropertyLaw construingthesameshallapplytotheadditionalinsurancerequiredbythisparagraph.
11.Thatincaseofaforeclosuresale,saidpremises,orsomuchthereofasmaybeaffectedbythismortgage,maybe soldinoneparcel.
12.Thatifanyactionorproceedingbecommenced(exceptanactiontoforeclosethismortgageortocollectthedebt securedthereby),towhichactionorproceedingthemortgageeismadeaparty,orinwhichitbecomesnecessaryto defendorupholdthelienofthismortgage,allsumspaidbythemortgageefor theexpenseof anylitigationtoprosecute ordefend therightsandIiencreated bythismortgage (including reasonable counsel fees),shallbepaidbythe mortgagor,togetherwithinterestthereonattherateofsixpercentperannum,andanysuchsumandtheinterest thereonshallbea lienonsaidpremises,priortoanyright,ortitleto,interestinorclaimuponsaidpremisesattachingor accruingsubsequenttothelienofthismortgage,andshallbedeemedtobesecuredbythismortgage.Inanyactionor proceedingto foreclosethismortgage,or to recoveror collectthedebtsecuredthereby,theprovisionsof lawrespecting therecoveringofcosts,disbursementsandallowancesshallprevailunaffectedbythiscovenant.
13.Thatthemortgagorherebyassignstothemortgageetherents,issuesandprofitsofthepremisesasfurthersecurity forthepaymentofsaidindebtedness,andthemortgagorgrantstothemortgageetherighttoenteruponandtotake
possessionofthepremisesforthepurposeofcollectingthesameandtoletthepremisesoranypartthereof,andto applytherents,issuesandprofits,afterpaymentof allnecessarychargesandexpenses,onaccountof said indebtedness. Thisassignmentandgrantshallcontinueineffectuntilthismortgageispaid. Themortgageehereby waivestheright toenterupon andtotake possessionofsaid premisesforthepurposeofcollectingsaid rents,issuesand profits,andthemortgagorshallbeentitledtocollectandreceivesaidrents,issuesandprofitsuntildefaultunderanyof thecovenants,conditionsor agreementscontainedin thismortgage,andagreesto usesuchrents,issuesandprofitsin paymentofprincipalandinterestbecomingdueonthismortgageandinpaymentoftaxes,assessments,sewerrents, waterratesandcarryingchargesbecomingdueagainstsaidpremises,butsuchrightofthemortgagormayberevoked by themortgageeuponanydefault,on fivedays'writtennotice. Themortgagorwillnot,withoutthewrittenconsentofthe mortgagee,receiveorcollectrentfromanytenantofsaidpremisesoranypartthereofforaperiodofmorethanone monthinadvance,andintheeventofanydefaultunderthismortgagewillpaymonthlyinadvancetothemortgagee,or toanyreceiverappointedtocollectsaidrents,issuesandprofits,thefairandreasonablerentalvaluefortheuseand occupationofsaidpremisesorofsuchpartthereofasmaybeinthepossessionofthemortgagor,andupondefaultin anysuchpaymentwillvacateandsurrenderthepossessionofsaidpremisestothemortgageeortosuch receiver,andin defaultthereofmaybeevictedbysummaryproceedings.
14.Thatthewholeofsaidprincipalsumandtheinterestshallbecomedueattheoptionofthemortgagee:(a)after failuretoexhibittothemortgagee,withintendaysafterdemand,receiptsshowingpaymentofalltaxes,waterrates, sewerrentsandassessments;or(b) afterthe actualorthreatenedalteration,demolitionorremovalofanybuildingonthe premiseswithoutthewrittenconsentofthemortgagee;or(c)aftertheassignmentoftherentsofthepremisesoranypart thereofwithoutthewrittenconsentofthemortgagee;or(d)ifthebuildingsonsaidpremisesarenotmaintainedin reasonably goodrepair;or(e)afterfailuretocomplywithanyrequirement ororderornoticeofviolationoflawor ordinanceissuedbyanygovernmentaldepartmentclaimingjurisdictionoverthepremiseswithinthreemonthsfromthe issuancethereof;or(f)ifonapplicationofthemortgageetwoormore fireinsurancecompanieslawfullydoing businessin theStateofNewYorkrefusetoissuepoliciesinsuringthebuildingsonthepremises;or(g)intheeventoftheremoval, demolitionordestructioninwholeorinpart ofanyofthefixtures,chattelsorarticlesofpersonalpropertycoveredhereby, unlessthesamearepromptlyreplacedbysimilarfixtures,chattelsandarticlesofpersonalpropertyatleastequalin qualityandconditiontothosereplaced,freefromchattelmortgagesorotherencumbrancesthereonandfreefromany reservationoftitlethereto;or(h)afterthirtydays'noticetothemortgagor,intheeventofthepassageofanylaw deductingfromthevalueofthelandforthepurposesoftaxationanylienthereon,or changingin anywaythetaxationof mortgagesordebtssecuredtherebyforstateorlocalpurposes;or(i)ifthemortgagorfailstokeep,observeandperform anyoftheothercovenants,conditionsoragreementscontainedinthismortgage.
15.Thatthemortgagorwill,in compliancewithSection13 of theLienLaw,receivetheadvancessecuredherebyandwill holdtherighttoreceivesuchadvancesasa trustfundtobeappliedfirstforthepurposeofpayingthecostofthe improvementandwillapplythesamefirstto thepaymentof thecostof theimprovementbeforeusinganypartof thetotal ofthesameforanyotherpurpose.
16.Thattheexecutionofthismortgagehasbeendulyauthorizedbytheboardofdirectorsofthemortgagor.

Thismortgagemaynotbechangedorterminatedorally. Thecovenantscontainedinthismortgageshall run with the land and bind the mortgagor, the heirs, personal representatives, successors andassignsofthe mortgagorandallsubsequentowners,encumbrancers,tenantsandsubtenantsofthepremises,andshallenureto the benefit of the mortgagee, the personal representatives, successors and assigns of the mortgagee and all subsequent holdersofthismortgage. Theword"mortgagor"shallbeconstruedasifitread"mortgagors"andthe word"mortgagee"shallbeconstruedasifitread"mortgagees"wheneverthesenseofthismortgagesorequires.
