CONSTITUTION AND BY-LAWS OF THE

FORSYTH COUNTY 4-H VOLUNTEER LEADERS’ ASSOCIATION

Article I: Name and Purpose

Section 1.The name of this organization is the Forsyth County 4-H Volunteer

Leaders’ Association.

Section 2.The purpose of this organization is to develop and support volunteer

leaders to serve the needs of 4-H members. In keeping with this purpose, it is the intention of the Association to:

  1. Plan and conduct an organized adult leader training program based on the needs of the leaders.
  2. Plan and conduct an ongoing recruitment program to identify, select and recruit new leaders based on the needs of the county program.
  3. Provide opportunities for fellowship and exchange of ideas and experiences among leaders.
  4. Recognize and utilize the talents of leaders in expanding, strengthening and interpreting the 4-H program in Forsyth County.
  5. Promote a feeling of unity and purpose among volunteer 4-H leaders.

Article II: Membership

Section 1.All adults who serve as volunteer 4-H Leaders within Forsyth County are

members of the Association regardless of the leadership role they perform.

Section 2.Extension agents will serve as advisors to the Association. Other agency

or resource persons may be called on as consultants.

Article III: Voting

Section 1:The voting body will consist of members present as defined in Article II,

Section 1.

Section 2:Each member will have one vote to cast on all issues where a vote is

called.

Section 3:A quorum will consist of the membership present at either regular

business meetings or special meetings fulfilling the requirements of By-Law IV, Section 3.

Article IV: Officers

Section 1:The officers of the Association will include a president, vice-president,

secretary and treasurer.

Section 2:The Executive Committee will consist of the elected officers and any

advisors that they wish to invite.

Section 3:The method and location of the election of officers will be as stated in the

By-Laws.

Article V: Meetings

Section 1:The Association will attempt to hold at least four regular business

meetings annually.

Section 2:Special meetings may be called by the Executive Committee.

Article VI: Ratification and Amendments

Section 1:This Constitution and By-Laws will go into effect immediately upon a

two-thirds affirmative vote of the membership present at a regularly

scheduled business meeting.

Section 2:A proposed amendment becomes binding upon a two-thirds majority vote

an any general members meeting, provided notice of intent to amend is given either 30 days in advance or in a county-wide newsletter.

Section 3:By-Laws may be adopted which are not in conflict with the constitution.

BY-LAWS

By-Law I: Election of officers

Section 1:Officers will be elected annually from the membership.

Section 2:Nominations

  1. Candidates will be nominated from the floor at a regularly scheduled business meeting, preferably the first meeting of each calendar year.
  2. Elections for each office will be held immediately following the closure of nominations for that office.

Section 3:A new office may be added by a simple majority vote, and the new officer

may be elected immediately following the creation of the new office.

Section 4:Removal from Office

  1. If for any reason, such as change of residence, illness, or if an officer is not fulfilling his or her duty, he or she may be removed form office if it is in agreement with the Executive Committee members present.
  2. After an officer has been removed, a new officer may be elected immediately.

By-Law II:Duties of Officers

Section 1:The President will preside at Association meetings, appoint committee and

committee chairmen, and lead the Executive Committee in planning for each Association meeting.

Section 2:The Vice-President will preside at Association meetings in the absence of

the President, help plan the Association meetings, and serve as the Chairman for the Program Committee.

Section 3:The Secretary will record the minutes of the Association meetings, inform

the President of unfinished business, help plan Association meetings, maintain the roll and other records for the Association as directed by the President, and serve as a contact person for the district and state leader organizations.

Section 4:The Treasure will serve as the Chairman of the finance Committee,

propose fundraising activities and their purpose, ensure that funds are deposited, and report the amount of funds raised to the Association.

Section 5:The Executive Committee will act on behalf of the Association on any

matters requiring decision before the next general members meeting, develop the Association’s annual program plan and plan and arrange for regular Association meetings.

By-Law III: Committees

Section 1:Standing Committees

  1. Standing Committee will be appointed each year.
  2. Each standing committee will have at least three members.
  3. A new standing committee may be formed by a seconded motion.

Section 2:Special committees will be appointed as needed to work on projects that

can be completed in a short period of time and that cannot be done by a

standing committee.

By-Law IV:Meetings

Section 1:Regular business meetings should be scheduled quarterly.

Section 2:The exact date, time and location for each regular business meeting will be specified by the Executive Committee and announced in the yearly calendar.

Section 3:Special meetings called by the Executive Committee must be announced either at least 30 days in advance or in a county-wide newsletter.

By-Law V:Rules of Order

Section 1:Rules of Order may be adopted which are not in conflict with the

Constitution or By-Laws.

Section 2:If no Special Rules are established, the rules contained in Robert’s Rules

of Order, latest edition, will govern the business meeting of the

Association.

Section 3:The Executive Committee will interpret the Constitution and By-Laws in

all questionable cases.

By-Law VI:Amendments

Section 1:A proposed amendment to the By-Laws becomes binding upon a simple

majority vote.

Section 2:Previous notice is not necessary to amend By-Laws.
