CONFIDENTIALITY AGREEMENT

  1. I hereby acknowledge that during my assignment to Whizz-Kidz (‘the Movement for Non-Mobile Children’) as a volunteer I will be exposed to information about Whizz-Kidz's business and employees that is confidential or commercially sensitive and which if disclosed would be liable to cause significant harm to Whizz-Kidz.
  1. During my assignment to Whizz-Kidz and following its termination, I undertake not to disclose any confidential information which has come into my knowledge during my assignment to Whizz-Kidz to any unauthorised person nor use any confidential information relating to or received from Whizz-Kidz, its staff, beneficiaries and/or other parties, for any reason unless expressly authorised by Whizz-Kidz, or as required by law.
  1. Such information includes but is not limited to financial information about Whizz-Kidz or its clients and information regarding other employees or agency workers including salaries, operational plan or beneficiaries’ information. Information is also confidential information if it is clearly marked as such, you were told that it was confidential when it was disseminated or by its very nature is evidently confidential.
  1. Information is not confidential if it is publicly known or readily ascertainable by the public (through no wrongful act of the agency worker) or is received by the agency worker through a third party without breaching an obligation owed by Whizz-Kidz and the agency worker is not restricted by the third party from disclosing the information.
  1. I understand that the use and disclosure of all information about identifiable living individuals is governed by the Data Protection Act. I will not use any personal data I acquire during my work for any purpose that is or may be incompatible with the purposes specified in this agreement.
  1. I understand that I am required to keep all confidential and personal data securely.
  1. Upon termination of my assignment to Whizz-Kidz and once I have received confirmation that the work I was assigned to do has been satisfactorily completed and all the required information has been provided in accordance with Whizz-Kidz’ wishes, I hereby undertake to ensure that all records provided or created for the purposes of this agreement and all property belonging to Whizz-Kidz (including any back-up records, books, materials, records, correspondence, papers and information on whatever media and wherever located) are passed back to the Whizz-Kidz HR Manager or irretrievably deleted as directed.
  1. Rights and obligations under this agreement shall continue in force after the termination of this agreement and shall be binding upon the personal representatives of the agency worker.
  1. I understand that Whizz-Kidz reserves the right to take legal action against any breach of this agreement at any time.
  1. If at any time any term or provision in this agreement shall be held to be illegal, invalid or unenforceable, in whole or in part, under any rule of law or enactment, such term or provision or part shall to that extent be deemed not to form part of this agreement, but the enforceability of the remainder of this agreement shall not be affected.
  1. This agreement shall be governed by and construed in accordance with English law and each party to this agreement submits to the exclusive jurisdiction of the English courts.
