CODE OF CONDUCT FOR ADAC OFFICERS

To ensure ADAC carries out its responsibilities in a timely and efficient manner, officers must conduct themselves as follows:

A - Code of Conduct

1.Execute their respective duties with diligence and honesty.

2.Attend meetings on time regularly. Notify the meeting convener in advance for inability to attend meetings. Failure to attend meetings, three times in a row, will lead to loss of the officer’s position on the board. The officer will have to re-apply to the Board of Directors for admission to the Executive Committee. Until such a decision is made, the officer will remain suspended from official duties and will not be able to represent the organization in any capacity, including taking part in meetings, deliberations or decisions affecting the organization.

3.Send any information that may be required for meetings in advance of the meeting date.

4.Foster camaraderie and team spirit, by addressing and treating fellow members with respect.

5.Promote the interest of ADAC at all times by representing the organization to the outside world in the areas of their respective portfolios and as overall ambassadors. The President and/or Director for Communications will represent the organization in other matters of importance. They may delegate this responsibility to another officer.

6.Attend official functions to which the officer is invited as a representative of ADAC. Officers who are unable to attend will be replaced by another officer designated by the President or the Executive Committee.

7.Lead by example by abiding strictly by this code of conduct and the by-laws of the organization. Failure to do so may result in sanctions agreed upon by the Executive Committee.

8.Directors and Officers of ADAC serve without payment of any kind. However, their travel and other reasonable expenses may be paid while acting for ADAC. The Board must authorize these expenses. Directors and officers cannot enter into any contracts with ADAC thus they must first resign from their duties should they intent to be hired to a paid position in ADAC. Two years must elapse after a director has left the Board to get hired to a paid position with ADAC.

B - Conflict of interest

Directors and Officers are in a conflict of interest when they exercise an official power, duty or function that provides an opportunity to further their private interests or those of their relatives or friends, or organizations with which they are associated, or to improperly further another person’s private interests. This includes but is not limited to:

Providing preferential treatment to any person or organization based on the identity of the person or organization representing them.

Using information that is not available to the public to further private interests.

Using current position to influence a decision in order to further private interests.

In exercising current duties being influenced by offers of outside employment.

Accepting any gift or other advantage that might reasonably be seen to have been given to influence the individual in exercising one’s official duties.

Entering into a contract or employment relationship, in the exercise of one’s official duties, with a spouse, common-law partner, in-laws, child, sibling or parent, or permitting the entity for which you work to do so.

Continuing as or becoming a director or officer in a competing corporation or organization without the consent of ADAC

Serving as a paid consultant in ADAC;

Personally soliciting funds if it places the individual in a conflict of interest.

C - Confidentiality

Any information brought to the attention of directors or officers is confidential and is kept strictly confidential for professional use (records of persons, reports, projects information, work procedures or access to information). This information MUST not in any case be subject to private discussion outside the Board or the Executive Committee.

I have read and understood all the code of conduct and confidentiality provisions of the African Diaspora Association of Canada (ADAC) and I am bound by the code of conduct and confidentiality clause (10) during my service or employment with ADAC and forever after.
