Attachment#17b:CONSTRUCTIONWORKFORCEAGREEMENT

I.PURPOSE.ThepurposeoftheOfficeofCommunityInvestmentandInfrastructure(the“Agency”)and theDeveloper/AffordableDeveloperenteringintothisConstructionWorkForceAgreementistoensure participationofSanFranciscoresidentsandequalemploymentopportunitiesforminoritygrouppersons andwomenintheconstructionworkforceinvolvedinconstructinganyofthephasesupontheSite covered bythe DDA.

II.WORKFORCEGOALS.

A.ThegoalsetforthbelowisexpressedasapercentageofeachContractor'stotalhoursof employmentandtrainingbytradeontheSite.ThegoalrepresentsthelevelofSanFrancisco residentparticipationeachContractorshouldreasonablybeabletoachieveineachconstruction tradeinwhichithasemployeesontheSite.TheOwneragrees,andwillrequireeachContractor (regardlessoftier),touseitsgoodfaitheffortstoemploySanFranciscoresidentstoperform construction workupontheSiteata levelatleastconsistentwith said goals.

B.Goal:50 percentparticipation of San Franciscoresidents in the totalhours worked in the trade.

C.Amendmentstothegoalsshallbeprospectiveandgointoeffect20daysaftertheAgencymails written notice of the amendments to the Developer/Affordable Developer. New goalsshallnotbe appliedretroactively.

D.AlthoughparagraphBestablishesasinglegoalforparticipationofSanFranciscoresidents,each Contractorisrequiredtoprovideequalemploymentopportunityandtotakeequalopportunityfor allethnicgroups,bothmaleandfemale,andallwomen,bothminorityandnon-minority. Consequently,aContractormaybeinviolationofthisConstructionWorkForceAgreementifa particularethnicgroupisemployedinasubstantiallydisparatemanner (for example, eventhough theContractorhasachieveditsgoalforparticipationofSanFranciscoresidents,theContractor maybeinviolationifaspecificethnicgroupisunderutilized.)IftheAgencydetermines,after affordingaContractornoticeandanopportunitytobeheard,thattheContractorhasviolatedits obligationsunderthisparagraph,theAgencymayset,forthatContractor,workforce participation goalsbyparticular ethnic group,e.g., Blacks, Latinos, etc.

E.EachContractorisindividuallyrequiredtocomplywithitsobligationsunderthisConstruction WorkForceAgreement,andtomakeagoodfaithefforttoachieveeachgoalineachtradein whichithasemployeesemployedattheSite.(SeeSectionIVbelow.)Theoverallgoodfaith performancebyothercontractorsorsubcontractorstowardagoaldoesnotexcuseanycovered Contractor's failure tomakegood faith efforts toachieve the goals.

F.TheContractorshallnotusethegoalsorequalopportunitystandardstodiscriminateagainstany personbecauseofage,ancestry,color,creed,disability,gender,nationalorigin,race,religionor sexualorientation.

G.Inorderforthenon-workingtraininghoursofapprenticesandtraineestobecountedinmeeting thegoals,suchapprenticesandtraineesmustbeemployedbytheContractorduringthetraining period,andtheContractormusthavemadeacommitmenttoemploytheapprenticesandtrainees atthecompletionof theirtraining,subjectto the availability of employment opportunities. Unlessotherwisepermittedbylaw,traineesmustbetrainedpursuanttotrainingprograms approvedbytheU.S.DepartmentofLabor,EmploymentandTrainingAdministration,Bureauof ApprenticeshipandTraining("BAT")ortheCaliforniaDepartmentofIndustrialRelations, Division of ApprenticeshipStandards ("DAS").

III.INCORPORATION.WhenevertheOwner,thegeneralcontractor,anyprimecontractor,orany subcontractor atanytier subcontracts a portionof the workontheSite involvingany construction trade,it shallsetforthverbatimandmakebindingoneachsubcontractorwhichhasacontractinexcessof

$10,000theprovisionsofthisConstructionWorkForceAgreement,includingtheapplicablegoalsfor San Franciscoresidentparticipation ineach trade.

IV.EQUALOPPORTUNITYREQUIREMENTS.

A.EachContractorshalltakespecificequalopportunitiestoensureequalemploymentopportunity ("EEO").TheevaluationoftheContractor'scompliancewiththisConstructionWorkForce Agreementshallbebased uponits goodfaithefforts toachievemaximumresults fromits actions. EachContractorshalldocumenttheseeffortsfully,andshallimplementequalopportunitysteps atleastas extensive asthe following:

1.Ensureandmaintainaworkingenvironmentfreeofharassment,intimidation,and coercionattheSite.TheContractorshallspecificallyensurethatallforemen, superintendents,andotheron-sitesupervisorypersonnelareawareofandcarryoutthe Contractor's obligationtomaintainsucha workingenvironment.

2.ProvidewrittennotificationtoCityBuildwhentheContractororitsunionshave employmentopportunitiesavailable,andmaintainarecordoftheorganizations' responses.

3.Maintainacurrentfileofthenames,addressesandtelephonenumbersofeachresident applicantandeachresidentreferralfromaunion,arecruitmentsourceorcommunity organizationandofwhatactionwastakenwithrespecttoeachsuchindividual.Ifsuch individualwassenttotheunionhiringhallforreferralandwasnotreferredbacktothe Contractorbytheunion,orifreferred,notemployedbytheContractor,thisshallbe documentedinthefilewiththereasontherefore,alongwithwhateveradditionalactions the Contractor mayhave taken.

4.ProvideimmediatewrittennotificationtotheAgencywhentheunionorunionswith whichtheContractorhasacollectivebargaining agreementhasnotreferred tothe ContractoraresidentsentorrequestedbytheContractor,orwhentheContractorhas otherinformationthattheunionreferralprocesshasimpededtheContractor'seffortsto meetitsobligations.

5.Developon-the-jobtrainingopportunitiesand/orparticipateintrainingprograms, includingapprenticeship,traineeandupgradingprogramsrelevanttotheContractor's employmentneeds,especiallythosefundedorapprovedbyBATorDAS.The ContractorshallprovidenoticeoftheseprogramstothesourcescompiledunderSection

IV.A.2 above.

6.DisseminatetheContractor'sEEOpolicybyprovidingnoticeofthepolicytounionsand trainingprogramsandrequestingtheircooperationinassistingtheContractorinmeeting itsEEOobligations;byincludingitinanypolicymanualandcollectivebargaining agreement;bypublicizingitinthecompanynewspaper,annualreport,etc.;byspecific reviewofthepolicywithallmanagementpersonnelatleastonceayear;andbyposting the companyEEOpolicyon bulletin boards accessibleto allemployees atthe Site.

7.Review, prior to beginning work at the Site and at least annually thereafter, the Contractor'sEEOpolicyandequalopportunityobligationsundertheDDAandthis ConstructionWorkForceAgreementwithallemployeeshavinganyresponsibilityfor hiring,assignment,layoff,terminationorotheremploymentdecisionsincludingspecific reviewoftheseitemswithon-sitesupervisorypersonnelsuchassuperintendents,general foremen,etc.Awrittenrecordshallbemadeandmaintainedidentifyingthetimeand place ofthese meetings, personsattending, subjectmatterdiscussedand disposition of the subjectmatter.TheAgency'scontractcompliancestaffshallbeinvitedtoattendthe meetingheld prior to the beginningof workatthe Site.

8.DisseminatetheContractor'sEEOpolicyexternallybyincludingitinanyadvertisingin thenewsmedia,specificallyincludingminorityandfemalenewsmedia,andproviding writtennotificationtoanddiscussingtheContractor'sEEOpolicywithothercontractors and subcontractors with whomthe Contractor does or anticipates doingbusiness.

9.Directitsrecruitmentefforts,bothoralandwritten,tolocalminoritygroup,femaleand communityorganizations,toschoolswithminorityandfemalestudentsandtominority andfemalerecruitmentandtrainingorganizationsservingtheContractor'srecruitment areaandemploymentneeds.Notlaterthanonemonthpriortothedateforthe acceptanceofapplicationsforapprenticeshiporothertrainingbyanyrecruitmentsource, theContractorshallsendwrittennotificationtoorganizationssuchastheabove, describingtheopenings,screeningprocedures,andteststobeusedintheselection process.

10.Encouragepresentminorityandfemaleemployeestorecruitotherminoritygroup personsandwomenand,wherereasonable,provideafterschool,summerandvacation employmenttominorityandfemaleyouthbothontheSiteandinotherareasofa Contractor's workforce.

11.Validatealltestsandotherselectionrequirementswherethereisanobligationtodoso under41 CFRPart60-3.

12.Conduct,atleastannually,aninventoryandevaluationofSanFranciscoresident personnelforpromotionalopportunitiesandencouragetheseemployeestoseekorto preparefor,through appropriatetrainingetc.,such opportunities.

13.Ensurethatsenioritypractices,jobclassifications,workassignmentsandotherpersonnel practicesdonothaveadiscriminatoryeffectbycontinuallymonitoringallpersonneland employmentrelatedactivitiestoensurethattheEEOpolicyandtheContractor's obligations hereunderarebeingcarried out.

14.Ensurethatallfacilitiesandcompanyactivitiesarenonsegregatedexceptthatseparateor single-usertoiletandnecessarychangingfacilitiesshallbeprovidedtoassureprivacy between the genders.

15.Conductareview,atleastannually,ofallsupervisors'adherencetoandperformance underthe Contractor's EEOpolicies and equalopportunity obligations.

B.Contractorsareencouragedtoparticipateinvoluntaryassociationswhichassistinfulfillingone ormoreoftheirequalopportunityobligationsunderSectionIV.A.1through15.Theeffortsofa contractorassociation,jointcontractor-union,contractor-community,orothersimilargroupof whichtheContractorisamemberandparticipant,maybeassertedasfulfillinganyoneormore of its obligations under Section IV.A.1 through 15 provided that the Contractor actively participatesinthegroup,makeseveryefforttoassurethatthegrouphasapositiveimpactonthe employmentofminoritygrouppersonsandwomenintheindustry,ensuresthattheconcrete benefitsoftheprogramarereflectedintheContractor'sminorityandfemaleworkforce composition,makesagoodfaithefforttomeetitsindividualgoals,andcanprovideaccessto documentationwhichdemonstratestheeffectivenessofactionstakenonbehalfoftheContractor. Theobligationtocomply,however,istheContractor'sandfailureofsuchagrouptofulfillan obligationshallnotbe a defenseforthe Contractor's noncompliance.

V.ADDITIONALPROVISIONS.

A.ThefailurebyaunionwithwhichtheContractorhasacollectivebargainingagreement,torefer SanFranciscoresidentsshallnotexcusetheContractor'sobligationsunderthisConstruction WorkForce Agreement.

B.AContractorshallnotenterintoanysubcontractwithanypersonorfirmthattheContractor knowsorshouldhaveknownisdebarredfromgovernmentcontractspursuanttoExecutiveOrder 11246.

C.NoemployeetowhomtheequalopportunityprovisionsofthisConstructionWorkForce Agreementareapplicableshallbedischargedorinanyothermannerdiscriminatedagainstby theContractorbecausesuchemployeehasfiledanycomplaintorinstitutedorcausedtobe instituted anyproceeding underor relatingto Attachment9 ofthe DDAorthis Schedule.

D.EachContractorshalldesignatearesponsibleofficialtomonitorallemployment-relatedactivity to ensure thatthe Contractor's EEOpolicyis beingcarried out.

VI.DOCUMENTATION AND RECORDS.

A.Submissionofelectroniccertifiedpayrolls.EachContractorshallsubmitthroughtheGeneral ContractortotheAgencybynoononeachWednesday areportprovidingtheinformation containedintheAgency'sOptionalFormofpayrollreportfortheweekprecedingtheprevious weekoneachofitsemployees.Eachprimecontractorisresponsibleforthesubmissionofthis reportbyeach of its subcontractors.

B.Each Contractor shallsubmitthrough the GeneralContractortothe Agencybynoon on each Wednesdaya payrollreportforthe weekprecedingtheprevious weekon each ofits employees. Each prime contractor isresponsible for the submission of this reportbyeachofits subcontractorsandforcertifyingits accuracy.

C.No monthlyprogress payments willbeprocessed untilContractor has submitted weeklycertified payrolls tothe Agencyfor the applicable time period.Certified payrolls shallbeprepared pursuanttothis SBE Policyfortheperiodinvolved forallemployees, includingthose of subcontractorsofalltiers, for alllabor incorporated into the work.

D.Contractor shallsubmitcertified payrolls to the Agencyelectronically via theProjectReporting System("PRS")selected bythe Agency, anInternet-basedsystemaccessible on the WorldWide Webthrough a web browser.The Contractorand eachSubcontractor and Supplier mustregister with PRS and beassigned alog-on identification and password toaccessthe PRS.

E.Use ofthe PRS mayrequire Contractor, Subcontractors and Suppliers to enteradditionaldata relatingto weeklypayrollinformation including, butnotlimitedto, employee identification,labor classification,totalhours worked and hours worked onthis project,and wage andbenefitrates paid.Contractor's payrolland accountingsoftware maybe capable of generatinga "comma delimited file"thatwillinterface withthe PRS software.

F.For each Agency-Assistedproject, the Agencywillprovide basictrainingin the use ofthePRS at a scheduled trainingsession. Contractorand allSubcontractorsand Suppliers and/ortheir designatedrepresentativesmustattend the PRS trainingsession.

G.Contractor shallcomplywith the requirementsofthis ArticleVIatnoadditionalcosttothe Agencyor the Owner.

H.The Agencywillnotbe liableforinterest, charges or costsarisingoutof orrelatingto anydelay in makingprogress payments due to Contractor's failure to make a timelyand accurate submittal of weeklycertified payrolls.

I.In additiontotheabove, Contractor shallcomplywiththe requirements of California Labor Code Section 1776, or asamended fromtime totime, regardingthe keeping, filingand furnishingof certified copies ofpayrollrecords ofwages paid toitsemployees and tothe employees ofits Subcontractors of alltiers.

J.TheContractor shallmake the payrollrecordsavailableto forinspectionatallreasonable hours at thejob site office of Contractor.

K.ContractorissolelyresponsibleforcompliancewithLaborCodeSection1776orthisSBE Policy.TheAgency shallnotbe liable forContractor'sfailuretomaketimely oraccurate submittals of certified payrolls.

VII.ARBITRATION OF DISPUTES.

A.ArbitrationbyAAA.AnydisputeregardingthisConstructionWorkForceAgreementshallbe determinedbyarbitrationthroughtheAmericanArbitrationAssociation,SanFrancisco, Californiaoffice ("AAA")inaccordancewith theCommercialRulesof theAAAthenapplicable, butsubjecttothefurtherrevisionsthereof. ThearbitrationshalltakeplaceintheCityandCounty of San Francisco.

B.Demandfor Arbitration.Where the Ownerdisagreeswith theAgency'sNoticeofNon- QualificationorNoticeofNon-Compliance,theOwnershallhaveseven(7)businessdays,in whichtofilea Demandfor Arbitration,unlessotherwise stipulatedbythe parties.The DemandforArbitrationshallcontainataminimum:(1)acoverletterdemandingarbitration underthisprovisionandidentifyingentitiesbelievedtobeinvolvedinthedispute;(2)acopyof theNoticeofNon-QualificationorNoticeofNon-Compliance;and(3)anywrittenresponseto theNoticeofNon-QualificationorNoticeofNon-Compliance.IftheOwnerfailstofileatimely DemandforArbitration,theOwnershallbedeemedtohaveacceptedandtobeboundbythe findingofNon-QualificationorthefindingsandrecommendationscontainedintheNoticeof Non-Compliance.

C. Parties’ Participation. TheAgencyand all persons or entities that have a contractual relationship affected bythe dispute shallbe madeanArbitrationParty.Anysuch personorentitynotmadeanArbitrationPartyintheDemandforArbitrationmayintervene asanArbitrationPartyandinturnmaynameanyothersuchpersonorentityasan ArbitrationParty,provided however,thattheOwnermadeaninitialtimelyDemandforArbitrationpursuanttoSectionV.B. above.

D.Agency RequesttoAAA.Withinseven (7)business days after serviceofa Demand for Arbitration,theAgencyshalltransmittoAAAacopyoftheDemandforArbitration,theNotice ofNon-QualificationorNoticeofNon-Compliance,andanywrittenresponsetheretofromthe affected party. Suchmaterialshallbe made partofthearbitrationrecord.

E. SelectionofArbitrator. Onearbitratorshallarbitratethedispute.Thearbitratorshallbe selectedfromthepanelofarbitratorsfromAAAbythepartiestothearbitrationinaccordance withtheAAArules.Thepartiesshallactdiligentlyinthisregard. IftheArbitrationPartiesfail toagreeonanarbitratorwithinseven(7)daysfromthereceiptofthepanel,AAAshallappoint thearbitrator.Aconditiontotheselectionofanyarbitratorshallbethatperson'sagreementto rendera decision withinninety(90) days fromthe arbitrator's fulfillmentof the disclosure requirementssetforth in California Code of CivilProcedure Section 1281.9.

F. SettingofArbitrationHearing.Ahearingshallbeheldwithinninety(90)daysofthedateof thefilingoftheRequest,unlessotherwiseagreedbytheparties.Thearbitratorshallsetthedate, timeandplaceforthearbitrationhearing(s)withintheprescribedtimeperiodsbygivingnotice byhand deliveryor firstclassmailto each ArbitrationParty.

G. Discovery.Inarbitrationproceedingshereunder,discoveryshallbepermittedin accordancewith Code ofCivilProcedure§1283.05.

H. BurdenofProof.TheburdenofproofwithrespecttoConstructionWorkForcecompliance and/orGoodFaithEffortsshallbeontheOwner.Theburdenofproofastoallotheralleged breachesbythe Ownershallbe onthe Agency.

I. CaliforniaLawApplies.ExceptwhereexpresslystatedtothecontraryinthisConstruction WorkForceAgreement,Californialaw,includingtheCaliforniaArbitrationAct,CodeofCivil Procedure§§ 1280 through1294.2, shallgovern allarbitration proceedings.

J. Arbitration Remedies and Sanctions.Thearbitratormayimposeonlytheremediesand sanctions setforth below:

1.Orderspecific,reasonable actions and procedures, in the formof atemporaryrestraining order, preliminaryinjunctionor permanentinjunction,to mitigate the effects ofthenon- complianceand/orto bringanynon-compliantArbitration Partyinto compliance.

2.Require anyArbitration Partyto refrainfromenteringinto newcontractsrelatedtowork covered bythe Owneror this ConstructionWorkForce Agreement, or fromgranting extensions or othermodificationsto existingcontractsrelated toservicescoveredbythe Ownerorthis ConstructionWorkForce Agreement, otherthanthose minor modifications or extensions necessarytoenablecompliance withthisConstructionWorkForce Agreement.

3.DirectanyArbitrationPartyto cancel,terminate, suspend orcause to becancelled, terminated or suspended, anycontractor portion(s)thereof for failure of anypartyto the arbitrationto complywith anyof the Agency’s WorkForcepolicyrequirements. Contracts maybe continued uponthe condition thataprogramfor future compliance is approved bythe Agency.

4.If any ArbitrationPartyis found tobein willfulbreachof its obligations hereunder, the arbitrator mayimpose a monetarysanction nottoexceed FiftyThousandDollars ($50,000.00)orten percent(10%) of the base amountof the breachingparty’s contract,whicheverisless, for eachsuch willfulbreach;provided that,in determiningtheamount of anymonetarysanction tobe assessed,thearbitrator shallconsiderthefinancial capacityofthebreachingparty. No monetarysanctionshallbeimposed pursuantto this paragraph for the firstwillfulbreach ofthis Construction WorkForce Agreementunless the breachingpartyhasfailed tocure after beingprovided notice anda reasonable opportunityto cure.Monetarysanctions maybe imposed for subsequentwillfulbreaches byany Arbitration Partywhether or notthe breach is subsequentlycured. Forpurposes of thisparagraph,"willfulbreach"means aknowingand intentionalbreach.

5.DirectanyArbitrationPartyto produce andprovide tothe Agencyanyrecords, data or reports whichare necessaryto determine ifa violationhas occurredand/orto monitor the performance of any Arbitration Party.

K. Arbitrator’s Decision.Thearbitratorshallmakehisorherawardwithintwenty(20)daysafter thedatethatthehearingiscompleted;providedthatwhereatemporaryrestraining orderis sought,thearbitratorshallmakehisorherawardnotlaterthantwenty-four(24)hoursafterthehearingonthemotion. Thearbitratorshallsendthedecisionbycertifiedorregisteredmailto each Arbitration Party.

L. DefaultAward;NoRequirementtoSeekanOrderCompellingArbitration.Thearbitrator mayenteradefaultawardagainstanypersonorentitywhofailstoappearatthehearing, providedthat:(1)saidpersonorentityreceivedactualnoticeofthehearing;and(2)the complainingpartyhasaproofofservicefortheabsentpersonorentity.Inordertoobtaina defaultaward,thecomplainingpartyneednotfirstseekorobtainanordertoarbitratethe controversypursuantto Code ofCivilProcedure§1281.2.

M.ArbitratorLacksPowertoModify.Exceptasotherwiseprovided,thearbitratorshallhaveno powertoadd to,subtractfrom,disregard,modifyorotherwisealterthe termsof thisConstruction WorkForceAgreementoranyotheragreementbetweentheAgencyandOwnerortonegotiate new agreements or provisions betweenthe parties.

N. Jurisdiction/EntryofJudgment. Theinquiryofthearbitratorshallberestricted tothe particular controversywhichgaverisetotheDemandforArbitration.Adecisionofthearbitratorissued hereundershallbefinalandbindinguponallArbitrationParties.Thenon-prevailingArbitration Party(ies)shallpaythearbitrator’sfeesandrelatedcostsofarbitration(orreimbursethe ArbitrationPartiesthatadvancedsucharbitrationfeesandcosts).EachArbitrationPartyshall payitsownattorneys’fees,provided,however,thatattorneys'feesmaybeawardedtothe prevailingpartyifthearbitratorfindsthatthearbitrationactionwasinstituted,litigated,or defendedinbadfaith.Judgmentuponthearbitrator’sdecisionmaybeenteredinanycourtof competentjurisdiction.

O. Exculpatory Clause.OwnerexpresslywaivesanyandallclaimsagainsttheAgencyfor damages,directorindirect,including,withoutlimitation,claimsrelativetothecommencement, continuance and completion of construction and/or providingprofessionaland consultingservices (“theWork”).Owneracknowledgesandagreesthattheproceduressetforthhereinfordealing withallegedbreachesorfailuretocomplywiththeobligationsandrequirementsofthis ConstructionWorkForceAgreementarereasonableandhavebeenanticipatedbythepartiesin securingfinancing,ininviting,submittingandreceivingbidsandproposalsfortheplanning, designandconstructionoftheimprovementsandindeterminingthetimesforcommencement andcompletionoftheplanning,designandconstructionand/orforprovidingconsulting, professionalor personalservices.

P.Severability.TheprovisionsofthisConstructionWorkForceAgreementaredeclaredtobe separateandseverable.Theinvalidityofanyclause,sentence,paragraph,subdivision,sectionor portionofthisConstructionWorkForceAgreementortheinvalidityoftheapplicationthereofto anypersonorcircumstanceshallnotaffectthevalidityoftheremainderofthisConstruction WorkForce Agreementor the validityoftheirapplication to other persons or circumstances.

Q.ArbitrationNotice:BYINITIALINGINTHESPACEBELOWYOUAREAGREEINGTO HAVEANYDISPUTEARISINGOUTOFTHEMATTERSINCLUDEDINTHE "ARBITRATIONOFDISPUTES"PROVISIONDECIDEDBYNEUTRALARBITRATION ASPROVIDEDBYCALIFORNIALAWANDYOUAREGIVINGUPANYRIGHTSYOU MIGHTPOSSESSTOHAVE THEDISPUTELITIGATEDINCOURTORJURYTRIAL.BY INITIALINGINTHESPACEBELOWYOUAREGIVINGUPYOURJUDICIALRIGHTS TODISCOVERYANDAPPEAL,UNLESSSUCHRIGHTSARESPECIFICALLY INCLUDEDINTHE"ARBITRATIONOFDISPUTES"PROVISION.IFYOUREFUSETO SUBMITTOARBITRATIONAFTERAGREEINGTOTHISPROVISION,YOUMAYBE COMPELLEDTOARBITRATEUNDERTHEAUTHORITYOFTHECALIFORNIACODE OFCIVILPROCEDURE.YOURAGREEMENTTOTHISARBITRATIONPROVISIONIS VOLUNTARY.

WEHAVEREADANDUNDERSTANDTHEFOREGOINGANDAGREETOSUBMIT DISPUTESARISINGOUTOFTHEMATTERSINCLUDEDINTHE"ARBITRATIONOF DISPUTES"PROVISION TONEUTRALARBITRATION.

VIII.PRECONSTRUCTIONMEETING.

A.Priortothecommencementofconstruction,thegeneralcontractor,anyprimecontractor,orany subcontractoratanytiershallattendapreconstructionmeetingconvenedbytheAgencyandto whichoutreachorganizationsareinvitedtoreviewthereportingrequirements,theprospective constructionworkforcecompositionandanyproblemsthatmaybeanticipatedinmeetingthe construction workforce goal.

B.Anysubcontractoratanytier,whodoesnotattendsuchameetingshallnotbepermittedonthe jobsite.TheAgencyshallconveneadditionalpreconstructionmeetingswithin24hoursofthe Contractor'srequest.TheContractorshallendeavortoincludeasmany prospective subcontractorsas possibleatthese meetingsin ordernotto protractundulythe numberof meetings.

C.FailuretocomplywiththispreconstructionmeetingprovisionmayresultintheAgencyordering asuspensionofworkbytheprimecontractorand/orthesubcontractoruntilthebreachhasbeen cured. Suspension underthis provision is notsubject to arbitration.

IX.TERM.TheobligationsoftheOwnerandtheContractorswithrespecttotheirconstructionworkforces, assetforthinAttachment9ofthisDDAandthisConstructionWorkForceAgreement,shallremainin effectuntilcompletionofallworktobeperformedbytheOwnerinconnectionwiththeconstructionof anyof thephases.
