Through this Agreement, the parties are joining together to create a NPN Performance Residency that is one of a national series of residencies supported with funding from: the Doris Duke Charitable Foundation, Ford Foundation, Nathan Cummings Foundation, Altria, MetLife Foundation, and the National Endowment for the Arts (a federal agency). The NPN Performance Residencies are designed to support the work and creative processes of contemporary performing artists of diverse cultural backgrounds in dance, music, theater, performance art, puppetry, and spoken word based in all regions of the U.S. and to reduce the isolation of artists from their peers and public communities across the country.

Although this document governs the conduct of the parties in carrying out a single residency, it will be interpreted in accordance with the overall goals of the Network.

All Agreements should be emailed to for approval. After approved signed original hard copies of the Agreement must be received by the NPN National Office no later than 90 days prior to the beginning date of the residency.


1. TYPE OF PERFORMANCE RESIDENCY

2. RELATIONSHIP BETWEEN PARTIES

The relationship between the parties as set out in this Agreement is that of independent contractors, and this Agreement does not constitute a contract of employment between the NPN Partner(s) or the Company and any of its personnel, and NPN. See section 13 for Insurance requirements.

3. COMPANY PERSONNEL

The Company in residence will consist of performers (including Choreographer and/or Artistic Director) and technical and other support personnel under the artistic direction of . (At least one technical director or production manager is required unless written permission to the contrary has been obtained from the Company.) No changes in the number of personnel may be made later than sixty (60) days prior to the beginning of the residency without the written approval of the NPN. If fewer persons than indicated above participate in the residency, then the total Company residency fee and the NPN subsidy will be reduced accordingly.

It is expected that the entire Company, including technical personnel, will be in residence with the Company for the entire duration of the residency being contracted herein. Any deviations from this must be approved by the NPN Partner and the NPN Coordinator and reflected in the calculations in Rider B (sections A through E).

4. RESIDENCY LENGTH/DATES/ACTIVITIES

The Company agrees to present a oneweek 57 days twoweek 1214 days residency beginning (date of Company’s arrival) and ending (date of last activity) , including a minimum of one public performance and one community activity. Dates should match activity dates (below) and dates in Rider B.

The Company agrees not to accept any other performance engagement for a period of thirty (30) days prior to or following the performances described in this Agreement within a radius of fifty (50) miles from the location of these performances without the express prior consent of the NPN Partner(s). The NPN Partner(s) understands the importance of "satellite" engagements, and agrees not to withhold such consent unreasonably.

5. PAYMENT AND PAYMENT SCHEDULE FROM NPN PARTNER(S) TO COMPANY

a. The NPN Partner agrees to pay to the Company, the sum of Dollars ($ )

This amount is the Total Company fee computed in Rider B in accordance with the rules governing the NPN. All parties understand that this sum is an estimate based on the information available at the time this Agreement is signed, and that the final NPN Company fee may vary slightly as a function of final costs, reductions in the number of persons traveling or in the number of days and nights spent in the primary city. The adjusted Company fee will be determined prior to the residency by consultation among the parties to this Agreement.

b.  The total NPN Company fee is payable by the NPN Partner(s) by check made payable to:

c The Company is responsible for coordinating the most economical and appropriate mode of housing and roundtrip transportation between its residence and the NPN Partner’s location. Travel costs must be approved by the Presenter in advance of expenditure. If requested by the company, the NPN Partner will advance to the Company whatever portion of the Total Fee the Company may require in order to secure the most appropriate and economical mode of transportation and housing. If agreed upon, the NPN Partner may book housing and/or transportation directly for the Company; deducting this amount from the Total Company Fee.

d. The Lead NPN Partner bears full responsibility for guaranteeing that all financial obligations to the Company are paid in full according to the following Payment Arrangement Schedule:

6. SUBSIDY FROM NPN TO NPN PARTNER

7. PRODUCTION AND PRESENTATION

A. Artistic Production:

The Company will provide, at its expense, the following:

a. All costumes, props, sets, slides, films, tapes, records, scenery, musical instruments and special lighting and other equipment, except that the NPN Partner(s) may be required to furnish an appropriate piano if this is specified in Rider D.

b. All licenses and other permissions necessary for the Company's presentations in connection with the residency including, but not limited to, choreography, music, designs, texts and performance rights.

B. Technical Production:

The NPN Partner will provide, at its expense, the following:

a. House and backstage staff as are normally required for the operation of performances and other activities, and all tickets, programs and publicity required, including the costs of printing and mailing.

b. All governmentrequired permits and insurance for its facilities and activities. The Company is advised that such coverage is limited. It is recommended that the Company procure its own coverage for its personnel, equipment, property and activities.

C. Facility

a. The NPN Partner(s) will provide, at its expense, a theater or other appropriate performing space, equipped with adequate lighting and sound systems, that is acceptable to the Company, as well as such other adequate spaces as the engagement may require. Each space will be adequately heated or cooled as necessary; will be clean, licensed and in good order; and will have dressing rooms and a surface for performing that are acceptable to the Company.

b. The NPN Partner(s) will provide to the Company descriptions of the facilities to be used. It is the Company's responsibility to examine the information supplied by the NPN Partner(s) before signing this Agreement. In executing this Agreement, the Company acknowledges that the facilities offered are substantially commensurate with its artistic and technical requirements.

c. Detailed information about the NPN Partner's performance facility, including ground plans and lighting and equipment inventory, is to be attached to this Agreement as the first supplement to Rider D. Detailed information about the Company's technical, rehearsal, space and crew requirements is to be attached to this Agreement as the second supplement to Rider D.
