ITEM D:Appointment of a Reston Association Member to the Vacant Hunters Woods/Dogwood District Position on the Reston Association Board of Directors

Board Motion: Move to appoint ______to the vacant Hunters Woods/Dogwood Director positionto serve until the Board of Directors election in 2014.

BACKGROUND

Hunters Woods/Dogwood District Representative Cheryl Beamer, whose term was to expire in April 2014, tendered her resignation from the Board of Directors, effective on Wednesday, May 29, 2013.

Section III.5(d)(3) of the Association’s Deedspecifies that a vacancy on the Board of Directors may be filled by appointment by the remaining Directors, even if less than a quorum, until the next annual election at which time the Category A and C Members shall elect a Director to fill the unexpired term; and

During its Special Meeting of June 10, 2013, the Reston Association Board of Directors approved the following resolution related to the process of appointing a Member to fill the current vacancy of the Hunters Woods/Dogwood District Director position:

WHEREAS, Cheryl Beamer, has resigned her position as the Hunters Woods/Dogwood Director effective Wednesday, May 29, 2013; and

WHEREAS, Director Beamer's term on the Board was set to expire in April, 2014; and

WHEREAS, Section III.5(d)(3) of the Association's Bylaws delineates that a vacancy of a Director seat may be filled by appointment by the remaining Directors.

NOW, THEREFORE, BE IT RESOLVED that the Board of Directors fill Beamer's unexpired term as Hunters Woods/Dogwood Director at the Board of Director's regularly-scheduled meeting of June 27, 2013.

MAY IT FURTHER BE RESOLVED that the Board directs as follows:

Staff to immediately post the open position on the Association's web site and social media sites, including RA New, and invite all interested candidates to submit a Statement of Candidacy to the Secretary or Assistant Secretary of the Association, no later than Monday, June 24, 2013, 5:00 pm; and

Reston Association Staff certify, no later than Tuesday, June 25, 2013 that interested candidates meet all of the qualifications to serve on the Board; and

All qualified candidates to appear before the full Board at its regularly-scheduled meeting of June 27, 2013 for a discussion of the candidates' interest and qualifications.

As of the date of this document, four Reston Association Members, residing in the Hunters Woods Dogwood District,have completed the required documentation for consideration by the Board of Directors during its meeting of June 27, 2013. See the Candidate Statements attached.
