NON-EXCLUSIVE LISTING CONTRACT

1.-The OWNER hereby appoints the undersigned BROKERnon-exclusive agent with irrevocable rights to sell or exchange the property within the period and for the price and terms stated or for such other price and terms as may be acceptable to OWNER.

3.-PRICE/TERMS: ______. In the event of a reduction in price notification must be given in writing to the BROKER.

4.-PROPERTY DEFECTS: OWNER represents that the property has no known significant latent defects or assessments except the following: ______

5.-OWNER represents that he/she is the true OWNER of the property described herein with all rights and legal capacities to sell or otherwise convey said property through deeds/trusts in accordance with Mexican laws.

6.-Professional service fee:OWNER agrees to pay BROKER, in cash, a commission of ______% of the gross sales price, plus the 16% IVA tax, on the commission as required by Mexican law. BROKER’S right to the commission shall be payable uponany transfer of the above described property during the period hereof, including sale by OWNER. Any party introduced by BROKER who may subsequently become the transferee of this property for a period of 90 days after the termination of this agreement shall be considered clients of BROKER and the commission agreed upon above shall be payable as it an actual sale was made at introduction. In the event of an exchange of properties, BROKER may represent and receive a full commission from both parties to the contract.

7.-Bonus: Owner agrees to pay in cash, a bonus to the selling agent of ______. The bonus is earned and will be paid at the time of the closing from the sales price.

8.-BROKER will present all offers to OWNER. An initial payment of 10% of the offered gross sales price shall ordinarily be required from the prospective purchaser to assure honest intent. BROKER will hold all initial payments until offer is rejected or until closing unless otherwise agreed upon in writing herein. In the event an initial payment or payments becomes forfeited as liquidated damages, the sum of the initial payments shall be divided equally between OWNER and BROKER. The BROKER’S portion of any liquidated damages shall, in no case, exceed the normal ______% sale commission + IVA.

9.-Limitation of liability:BROKER & all cooperating real estate brokers shall not be responsible in any manner for loss or damage to personal or real property due to vandalism, theft, or any other damages or loss whatsoever during the period hereof.

10.-Documentation and Inventory:OWNER agrees to provide BROKER with an inventory, keys, and all deeds and legal documents which may be required to effect closing, to include all receipts for utilities, Colonos fees, or any other taxing entity which may be involved and to have any and all fees/taxes paid up to date as of the closing. OWNER also agrees that the property shall be in the same or better condition at closing as, that which was extant at the time of the offer to purchase.

11.-Inquiry Referrals: Allinquiries and referralsthat result from the promotion work of the listing BROKER (including but not limited to advertisement on web sites and in print media, open house activities and referrals of direct clients or clients of co-broking agencies) are protected under this contract. The OWNER agrees to refer to listing BROKER all inquiries that OWNER may receive as a result of any promotion work of the listing BROKER relating to the sale of the property, to conduct through the listing BROKER all negotiations relating to the sale of the property, and to cooperate fully with the BROKER in his efforts to sell the property.

12.-Term of Contract: This agreement is binding upon the parties hereto, their heirs, administrators, executors, successors and assignees. If more than one person signs this agreement, it shall constitute the joint and several obligations of each. This contract contains the entire agreement of the parties and cannot be changed except by their written consent. This agreement shall begin on the date affixed hereon and shall terminate on ______.

13.-All the parties agree that in the event of any legal differences, which may arise from this agreement, that settlement shall be in the court of Chapala, Jalisco and all signatories hereto renounce the jurisdiction of any other court.

14.-Owner agrees and acknowledges that this contract and future documents regarding to the above-mentioned property can be done by fax, and faxed signatures will be considered as original signatures.

15.-This is a legal document. If not completely understood, legal advice should be sought before signing.
