1.SERVICES

- Any ongoing support will not be charged as long as it is limited to occasional phone calls and the questions will not require system changes or new development.
2.COSTS

- If the clients request additional users, FL will charge according to the above schedule.
- Remarks: If the Client terminates this Agreement during the Effective Period, the Client agrees to pay the pro-rated Feesand expenses incurred up until the termination date.
- Expenses
As stated in T&C Clause 3, FL will charge the Client separately for the expenses (e.g. travel expenses). Without the Client’s prior approval, FL will maintain the total expenses below 20% of the Fee. Moreover, FL will charge an independent 5% of the Fee to cover administrative expenses (e.g. telephone, mail, photocopies and faxes etc). FL will charge all the expenses at cost as indicated in the supporting documents.
- Billing
The Client should settle the advance payment of US$[XXX]immediately after signing this Addendum and FL will deduct the Fees from the advance payment. FL will issue further debit notes according to the Services performance progress. FL will issue debit notes to:

3.ERP CONDITIONS
- FL will only provide ERP services in conjunction with the bookkeeping and reparation of financial statements services.
- This agreement will be valid for an indefinite period and may be terminated by either Party at any time, subject to 90 days written notice.
- In case difficulties develop during the course of the assignment whereby FL is unable to continue to render services under this Addendum, FL shall be entitled to terminate the addendum, and the Client agrees to pay FL for all services rendered up until the termination date.
This Addendum takes effect fromDD MMM YYYY, and will be effective [indefinitely / for [enter a definite period] / until the completion of services set out in the Agreement Scope of the captioned agreement].
Remarks:
- This Addendum forms an integral part of the captioned agreement;
- Besides its original effective period, the captioned agreement will also survive this Addendum’s effective period;
- Except for the specific part that this Addendum expressly amends, all the other parts in the captioned agreement remains in force with unchanged meaning and applies to this Addendum;
