ARTICLE1-PURPOSESANDPOWERS
ThepurposesoftheAssociationasstatedinits ArticlesofIncorporationareasfollows:
TopromotethewelfareoftheLoudspeakerManufacturingIndustry;toimproveitsservicetothepublic;andgenerallytocarryoutactivitiesinfurtheranceoftheindustry,consistentwiththepublicinterestandrecognizedaslawfulfortradeassociations.
TheAssociationMissionStatementis:ALMAisthe sourceofstandards,news,networking,and education fortechnicaland businessprofessionals in the acoustics,audio andloudspeakerindustry.
TheAssociationshallnotbe operatedforprofit,andnopartofthenetearningsshallinuretothebenefitofanymemberorotherprivateindividual.
Infurtheranceofthesepurposes,butnotinlimitationthereof,theAssociationshallhavepower to:
1.Engageinresearchforimprovingthequalityofloudspeakers,electro-acoustictransducersanddevices,andcomponentsthereof;
2.Establishstandardsofqualityofloudspeakers,electro-acoustictransducersanddevicesandcomponentsthereof;
3.Collectanddisseminateinformationpertinenttotheindustry;
4.Encouragepublicacceptanceoftheindustry'sproduct;
5.Encourageinanylawfulactivitieswhichwillpromotetheprogressoftheindustryandapprisethepublicofitsscopeandcharacter.
TheAssociationalsohassuchpowersasarenowormayhereafterbegrantedbytheGeneralNotforProfitCorporationActoftheStateofIllinois.
ARTICLEII-OFFICE
TheAssociationshallhave,andcontinuouslymaintain,aregisteredofficeandaregisteredagentwhoseofficeisidenticalwithsuchregisteredoffice,andmayhaveotherofficeswithinorwithouttheStateofIllinoisastheBoardofDirectorsmayfromtimetotimedetermine.
ARTICLE Ill-MEMBERS
Section1.Eligibility:Membersmay joinatthelowestlevelofMembership forwhichtheyqualify,howevera Membermayalwaysjoin atahigherlevelofMembership.
FullMembership:
FullMembershipintheAssociationshallbeopentoall individuals,proprietorships,firmsandcorporationsinterestedinthedesignormanufactureofloudspeakers,electro-acoustictransducers,andsimilardevices,orthecomponentsthereof;andsuppliersofmaterials,software,andequipmentalliedtotheindustry. ThisMembershiplevelincludescompletevotingrightsandofficeholdingprivileges.FullMembership shallbecomprisedofCorporate 1,Corporate 2,Sustaining,Consultant, and IndividualMemberships.
EducationalMembership:
EducationalMembershipisavailableforprofessors,instructorsandfulltimestaffofeducationalinstitutions.ThisMembershiplevelexcludesvotingrightsandofficeholdingprivileges.
StudentMembership:
StudentMembershipshallbeopentoallregisteredstudentsnotemployedfull-timeintheaudioindustry.ThisMembership excludesvotingrightsandofficeholdingprivileges.
AffiliateMembership:
Affiliate Membership shallbeopen to trade associationsand appropriate organizationswithwhom ALMAInternationalenters intoreciprocalmembership agreementsforthebenefitofboth organizations.ThisMembership excludesvoting rightsandoffice holdingprivileges.
"Regular"Membership:
Forpurposesofthefollowingbylawsprovisions,alllevelsofMembership classified as"FullMembership"shallbedeemed"Regular"MembershipclassesinthateachoftheseMembershipclassesexpresslyincludecompletevotingrightsandofficeholdingprivileges.
Section2.ApplicationsForMembership:ApplicationsforMembershipmustbemadeelectronicallythrough the ALMA website portal at applicationalongwith qualified paymentinformation shallconstitute a qualifiedapplication formembershipinALMAInternational.
AllapplicationsshallbereferredbytheSecretarytothePresidentpromptlyuponitsreceipt.
Section3.AdmissiontoMembership:ThePresidentshalladmitallapplicantsforMembershipwhomeetthequalificationsprescribedbytheseBylawsunless,inthePresident's judgment,anapplicationshouldberejected.Anyapplicationfor MembershipwhichisrejectedbythePresidenteitherbecausetheapplicanthasnotmet
thequalificationsprescribedbytheseBylaws,orbecauseinthejudgmentofthePresidenttheacceptanceofsuchapplicationwouldnotservetheAssociation'sinterest,shallbereferredpromptlybythePresidenttotheBoardofDirectors.TheBoardofDirectorsshallreview theactiontakenbythePresidentinrejectionofsuchapplicationsatthefirstmeetingtobeheldaftersuchapplicationhasbeenrejected.IftheBoardofDirectorsbyaffirmativevoteofamajorityoftheDirectorspresentataduly-convenedmeetingrecommendsfavorableactionuponsuchrejectedapplication,theapplicationshallbeapproved.TheadmissiontoMembershipshallbecomeeffectiveuponsaidapproval.
Section4.CertificateofMembership:EachnewMember,uponadmissiontoMembershipandpaymentofappropriatedues,shallbeissuedaCertificate settingforththeirclassofMembershipintheAssociation.CertificatesofMembershipshallbein suchformastheBoardofDirectorsmayapproveandshallbesignedbythePresidentoraVicePresident.Certificatesshallbe validfor1yearcommencingon the dateofMembership.
Section5.AddressofMembers:It shallbe thedutyofeachMembertokeepon filewiththeSecretarya physicalandan emailaddresstowhichanyandallnoticesrequiredbytheBylawsortherulesandregulationsoftheAssociationmaybe sent.IfanysuchMemberis otherthan anaturalperson,itshall,uponbeingadmittedtoMembership,filewiththeSecretaryoftheAssociationa writtendesignationoftheindividualwho,untilfurthernoticetothe SecretaryoftheAssociation,(a)shallreceiveanyandallsaidnotices,and(b)ifsuch memberisaRegularMembershallrepresentsuchMemberatmeetingsofRegularMembersoftheAssociation,and(c)shallprovideawrittendesignationofanalternaterepresentativetorepresenttheMemberatanysuchmeetingofRegularMembersintheabsenceoftheprimaryrepresentative.Themailingofanysuchnoticetosuchaddress,andiftheMemberis otherthananaturalperson,totherepresentative,sodesignated,shallbesufficientandconclusiveuponsuchMember.
Thealternaterepresentativeshallbe authorizedtoactonlyintheabsenceoftheprimaryrepresentative.Thepresenceofanysuchprimaryoralternaterepresentative,asthecasemaybe,oraRegularMemberatanymeetingofRegularMemberswillconstituteattendanceofsuchRegularMemberatsuchmeeting.
Section6.VotingRights:ForthepurposessetforthinArticle4below,eachRegularMembershallbe entitledtoonevote.AffiliateMembers, StudentMembersandEducatorMembersshallnotbeentitledtovote.
Section7.TerminationofMembership:TheBoardofDirectorsbyaffirmativevoteoftwo-thirdsofalltheMembersoftheBoardmaysuspendorexpelaMemberforcauseafteranappropriatehearing.TheMembershipofanyMemberwhobecomesineligibleforMembershipbyvirtueoffailingtocontinuetomeetthequalificationsforMembershipasprescribedbytheseBylawsshallbe automaticallyterminatedorconvertedintosuchdifferentclassofMembershipoftheAssociationforwhichhehasbecomeeligible,asthecasemaybe.TheMembership ofanyMemberwhoshallbein defaultinthepaymentofduesoranyinstallmentthereof,assessments,orotherobligationstotheAssociationforaperiodof120daysshallbeautomaticallyterminated,andtheSecretaryshallpromptlyadvisesuchmemberofsuchtermination.
Section8.Resignation:AnyMembermayresignbyfilingawrittenresignationwiththeSecretary,butsuchresignationshallnotrelievethememberofanyobligationtopayaccrueddues,assessmentsorothercharges.
Section9.Reinstatement:UponwrittenrequestsignedbyasuspendedorexpelledmemberandfiledwiththeSecretary,theBoardofDirectorsmay,byaffirmativevoteoftwo-thirdsofallthemembersoftheBoard,reinstatesuchformermembertomembershipuponsuchtermsastheBoardofDirectorsmaydeemappropriate.
Section10.NoTransferofMembership:MembershipinthisAssociationisnottransferable.
ARTICLEIV-MEETINGSOFREGULARMEMBERS
Section1.AnnualMeeting:AnannualmeetingoftheRegularMembersshallbeheldeachyearbeginningwiththeyear1964forthepurposeofannouncing newly electedDirectorsandforthetransactionofsuchotherbusinessasmaycomebeforethemeeting.AllMembers,
votingandnonvotingshall beinvitedtoattend.AmajorityoftheDirectorspresentatanydulyconstitutedmeetingoftheBoarddetermines,thedateoftheannualmeeting.An electronicannouncementofa callforcandidatesshallbe issued 60 days inadvanceofthemeeting asdetermined bythe Directors.Electionsmaybesuspendedin the eventoftheabsence ofviable candidatesasmaybe determined bythe Directors. If theelectionofDirectorsshallnotbeheldattheannualmeetingoftheRegularMembers,oranyadjournmentthereof,theBoardofDirectorsshallcause theelectiontobeheldataspecialmeetingoftheMemberstobe calledasconvenientlyaspossibleshortlythereafter.
Section2.SpecialMeeting:SpecialmeetingsoftheRegularMembersmaybecalledeitherbythePresident,theBoardofDirectors,oraquorumasspecifiedinSection5.
Section3.PlaceofMeeting:TheBoardofDirectorsmaydesignateanyplaceeitherwithinorwithouttheStateofIllinois,astheplaceofmeeting foranyannualmeetingofRegularMembersorforanyspecialmeetingofRegularMemberscalledbytheBoardofDirectors.Ifnodesignationismadeorifaspecialmeetingbeotherwisecalled,the
placeofmeetingshallbe theregisteredofficeoftheAssociationintheStateofIllinois;provided,however,thatiftwo-thirdsofalltheRegularMembersshallmeetatanytimeandplace,eitherwithinorwithouttheStateofIllinois,andconsenttotheholdingofthemeeting,suchmeetingshallbe validwithoutcallornotice,andatsuchmeetinganycorporateactionmaybetaken.
Section4.NoticeofMeeting:Writtenorprintednoticestatingtheplace,dayandhourofanymeetingofRegularMembersshallbe deliveredvianewsletter and/ore-mailtoeachRegularMemberentitledtovoteatsuch meetingnotlessthanfivenormorethanfortydaysbeforethedateofsuchmeeting.Incaseofaspecialmeeting orwhenrequiredbythestatuteorbytheseBylaws,thepurpose forwhichthemeetingis calledshallbestatedinthenotice.Ifmailed,thenotice ofameetingshallbe deemeddeliveredwhendepositedintheUnitedStatesmailaddressedtotheRegularMembersattheaddressasitappearson therecordsoftheAssociation,withpostagethereonprepaid.
Section5.Quorum:Atleast25%ofRegularMembersshallberequiredtoattendanymeetingofRegularMembersinpersonorbyproxyinordertoconstituteaquorumatsuchmeeting.IfaquorumisnotpresentatanymeetingofRegularMembers,amajorityoftheRegularMemberspresentmayadjournthemeetingwithoutnotice.Inthe absenceofa25% quorum,anyitemssubjectto avote shallbe emailedtothe Membership.TheMembershipwill begiven30 daysto respond.In the absence ofa 25% vote,asimplemajorityshallbeaccepted.
Section6.Proxies:AtanymeetingofRegularMembers,aRegularMemberentitledtovotemayvoteeitherinpersonorbyproxyexecutedinwritingorelectronicallybytheRegularMemberorbyhisdulyauthorizedattorney-in-fact.Noproxyshallbe validafterelevenmonthsfromthedateofits executionotherwiseprovidedin theproxy.
ARTICLEV-BOARDOFDIRECTORS
Section1.GeneralPowers: The policies and goals of the Association, as established by its Membership and/or Directors shall be managed by its Board of Directors.
Section2.Number,TenureandQualifications:a.ThenumberofDirectorsshallnotbelessthanfiveormorethaneleven.b.Serviceasanelected Directorshallbelimitedtotwoconsecutivethree-yearterms,afterwhichone-yearshallelapsebeforetheindividualshallbeeligibleforre-election.ADirectorwhohasbeenelectedforapartialtermofmorethanoneyearshallbeeligibleforre-electionforonlyoneadditionalconsecutivethree-yearterm.Atermofoneyearorlessshallnotbeconsideredatermforthepurposeoflimitationonre-election.c.DirectorsshallbeelectedfromamongRegularMembersoftheAssociation.
Section3.RegularMeetings:ARegularannualmeetingoftheBoard ofDirectorsshallbeheldwithoutothernotice thanthisBylawimmediatelybefore orafter,andatthe sameplaceas,theannualmeetingofRegularMembers.TheBoardofDirectorsmay
providebyresolutionthetimeandplace,eitherwithinorwithouttheStateofIllinois,fortheholding ofadditionalRegularmeetingsoftheBoardwithoutothernoticethansuchresolution.
Section4.SpecialMeetings:SpecialmeetingsoftheBoard ofDirectorsmaybe calledbyorattherequestofthePresidentoranytwoDirectors.Thepersonorpersonsauthorizedtocall a specialmeeting oftheBoardmayfixanyplace,eitherwithinorwithouttheStateofIllinois,astheplace forholdinganyspecialmeetingoftheBoardcalledbythem.
Section5.Notice:NoticeofanyspecialmeetingoftheBoardofDirectorsshallbegivenatleastfivedayspreviouslytheretobywrittennoticedeliveredvia e-mail,toeachDirectorattheiremailaddressasshownbytherecordsoftheAssociation.AnyDirectormaywaivenotice ofanymeeting.TheattendanceofaDirectoratanymeetingshallconstituteawaiverofnotice ofsuch meeting,exceptwhereaDirectorattendsameetingfortheexpresspurposeofobjectiontothetransactionofanybusinessbecausethemeetingisnotlawfullycalled orconvened.Neitherthebusinesstobetransactedat,northepurposeofanyRegularorSpecialMeetingoftheBoardneedbespecifiedinthenotice orwaiverofnoticeofsuchmeeting,unlessspecificallyrequiredbylaworbytheseBylaws.
Section6.Quorum:AmajorityoftheBoard ofDirectorsshallconstitutea quorumforthetransactionofbusinessatanymeeting oftheBoard;provided,however,thatiffewerthanamajorityoftheDirectorsarepresentatsaidmeeting,amajorityoftheDirectorspresentmayadjournthemeetingwithoutfurthernotice.
Section7.MannerofActing:TheactofamajorityoftheDirectorspresentatameetingatwhichaquorumis presentshallbetheactoftheBoardofDirectors,exceptotherwiseprovidedbylaworbytheseBylaws. TheBoardofDirectorsshallalsobeempowered,withtheauthorizationofthePresident,toactbytelephonicconferenceroll-callvoteorbye-mailroll-call vote,andadigitalcopyofalle-mailsexchangedbetweenDirectorsshallbepreservedas"minutes"bytheactingSecretary.
Section8.Vacancies:AnyvacancyoccurringintheBoard ofDirectorsorany
DirectorshiptobefilledbyreasonofanincreaseinthenumberofDirectorsshallbefilledbytheBoard ofDirectors,whoshall electaDirectortoserveforanunexpiredtermoftheirpredecessorinoffice.
Section9.ProfessionalServicesfortheAssociation:TheBoardofDirectorsmayengagetheservicesoflegalcounsel whoshallhandleallmattersoflegalimporttotheAssociation.Legal counselshallbe availableforconsultationandforattendanceatthemeetingsoftheBoardofDirectorsandRegularMembersoftheAssociation,wheneverrequestedsotodoandshallgiveanopinionuponanyquestionaffectingtheinterestsoftheAssociation. TheBoardofDirectorsmayengagetheservicesofanindependentauditor,orfirmofauditors,toauditthebooksandaccountsoftheAssociationassoonaspossibleafterthecloseofeach fiscalyearandtorendersuchotherservicesasthePresidentorTreasureroftheAssociationmayrequireinrespectofaccountingandauditingpracticesoftheAssociation.
Section10.Compensation:Directorsassuchshallnotreceiveanystatedsalariesfortheirservices,butbyresolutionoftheBoard ofDirectors,afixedsumandexpensesofattendance,ifany,maybeallowedforattendanceateachRegularorSpecialmeetingoftheBoard;provided,however,thatnothinghereincontainedshallbeconstruedtoprecludeanyDirectorfromservingtheAssociationinanyothercapacityandreceivingcompensationtherefore.
Section11.IndemnificationofDirectorsandOfficers:TheAssociationshallindemnifyanyandallofits DirectorsorOfficersorformerDirectorsorOfficersagainstexpensesactuallyandnecessarilyincurredbytheminconnectionwiththedefenseofanyaction,suit,orproceedinginwhichtheyoranyofthemaremadeparties,oraparty,byreasonofbeingorhavingbeenDirectorsorOfficersoraDirectororOfficeroftheAssociation,exceptinrelationtomattersastowhichanysuchDirectororOfficerorformerDirectororofficershallbe adjudicatedinsuchaction,suitorproceedingtobeliableforneglectormisconductintheperformanceofduty.Suchindemnificationshallnotbe deemedexclusiveofanyotherrightstowhichthoseindemnifiedmaybeotherwiseentitled.
Section12.Choice ofDirectors:NomorethantworepresentativesofaMembercompanyoritssubsidiaryshallserveasDirectorsatanyonetime.
ARTICLEVI-OFFICERS
Section1.Officers:TheOfficersoftheAssociationshallbeaPresident,oneormoreVicePresidents(thenumberthereoftobedeterminedbytheBoardofDirectors),aTreasurer,aSecretary,andsuchotherOfficersasmaybeelectedinaccordancewiththeprovisionsofthisArticle.TheBoardofDirectorsmayelectorappointsuchotherOfficers,includingoneormoreAssistantSecretaries,andoneormoreAssistantTreasurers,asitshalldeemdesirable,suchOfficerstohavetheauthorityandperformthedutiesprescribedfromtimetotimebytheBoardofDirectors.Anytwoormoreofficesmaybeheldbythesameperson,excepttheofficesofPresidentandSecretary.ExceptfortheofficeofSecretary,assetforthbelow,onlyRegularMembers,asdefinedabove,mayserveasofficers.
Section2.ElectionandTermofOffice:TheOfficersoftheAssociationshallbe electedat the expiration of each 3 year term bytheBoardofDirectorsattheRegularannualmeetingoftheBoard ofDirectors.If theelectionshallnotbeheldatsuchmeetingsuchelectionshallbeheldassoonthereafterasconvenientlymaybe.Vacanciesmaybe filledornewofficescreatedandfilledatanymeetingoftheBoardofDirectors.EachOfficershallholdthatofficeforamaximumofthree (3)consecutiveyearsoruntilhisor her successorshallhavebeendulyelectedandshallhavequalified
Section3.Removal:AnyDirector,Officer,oragentelectedorappointedbytheBoardofDirectorsmayberemovedbytheBoardofDirectorswhenever,intheBoard'sjudgment,thebestinterestsoftheAssociationwouldbeservedthereby.
Section4.Vacancies:Avacancyinanyofficebecauseofdeath,resignation,removal,disqualificationorotherwise,maybe filledbytheBoardofDirectorsfortheunexpiredportionoftheterm.
Section5.President:The Presidentshallbe theprincipalexecutiveofficeroftheAssociationandshallingeneralsuperviseandcontrolallofthebusinessandaffairsoftheAssociation.ThePresidentshallpresideatallmeetingsoftheMembersandtheBoardofDirectors.ThePresidentshallappointallCommitteesoftheAssociationsubjecttotheirratificationbytheBoardofDirectorsashereinafterprovidedintheseBylaws.ThePresidentmaysign,withtheSecretaryoranyotherproperOfficeroftheAssociationauthorizedbytheBoardofDirectors,anycontracts,leasesorotherinstrumentswhichtheBoardofDirectorshaveauthorizedtobe executed,exceptincaseswherethesigningandexecutionthereofshallbe expresslydelegatedbytheBoardofDirectorsatanytimethatthedissolutionoftheAssociationisauthorizedpursuanttotheGeneralNotforProfitCorporationActoftheStateofIllinois,TheBoardofDirectorsthenholdingofficeassuch,shalldistributetheassetsoftheAssociationremainingafterthepayment,satisfactionanddischarge,oradequateprovisionstherefore,ofallliabilitiesandobligationsoftheAssociationinaccordancewiththerequirementofsaidAct,tosuchorganizationororganizationsorganizedforcharitableoreducationalpurposesandwhichareheldtobeexemptfromincometaxundertheprovisionsofSection501(c)(3)oftheInternalRevenueCodeof1954,asamended.
Section6.VicePresident:IntheabsenceofthePresidentorintheeventoftheirinabilityorrefusaltoact,theVicePresident(orintheeventtherebemorethanone VicePresident,theVicePresidents,intheorderdesignated,orintheabsenceofanydesignation,theninorderoftheirelection)shallperformthedutiesofthePresident,andwhensoactingshallhaveallthepowersofandbesubjecttoalltherestrictionsuponthePresident.AnyVicePresidentshallperformsuchotherdutiesasfromtimetotimemaybeassignedtothembythePresidentorbytheBoardofDirectors.
Section7.Treasurer:The Treasurershallbechargedwith the responsibilitytoauditallincome and expendituresofthe Association,and to monitorthe financialactivitiesoftheAssociation ManagementandAssociation Accountant.TheTreasurershallauditandreportto the Board allfinancialstatementsand resolveanydiscrepanciesorunexplained expense.
Section8.Secretary:TheSecretaryshallkeep theminutesofthemeetingsofthe MembersandoftheBoardofDirectorsona designated andbacked up harddrive;seethatallnoticesaredulygiveninaccordancewiththeprovisionsof theseBylawsorasrequiredbylaw,andbecustodianofthecorporaterecords;keep aregisterofthe postofficeaddressofeachMember;andin generalperformalldutiesincidenttothe officeofSecretaryandsuchotherdutiesasfromtimetotimemaybeassignedbythe PresidentorbytheBoardofDirectors.TheBoardmayassigntheofficeofSecretary,withouttermlimits,toan AssociationManagementrepresentative.
Section9.Executive Director:TheBoardofDirectorsmayengagetheservicesofanExecutive Director.TheExecutive Director shallmaintain thedailyoperationsofthe Association.These responsibilitiesinclude,butmaynotbelimited to,process paymentsreceived,payAssociation bills,maintainthe financesofthe Association,maintain communicationwiththeAssociation Accountantanddeliverfinancialreportsto the Board,maintain theALMAwebsite,publishthe ALMAnewsletter,maintain positiveand active communicationwithMembersand industryrepresentatives,promotethewelfareand growth ofthe Association,representtheAssociation atappropriate eventsandvenues,managetheproduction andexecution ofthe annualSymposium & Expo,andotherresponsibilitiesasmaybespecified in the Executive Director'scontract. TheExecutive Directormayenter intocontractsasthe authorized representative ofthe Association atthedirection ofthe BoardofDirectors.Additionally,the Executive Directorshallperformthe functionsofthe Secretaryin the absenceofan individualholding thatposition.
ARTICLEVII-COMMITTEES
Section1.Committees:ThePresidentoftheAssociationshallestablishCommitteesanddesignatefromtheMembershipoftheAssociation, including Members of the Board of Directors,aChairpersonforeach Committee,saiddesignationsubjecttoapprovalbytheBoardofDirectors.Thecharter and goalsofeachCommitteeshallbe determined and approvedbytheBoardofDirectors.AnyMemberoftheCommitteemayberemovedbythePresidentsubjecttoapprovalofthe Board ofDirectorswheneverinthejudgmentofthePresidentthebestinterestoftheAssociationshallbeservedbysuchremoval.
Section2.CommitteeMembership:Committeemembersshallbe appointedbythe designatedCommitteeChairperson.
Section3.Rules:EachCommitteemayadoptrulesforitsowngovernance;saidrulesshallnotbeinconsistentwiththeseBylawsorwithrulesadoptedbytheBoardofDirectors.
ARTICLEVIII-DUESANDASSESSMENTS
Section1.FiscalYear:ThefiscalyearoftheAssociationshallcommenceonthe1stdayofJulyandendonthelastdayofJuneeachyear.
Section2.AnnualDuesofAllMembers:TheduesoftheMembersshallbesetbytheBoardofDirectors. Duesshallbepaidtotheassociationannually.
Section3.Assessment:TheBoardofDirectorsmaylevyanassessmentontheMembersoftheAssociationatanyregularorspecialmeetingwhendeemednecessarytomeetexpensesoftheAssociationinexcessofotherincome.
Section4.EffectofTerminationofMembership:TerminationofMembershipforanyreasonshallnotrelieveaMemberfromtheliabilityforunpaiddues,assessments,orotherobligations.UponceasingtobeaMemberoftheAssociationforanyreasonwhatsoever,suchMembershall,within30days,ceaseanddesistfromusingordisplayingtheemblems,logos,ortrademarksoftheAssociation,nolongerpartakeof anyoftheAssociation'sadvantagesnorshareinits assets.
ARTICLEIX-CONTRACTS,CHECKS,DEPOSITSANDFUNDS
Section1.Contracts:TheBoard ofDirectorsmayauthorizeanyOfficersoragentsoftheAssociation,inadditiontotheOfficersoauthorizedbytheseBylaws,toenterintoanycontractorexecuteanddeliveranyinstrumentonbehalfoftheAssociationandsuchauthoritymaybegeneralorconfinedtospecificcircumstances.
Section2.Checks,Drafts,Etc.: Allchecks,drafts,orothernegotiableinstrumentsforthepaymentofmoney,notesorotherevidencesofindebtednessissuedinthenameoftheAssociation,shallbesignedbysuchOfficerorOfficers,agentoragentsoftheAssociationandin suchamannerasshallfromtimetotimebedeterminedbyresolutionoftheBoardofDirectors.IntheabsenceofsuchdeterminationbytheBoardofDirectors,suchinstrumentsshallbesignedbytheTreasureroranAssistantTreasurerandcountersignedbythePresidentoraVicePresidentoftheAssociation.
Section3.Deposits:AllfundsoftheAssociationshallbe depositedfromtimetotimetothecreditoftheAssociationin suchbanks,trustcompanies,orotherdepositoriesastheBoard ofDirectorsmayselect.
Section4.Gifts:TheBoard ofDirectorsmayacceptonbehalfoftheAssociationanycontribution,gift,bequest,ordeviseforthegeneralpurposesorforanyspecial
purposesoftheAssociation.
ARTICLEX-BOOKSANDRECORDS
TheAssociationshallkeepcorrectandcompletebooksandrecordsofaccountsandshallalsokeepminutesoftheproceedingsofitsmembers,Board ofDirectors,andCommitteeshavinganyoftheauthorityoftheBoard ofDirectors,andshallkeepattheregisteredorprincipalofficearecordgivingthenamesandaddressesofallMembers.AllbooksandrecordsoftheAssociationmaybeinspectedbyanyMember,ortheiragentorattorneyforanyproperpurposeatanyreasonable time by submitting a request in writing to the President of the Association
ARTICLEXI-WAIVEROFNOTICE
WheneveranynoticeisrequiredtobegivenundertheprovisionsoftheGeneralNotForProfitCorporationActoftheStateofIllinois,theprovisionsoftheArticlesinIncorporationortheBylawsoftheAssociation,awaiverthereofinwritingsignedbythepersonorpersonsentitledtosuchnotice,whetherbeforeorafterthetimestatedtherein,shallbe deemedequivalenttothegivingofsuchnotice.
ARTICLEXII-DISSOLUTION
AtanytimethatthedissolutionoftheAssociationis authorizedpursuanttotheGeneralNotForProfitCorporationActoftheStateofIllinois,theBoardofDirectorsthenholdingofficeassuch,shalldistributetheassetsoftheAssociationremainingafterthe payment,satisfactionanddischarge,oradequateprovisiontherefore,ofallliabilitiesandobligationsorganizedforcharitableoreducationalpurposesandwhichareheldtobeexemptfromincometaxundertheprovisionsofSection501(c)(3)oftheInternalRevenueCodeof1954,asamended.
ARTICLEXIII-AMENDMENTSTOBYLAWS
Section1.TheseBylawsmaybealtered,amended,orrepealedandnewBylawsmaybe adoptedbyamajorityoftheDirectorspresentatanyRegularmeetingorat anyspecialmeetingpursuanttoatleastsevendayswrittennoticeincludingthetextofsuchproposal toalter,amend,repealoradoptnewBylawsdeliveredtoeachDirectoreitherpersonally,by mailorbysuchmeansasselectedbytheBoard.
Section2.MailingCopiestoMembers:WhenanyamendmentsoftheBylawshavebeenmade,copiesofsaidamendmentsoracompleterevisedcopyoftheBylawsasamendedshall,withinsixtydays,bepublishedontheAssociation'swebsiteandmailedtoallmembersoftheAssociation.
ARTICLEXIV-INFORMALACTIONBYDIRECTORS
AnyactionrequiredbytheseBylawstobe takenatameetingoftheBoardofDirectorsoranyotheractionwhichmaybetakenatameetingoftheBoardofDirectorsmaybetakenwithoutameetingifaconsentinwritingsettingforththeactionstakenshallbesignedbyallMembersoftheBoardofDirectors.Suchconsentshallhavethesameforceandeffectasaunanimousvoteandmaybe statedassuchin anyarticlesordocumentsfiledwiththeSecretaryofStateThe Executive Committee shallbeempowered to make time sensitive decisions inbetween Board meetingsexceptthosethatwillchange the structure orthreaten the financialstabilityofthe Association.Allsuchdecisionsmustbe communicated to the BoardofDirectorswithin30 daysoratthe nextregularlyscheduledBoard meeting,whichevercomes first.
ARTICLEXV-ASSOCIATIONMARK
Section1.AdoptionofAssociationMark:TheAssociationshalladoptamarkbywhichMembersoftheAssociationmayidentifythemselvesasbelongingtotheAssociation.No personnotaMemberingoodstandingshallhavetherighttouse suchMark,andeachmembershallreportanyunauthorizeduseoftheMarktotheBoard ofDirectors.
Section2.UseofMarkbyMembers:MembersmayusetheMarkinsuchmannerandonsuchconditionsastheBoardofDirectorsfromtimetotimeprescribes.ImproperuseoftheMarkbyaMemberiscauseforterminationofMembership.
Section3.ReservationofMark:TheBoardofDirectorsshalltakeallnecessaryandappropriateactiontoreservetheMarkto theexclusiveuseoftheAssociationanditsmemberstopreserveandprotectthegoodwillattachingthereto.
