MANDATORY PRE-BID CONFERENCE:

A mandatory pre-bid conference will be held on November 5, 2007 at 2:00 PM (Pacific Time), located at 725 Summer St NE, Suite C, Salem, Oregon 97301.

Any statements made at this conference will not change the Plans, Specifications or other Contract Documents unless an Addendum has been issued and advertised on the ORPIN System.

BIDDERS OR THEIR REPRESENTATIVE ARE REQUIRED TO ATTEND THIS MANDATORY PRE-BID CONFERENCE. BIDS WILL ONLY BE EVALUATED FROM BIDDERS OR THEIR REPRESENTATIVE WHO REGISTERED AND ATTENDED THE MANDATORY PRE-BID CONFERENCE, AND ALL OTHER BIDS WILL BE CONSIDERED NON-RESPONSIVE.

The Contractor and all subcontractors shall comply with the provisions of ORS 279C.800 through 279C.870, relative to Prevailing Wage Rates and payment of a fee to the Bureau of Labor and Industries (BOLI)

I. INSTRUCTIONS TO BIDDERS:

Attachments as they pertain to this Invitation to Bid (including the Plans and/or Project Manual) can be downloaded from the Attachment Menu on the Oregon Procurement Information Network (ORPIN) system.

Addenda as they pertain to this Invitation to Bid must be downloaded from the Addendum Menu on the Oregon Procurement Information Network (ORPIN) system.

NOTE: WHEN HOLDING PLANS AND SPECIFICATIONS, IT IS IMPERATIVE TO CHECK THE ADDENDUM MENU FREQUENTLY RIGHT UP TO THE BID CLOSING DATE AND TIME.

BIDDERS NOTE: It is the responsibility of all proposed bidders to:

·  Obtain bid document(s) and any addenda issued from the Oregon Procurement Information Network (ORPIN) or the Contracts Officer listed on the bidding document.

·  Bidders may be rejected for failure to follow instructions within the bidding documents or any addendum issued. OPRD shall not be responsible for failure of bidders to obtain any issued addenda.

·  Bids must be received and date/time stamped by OPRD prior to the bid closing date and time. Bids will not be accepted after the closing date/time as set forth on page 1 of this Invitation to Bid or as may be extended by any subsequently issued addendum. Facsimile bids will be allowed by faxing the document to Kit Cromwell at 503-986-0648. Please telephone Kit Cromwell at 503-986-0693 to be certain fax transmission was received. The Agency is not responsible for any failure attributable to the transmission or receipt of the facsimile bid.

The following is a proposed estimate for bonding purposes: $20,000 to $30,000

1. APPLICABLE GENERAL CONDITIONS: The general conditions which apply to the work on this project are found in the latest edition of the "State of Oregon General Conditions For Public Improvement Contracts".

Bidders shall obtain and become acquainted with the applicable provisions of these General Conditions. Copies may be obtained from OPRD or from the electronic Oregon Procurement Information Network (ORPIN).

BIDDERS NOTE: In case of conflicting contract provisions, all terms and conditions contained herein supersede those contained in the “State of Oregon General Conditions for Public Improvement Contracts.”

2. BID SUBMISSION: Sealed bids will be received by OPRD until 2:00 p.m., on date shown on PAGE 1, to furnish all labor, material and equipment, and to perform all work for the project. To ensure that your bid receives priority treatment within our mailing system, your bid should be labeled with the following information:

OPRD reserves the right to change these dates when determined in the best interest of the State.

Bids will be opened at the scheduled time on the closing date specified above and on page 1 of this document. Bids received after the time fixed for opening will not be considered. OPRD is not responsible for the proper identification and handling of any bid not submitted in a timely manner.

a. Each bid shall be made out on the Bid Proposal Form contained in these contract documents.

b. No bidder may withdraw his bid after the hour set for bid closing unless said award is delayed for a period exceeding thirty (30) days.

c. This bid has been arrived at independently and has been submitted without collusion designed to limit independent bidding or competition.

d. Bidder is bound by the terms and conditions of this agreement, including but not limited to:

1) Instructions to Bidders;

2) Standard Terms and Conditions;

3) Supplemental General Conditions;

4) Federal Provisions (if applicable);

5) Plans and Specifications;

6) State of Oregon statutory requirements governing registration of corporations and/or assumed business names.

7) The OPRD reserves the right to reject any or all bids.

8) All certifications requiring separate signature.

e. Contractor shall commence no work under this contract until all insurance requirements have been met and a Notice to Proceed as been issued.

f. OREGON PREVAILING WAGE RATES (Contracts that exceed $50,000)

The Contractor and all subcontractors shall comply with the provisions of ORS 279C.800 through 279C.870, relative to Prevailing Wage Rates and payment of a fee to the Bureau of Labor and Industries (BOLI), as outlined in Sections C.1 and C.2 of the General Conditions.

3. BID SECURITY REQUIREMENTS

Each Offer shall be accompanied by a certified or cashier's check, irrevocable letter of credit (Bank), or Bid Bond, payable to the Oregon Parks and Recreation Department in an amount equal to ten percent (10%) of the total amount of the Offer.

Bid Security shall be furnished to the Parks and Recreation Department as security against the failure of the undersigned to comply with all requirements within the time frames established subsequent to notification of award.

If the undersigned fails to (1) execute the Contract, (2) furnish a a Payment Bond, or (3) furnish certificates of insurance within fourteen (14) calendar days of the written notification of intent to award a Contract, then the State may cash the check, draw under the letter of credit or otherwise collect under the Bid Security.

4. METHOD OF BIDDING: Bidders shall enter pricing and other required information in the appropriate places as provided on the Bid Proposal Form. If the Bid Proposal Form is replaced by an addendum, then Bidders shall use the addendum to provide pricing and other required information. If the Bid Proposal Form is only modified by the addendum, then Bidders shall follow the instructions in the addendum for making modifications to the Bid Proposal Form. Failure to supply the required information on the Bid Proposal Form or subsequent addendum shall result in bid rejection as non-responsive.

5. METHOD OF BID AWARD: Award will be made to the lowest responsive and responsible bidder for the total of the items selected for award. Award shall be made to one bidder and one bidder only.

6. BIDDER QUALIFICATIONS: All bidders shall fully complete and submit the attached Bidders Qualifications and Reference Form. Only bidders with two (2) years comparable experience and references will be considered for this project. Failure to provide complete information may be cause for bid rejection.

7. INVESTIGATION OF REFERENCES: OPRD reserves the right to investigate the references and the past performance of any bidder with respect to its successful performance of similar services, compliance with specifications and contractual obligations, and its lawful payment of suppliers, subcontractors, and workers. OPRD may postpone the award or execution of the contract after the announcement of the apparent successful bidder in order to complete its investigation. OPRD reserves the right to reject any bid response or to reject all bid responses at any time prior to OPRD’s execution of contract, upon good cause and upon OPRD finding that it is in the public interest.

8. PRIOR ACCEPTANCE OF DEFECTIVE PROPOSALS: Due to limited resources, OPRD generally will not completely review or analyze any bid response which on its face fails to comply with the requirements of the bid documents or which clearly is not the best bid, nor will OPRD generally investigate the references or qualifications of those who submit such bid responses. Therefore, neither the release of a bidder’s bid bond, the return of a bid response, nor acknowledgment that the selection is complete shall operate as a representation by OPRD that a response was complete, sufficient, or lawful in any respect.

9. INTENT TO AWARD NOTICE: Ordinarily, only bidders who receive awards will be notified of bid results; unsuccessful bidders will not be notified. OPRD reserves the right to announce its intent to award prior to formal Contract award by posting the tabulation sheet of Bid results on the ORPIN System, or by letter or fax ("Intent-to-Award Announcement"). The Intent-to-Award Announcement shall serve as notice to all Offerors that OPRD intends to make an award.

10. INFORMATION TO BE SUBMITTED BY THE APPARENT SUCCESSFUL OFFEROR

1 INSURANCE: The apparent successful Offeror shall provide all required proofs of insurance to OPRD within ten (10) calendar days of notification of intent to award. Failure to present the required documents within the ten (10) calendar-day period may result in Offer rejection. Offerors are encouraged to consult their insurance agent(s) about the insurance requirements prior to Offer submission.

Offerors must satisfy these insurance requirements by obtaining insurance coverage from insurance companies or entities acceptable to State that are allowed to provide such insurance under Oregon law. Eligible insurers include admitted insurers that have been issued a certificate of authority from the Oregon Department of Consumer and Business Services authorizing them to do an insurance business in the state of Oregon, and certain nonadmitted surplus lines insurers that satisfy the requirements of applicable Oregon law and are approved by OPRD. OPRD's approval will be based on its assessment of the nonadmitted surplus lines insurer and the suitability of surplus linesinsurance for this particular procurement.

2 PAYMENT BOND: The successful Offeror shall be required to furnish a a Payment Bond in the total amount (100%) of the awarded Contract, executed in favor of the State of Oregon, to ensure payment for all services and goods.

NOTE: THE PROVIDED PAYMENT BONDS IS THE FORMS APPROVED AND REQUIRED TO BE USED FOR THIS ITB.

The apparent low Offeror shall provide all required bonding to the Oregon Parks and Recreation Department (OPRD) within ten (10) calendar days of notification of award. Failure to present the required documents within ten (10) calendar days may be grounds for award disqualification.

3 JOINT VENTURE/PARTNERSHIP INFORMATION: The apparent successful Offeror, if a Joint Venture/Partnership shall provide a copy of the joint venture agreement or partnership agreement evidencing authority to Offer and to enter into the resulting Contract that may be awarded, together with corporate resolutions (if applicable) evidencing corporate authority to participate as a joint venturer or partner. A contact person must also be designated for purposes of receiving all notices and communications under the Contract. All partners and joint venturers will be required to sign the Contract awarded.


II. INSURANCE REQUIREMENTS

The following are the minimum insurance requirements for this contract. These requirements supersede those contained in the State of Oregon General Conditions for Public Improvement Contracts.

The apparent low bidder shall provide all required proof of insurance and bonding (if required) to the OPRD Contracts Unit within ten (10) calendar days of notification of Intent to Award. Failure to present the required documents within ten (10) calendar days may be grounds for bid rejection.

1. RESPONSIBILITY FOR DAMAGES/HOLD HARMLESS: Contractor shall be responsible for all damage to property, injury to persons, and loss, expense, inconvenience, and delay that may be caused by, or result from, the carrying out of the Work to be done under this contract, or from any act, omission or neglect of the Contractor, his subcontractors, personnel, or agents, and the Contractor shall indemnify, defend and hold harmless the Owner against any claims arising from said damage, injury, loss or expense.

2. COMPREHENSIVE/COMMERCIAL GENERAL LIABILITY: Contractor shall obtain, at Contractor’s expense, and keep in effect during the term of this contract, Comprehensive or Commercial General Liability Insurance covering bodily injury and property damage. This insurance shall include personal injury coverage; contractual liability coverage for the indemnity provided under this contract and products/completed operations liability. Combined single limit per occurrence shall not be less than $1,000,000, or equivalent. Each annual aggregate limit shall not be less than $1,000,000, when applicable.

3. AUTOMOBILE LIABILITY: Contractor shall obtain, at Contractor’s expense, and keep in effect during the term of this contract, Automobile Liability Insurance. This coverage may be written in combination with the Comprehensive or Commercial General Liability Insurance. Combined single limit per occurrence shall not be less than $1,000,000, or equivalent.

4. WORKERS’ COMPENSATION: The Contractor, its subcontractors, if any, and all employers providing work, labor or materials under this contract are subject employers under the Oregon Workers’ Compensation Law and shall comply with ORS 656.017, which requires them to provide Oregon Workers Compensation coverage that satisfies Oregon laws for all their subject workers.
