GENERAL RELEASE

For valuable consideration given by or on behalf of [THE FIRM] to the undersigned, the receipt and sufficiency of which is hereby acknowledged, the undersigned, and all of its shareholders, directors, officers, employees, agents, servants, representatives, insurers, attorneys, heirs, executors, administrators, parent entities, subsidiaries, affiliates, successors-in-interest and assigns (collectively, the "Releasors"), hereby remise, release, and forever discharge [THE FIRM] and all of its shareholders [PARTNERS?], directors, officers, employees, agents, servants, representatives, insurers, attorneys, heirs, executors, administrators, parent entities, subsidiaries, affiliates, successors-in-interest and assigns (collectively, the "Releasees"), of and from all debts, demands, actions, causes of action, suits, accounts, covenants, contracts, agreements, damages, claims, counterclaims and liabilities whatsoever of every name and nature, both in law and equity, which against said Releasees, or any one or more of them, the Releasors, or any one or more of them, now have or ever had, whether known or unknown, from the beginning of the world to this date, including, but without in any way limiting the foregoing generality, any and all claims that the Releasors, or any one or more of them, asserted or could have asserted against the Releasees, or any one or more of them, in any way arising out of or related to professional services rendered by [THE FIRM] to the undersigned.

The undersigned agrees that the terms of the settlement of which this General Release is a part shall remain in the strictest confidence and shall not be disclosed to any person other than the parties hereto, their attorneys, accountants and insurers, and for the purpose of enforcing the provisions of this General Release.

The undersigned further acknowledges that it has participated through its legal counsel in negotiations leading to the execution of this General Release, and has had the benefit of consultation with and the advice of its legal counsel regarding the settlement of the claims identified in this General Release, and regarding the terms and the effect thereof.

The undersigned acknowledges that it has carefully read the foregoing General Release, knows and understands the contents thereof, and executes this document below, by a duly authorized representative, as its free act and deed.
