ASSIGNMENT OF PURCHASE AGREEMENT
THIS ASSIGNMENT ("Assignment") is made on ___________________, 200__, between ____________________________________________________________________ ("Assignor"), and ____________________________________________________________________ ("Assignee").
BACKGROUND:
A. Assignor and ______________________________________________ (“Seller”) entered into contract dated ___________________, 200__ (the "Purchase Agreement"), for the purchase and sale of real property located at ____________________________________________________________________
___________________________________________________________ Michigan (the "Property");
B. Assignor wishes to assign his right, title and interest in the Purchase Agreement to Assignee, and Assignee wishes to accept the assignment, on the terms and conditions contained in this Assignment.
AGREEMENT: Intending to be legally bound, the parties agree as follows:
1. Assignment. (a) Assignor assigns and transfers to Assignee all of Assignors’ right, title and interest in the Purchase Agreement, including any deposit paid in connection with the Purchase Agreement, and (b) Assignee accepts Assignor’s assignment of the Purchase Agreement.
2. Miscellaneous. Except as expressly provided in this Assignment, the terms of the Purchase Agreement remain in full force and effect. This Assignment is binding on, and inures to the benefit of, the parties and their successors and assigns.
The parties have signed this Assignment on the date first written above.
