2017 STALLION SERVICE CONTRACT
SANDMAN
This Agreement is made and entered into by and between Serenity Farm Gypsy Horses LLC DBA SFGH Sales Supplies and Services (“Seller”)
and ______(“Buyer”)

Seller warrants that she owns the stallion known as Sandman and that Seller agrees to sell ONE breeding via ARTIFICIAL INSEMINATION to Buyer for breeding to the Mare named below and pursuant to the following terms and conditions:

2. A copy of Mare’s Registration Papers must be provided prior to execution of this Agreement.
3. Buyer agrees that the Mare to be bred shall be healthy and in sound breeding condition, this fact to be certified by a qualified veterinarian with veterinarian report forwarded to Seller prior to collection.
4. Buyer agrees to pay the total sum of One Thousand Two Hundred and Fifty Dollars ($1,250) for such breeding. The total fee shall be paid as follows: Two Hundred and Fifty Dollars ($250) upon the execution of this Agreement as a non-refundable booking fee and the remaining one thousand Dollars ($1000) prior to any collection. Buyer is further responsible for any and all collection fees associated with this Agreement. Under no circumstances shall Seller be responsible for any fees or costs associated with the collection process.

SFGH will discount Stud fee by $250 if contract and booking is received prior to 12/31 of the year prior to needing semen.
5. Should Buyer require collection within a 24 hour period, a One Hundred Dollar ($100) rush fee shall be paid to Seller prior to collection.
6. Payment of the $1000 fee is pursuant to a “Live Foal” guarantee as follows: a. Buyer shall promptly notify Seller that the mare is in foal. If breeding fails for any reason, Buyer shall promptly provide Seller with certification of failure by a qualified veterinarian; b. If foal is born alive, foal shall stand and nurse for 24 hours as certified by a licensed veterinarian at which time Seller shall provide Stallion Certificate and no other services shall be due or owing under this Agreement; or c. If foal fails to survive as certified by a licensed veterinarian within 24 hours of birth, Buyer shall provide certification by a licensed veterinarian and Seller shall provide an additional breeding to above named Mare only within 24 months from the date of this Agreement.
7. If the Stallion dies, is sold, or becomes unfit for service before servicing the Mare, then the booking fee shall be retained by the Seller but any paid collection fee shall be refunded and the parties will have no further obligations under this Agreement. This contract is valid for 2 years after date of signing.
8. This Agreement may not be assigned or transferred by the Buyer and in the event that the Mare dies, is sold, unable to conceive or changes ownership, any fee paid shall not thereafter be refundable under any condition. This includes any live foal provision in this Agreement. Seller reserves the right to offer Buyer a substitute breeding to another Mare in Seller’s sole discretion. All terms and conditions contained in this Agreement apply to any substitute mare.
9. Neither Buyer nor Seller, their officers, agents or employees shall be liable or responsible to either party for any disease, accident or injury to Mare, Foal or Stallion, or to any property or person, or for any cause of action whatsoever arising out of or connected in any way with this Agreement. Buyer agrees to indemnify and agrees to hold harmless Seller and her employees, agents, heirs, successors and assigns from any liability or claim made by Buyer or any other person or entity with respect to the liabilities described in this paragraph including but not limited to attorney fees and court costs.
10. Buyer hereby grants Seller the right to use any photos for any reason whatsoever of any foal associated with this Agreement without charge and without a separate agreement.
11. Seller requires that Buyer register any live foal which is a product of this Agreement with the Gypsy Vanner Horse Society (“GVHS”), Gypsy Horse Association (“GHA”), Gypsy Horse Registry of America (“GHRA”) or Gypsy Cob and Drum Horse Association (“GCDHA”) at the Buyer’s sole expense with proof of registration to be promptly provided to Seller.
12. This Agreement shall be binding on the parties hereto, their employees, agents, heirs, successors, assigns and personal representatives and shall be governed by and construed in accordance with the laws of the State of Michigan.
13. This document contains the entire agreement of the parties and neither party relies on any oral assurances or any kind whatsoever that are not expressed or contained in this document.
14. SELLER MAKES NO WARRANTIES, EXPRESS OR IMPLIED WITH RESPECT TO THE HEALTH CONDITION AND FERTILITY OF THE STALLION AND SPECIFICALLY, DOES NOT WARRANT THE MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OF THE BREEDING. FURTHERMORE, SELLER MAKES NO EXPRESS WARRANTIES OTHER THAN THOSE STATED ABOVE.
