2016 ES RFOTerm Sheet for Stand Alone Energy Storage Facilities

Participants who are providing offers for an Energy Storage Project via the Resource Adequacy Only or Capacity Storage Agreements may also offer to sell PG&E a fully permitted and constructed ES System. The capitalized terms and references to exhibits and appendices referenced below have the meaning set forth in the Form of Purchase and Sale Agreement (PSA) for the Reliability and Capacity Asset attached to the Protocol as Appendix F4, PSA –Energy Storage for Distribution Deferral Asset. All projects must be located in PG&E’s service territory and interconnected to PG&E’s Transmission or Distribution System.

Storage Technology / PG&E is not requiring a specific storage technology or power conversion system. PG&E is only specifying equipment from the step-up transformer to the grid to meet PG&E standards and to meet the Technical Specifications provided in Exhibits E and F of the PSA.

Contract Structure / Under the PSA, the Seller will develop the Project (including obtaining all real property interests, permits and other authorizations and approvals required to construct and operate the Project), finance the Project (as necessary), and cause the Project to be constructed, completed, tested and ready for placement into utility commercial operation by the Guaranteed Commercial Operation Date (GCOD) in accordance with the standards described in the PSA.
Project Location with Minimum Performance Guarantees / PSA’s Exhibit F and Exhibit F Attachment 1 detail requirements for minimum guarantees and other performance guarantees. The PSA’s Exhibit B describes the protocol for testing. Please mark upExhibit F and Exhibit F, Attachment 1. Please also review Exhibit F Attachment 3 of the PSA for choices of potential interfacing with PG&E (e.g., inverter, bus, switchgear).

Term Sheet - Appendix 1 to the PSA / Modify the EPC Contract Term Sheet reflect specific information available to the Participant, if Participant has identified a particular EPC contractor.
Warranties / Modify if necessary to reflect warranties applicable to the energy storage technology.
